买方：TheBuyers：地址：Address：   卖方：TheSellers：地址：Address： 买方同意购买，卖方同意出售下述商品，并按下列条款订立本合同。TheContractismadebyandbetweentheBuyersandtheSellers,wherebytheBuyersagreetobuyandtheSellersagreetoselltheunder-mentionedcommodityaccordingtothetermsandconditionsstipulatedbelow. 1.       商品名称、规格、数量、单价和总价:Commoditys,Pecification,Quantity,UnitPrice&TotalValue: 品名Commodity规格型号Specifications数量Quantity单价Unitprice总价TotalpricecoarsecottonclothPosition:PickupFabricSize:32.5m×8m=260gmStyle:AQUASTAR 2407Baseweight:1490g/m2 Position:1st BottomFabricSize:25m×8m=200gmStyle:AQUASTAR 2420Baseweight:1490g/m2 Position:2stTopFabricSize:27.8m×8m=222.4gmStyle:ECOSTAR2802Baseweight:1530g/m2 3pieces    3pieces    3pieces USD46.5    USD46.5    USD48.8 USD54042.3    USD41571    USD49815.8 TotalvaluesUSD 145429.12 CIFTIANJINXINGANGSEAPORT,CHINA  2. 原产国及制造商：Countryoforiginandmanufacturer：TAMFELTCOPR.FINLAND 3. 包装：坚固的新木箱包装,适合长途海洋及内陆运输，防湿,防潮, 防震, 防锈,耐粗暴搬运,以确保货物不致由以上原因受损.任何由于包装不妥善所致之任何损失均由卖方负担。木质包装箱上应有官方授权的IPPC标志。Packing：Tobepackedinnewstrongwoodencase(s)suitableforlongdistanceoceanandinlandtransportionandwellprotectedagainstdampness,moisture,shock,rustandroughhandling.theSellershallbeliableforanydamageattributabletoinadequateorimproperprotectivemeasurestakenbytheseller,andinsuchcaseorcasesanyandalllossesand/orexpenseincurredinconsequencethereofshallbebornebytheseller.ThereisIPPCsymbolonligninpackingboxbyofficialauthorization.    4. 唛头Shippingmarks                      每件货物上应标明每件毛重、净重、编号、原产地和唛头，并且每个包装的两头应附有标明“仅供海关检查”的货物样品。Oneachpackageshallbestenciledconspicuously：Grossandnetweightsandtheshippingmarksshownontherightside,andonthetwosidesofeachpackagetheremustattachesonesampleofgoodsinsidemarked‘ForCustomsInspectiononly’. 5. 装运时间     日前出港：TimeofshipmentBeforeOctomber.21.XXXX 6. 装运港口：芬兰港口Portofshipment： FinnishSeaport 7. 目的港口：中国天津新港Portofdestination： TianjinXinGangSeaport，China  .8. 分批装运Partialshipment：不允许 notallowed9. 转运Transshipment：允许 allowed 10. 保险：卖方应向一流的保险公司投保，在CIF条款下以买方为受益人按发票金额的110%投保一切险。保险单上应注明“可以在中国理赔”并且保险单不含有抵免条款。如在运输途中发生问题,由卖方协助买方向保险公司索赔。Insurance：TheSellershallcoverinsuranceagainstallrisks,warriskandtheondeckrisk,ifapplicable,for110%offullinvoicevaluewiththeSellerasbeneficiaryunderthetermsofCIFshowingclaims,ifany,payableinChinawithnodeductibleclause.Ifthecargoisdamagedintheperiodofshipment,thesellerwillunderBuyer’scooperationclaimagainsttheinsuransecompany. 11. 付款条件 TERMOFPAYMENT:买方于装船一个月前开立100%合同金额卖方可接受之不可撤消并由提单日起180天付款之信用证给卖方。ByanirrevocableLetterofCreditpayable180daysL/CfromthedateofB/LacceptabletothesellerandopenedwithinonemonthbeforeLoading. 12. 付款单据Documents卖方应将下列单据提交议付银行议付货款：TheSellershallpresentthefollowingdocumentstothenegotiatingbankfornegotiation： (1)   注明合同号、签名正本发票四份。Signedcommercialinvoicein4copiesindicatingcontractNo. (2)   全套洁净、注明“运费已付”、以买方为抬头、空白背书和通知人为买方的已装船提单。FullsetofCleanonboardoceanBillofladingmarked“freightprepaid”andmadeouttoorder,blankendorsedandnotifyingthebuyers. (3)   装箱单及/或重量单三份，注明合同号及唛头，并逐件列明每包装毛重、净重及尺码。Packinglist/weightMemoin3copies,indicatinggrossandnetweightofeachpackage. (4)   由制造厂商出具的质量及重量证明各二份。Certificateofqualityandquantityin2copyissuedbythemanufacturer. (5)   由保险公司出具的以买方为受益人的、按发票金额110%投保一切险的单据二份正本二份副本。Certificateofinsurancein2originaland2copiesfor110%ofinvoicevaluecoveringallriskswiththeSellerasbeneficiary,issuedbytheinsurancecompany. (6)   热处理证明一份正本一份副本或熏蒸证明或非针叶木包装声明三份正本。Heattreatmentcertificateorphytosanitarycertificateinoneoriginaland2copyordeclarationofNo-ConiferwoodPackingMaterialsin3originals. (7)   原产地证明二份正本。Twooriginalcertificateoforigin. 13. 装船通知Shippingadvice卖方应于货物装船后三个工作日内以传真形式通知买方合同号、货物名称、数量、毛重、净重、发票价值、船名、起运港和日期，预计到港日期和船公司中国办事处的电话号码。TheSellersshall,within3workingdaysaftershipmenteffected,notifythebuyersbyfaxofthecontractnumber,nameofcommodity,quantity,grossweight,netweight,invoicevalue,vesselname,dateofsailingandportofdestination,ETA.andthephoneNo.oftheshippingcompanyinChinabyfaxwithin24hoursaftershipmenteffected. 14. 交单通知AdviceofpresentationofDocuments:卖方必須于交单后三个工作日内立即以传真形式通知买方合同号、信用证号、交单金额及交单银行名称。SellersmustinformtheBuyersbyfaxoftheContractNumber,L/Cnumber,invoiceamountanddetailsofpresentingbankwithin3daysafterpresentingthedocument. 15. 质量保证Guarantee卖方保证货物采用最好的和未用过的全新材料，第一流的制造工艺制造，其成品规格和性能与本合同相符。合同中产品质保期为装船日起6个月内。质保期内如果买方按货物的保质条件保存和运用，货物仍出现问题，卖方应在接到通知后三天内到达现场解决，如果确认是货物品质问题，卖方免费更换或在征得买方同意的条件下做降价处理。TheSellersshallguaranteethatthecommodityismadeofthebestmaterials,withfirstclassworkmanship,brandnew,unusedandinconformitytoallrespectswiththequality,specificationandperformanceasstipulatedinthisContract.Thequality-guaranteedperiodforthesegoodsissixmonthsfromthegoodsontheboardofcarryingvessel.Ifanydiscrepancy(ies)arisinginconnectionwithgoodsstoredaccordingtotheSellers’requirementswithinitsquality-guaranteeperiod,theSellersshallreachthefactorywithin3daysafterreceivingtheBuyer’sinformation.TheSellersshallgivefreereplacementorreducethepricewiththeBuyers’concessionuseifthequantityisbad. 16. 检验和索赔Inspectionandclaim(1)   货物到达目的港后，买方应向国家进出口检验检疫局的地方分支机构（简称“检验当局”）申请对货的品质、规格和数量/重量进行检验，并出具检验报告。如该局发现规格、数量，或二者有出入，除保险公司或轮船公司的责任外买方有权在货物到达目的港后30天内拒收该货物或向卖方提出索赔。AfterarrivalofthegoodsattheportofdestinationtheBuyersshallapplytothelocalinspectionbranchofStateAdministrationforEntry-ExitInspectionandQuarantine(hereinafterreferredtoasthe“InspectionAuthorities”)forapreliminaryinspectioninrespectofthequalityspecificationsandquantity/weightofthegoodsandaSurveyReportshallbeissuedtherefore.IfdiscrepanciesarefoundbytheBureauregardingspecificationsorthequantityorboth,exceptwhentheresponsibilitiesliewithinsurancecompanyorshippingcompany,theBuyersshall,within30daysafterarrivalofthegoodsattheportdestination,havetherighttorejectthegoodsortoclaimagainsttheSeller. (2)   如货物的质量和规格与合同不符，买方将申请检验当局进行检验，并凭检验报告有权向卖方索赔(包括换货)。所有费用(检验费、退货和换货的运费、保险费、仓贮费和装卸费)均由卖方承担。ShouldthequalityandspecificationsofthegoodsbenotinconformitywiththeContract,theBuyersshallarrangeforasurveytobecarriedoutbytheInspectionAuthoritiesandhavetherighttoclaimagainsttheSellerinaccordancewiththeSurveyReportforreplacementwithnewgoods,orforcompensation.  Alltheexpenses(suchasinspectioncharges,freightforreturningthegoodsandforsendingthereplacement,insurancepremium,storageandLoadingandunloadingcharges)shallbebornebythesellers. (3)   如买方提出索赔后十五天内卖方未予答复，则认为卖方己接受索赔。TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellersfailtoreplywithin15daysafterreceiptoftheBuyers’claim. 17. 人力不可抗拒ForceMajeure凡在制造或装船运输过程中，因人力不可抗拒的事故，致使卖方推迟交货或不能交货时，卖方可不负责任，但发生上述事故时，卖方应立即通知买方，并在十四日内，给买方航寄一份主管当局颁发的事故证明书。在此情况下，卖方仍有责任并立即采取一切必要的措施加速交货。如果事故延续十周以上，买方有权撤销合同，买卖双方均不得互提索赔。卖方对于人力不可抗拒所造成的事故发生在买方未确认以前不得解除其责任。如果卖方不能取得出口许可证，不得作为人力不可抗拒。TheSellersshallnotberesponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereaftertheSellersshouldsendbyairmailtotheBuyersacertificateoftheaccidentissuedbythecompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethantenweeks,theBuyershallhavetherighttocanceltheContract.Delayinshipmentornon-deliveryofthegoodsduetotheSellers’failuretoobtaintheexportlicencecannotberegardedasForceMajeure. 18. 仲裁Arbitration凡因执行本合同所发生的或与本合同的关的一切争议，双方应通过友好协商解决，如果协商不能解决，应提交北京中国国际贸易促进委员会对外经济贸易仲裁委员会根据该会仲裁程序暂行规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。仲裁费用由败诉方承担。AlldisputesarisingfromtheexecutionoforinconnectionwiththisContractshallbesettledamicablythroughfriendlynegotiation.Incasenosettlementcanbereachedthroughnegotiation,thecaseshallthenbesubmittedtotheForeignEconomicandTradeArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTrade,Beijingforarbitration.Thearbitrationawardisfinalandbindinguponbothpartiesandthearbitrationfeeshallbebornebythelosingparty. 19. 延迟交货和罚款Latedeliveryandpenalty若非因本合同所规定的人力不可抗拒的因素延迟交货，卖方必须同意支付延迟罚款，罚款额每7天以合同总价0.5%计算，少于7天也以7天计算，但罚款总额不超过合同总价的5%。若卖方延迟交货超过10周，买方有权取消合同，尽管合同取消，卖方仍须立即支付上述罚款。卖方应负责由此造成的买方的经济损失。ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeurecausesspecifiedinclause17ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepayment.Therateofpenaltyischargedat0.5%foreverysevendays,odddaylessthansevendaysshouldbecountedassevendays.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinlatedelivery.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedinthecontract.TheBuyersshallhavetherighttocancelthecontractandtheSeller,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerwithoutdelay. 20. 关税及其他费用Taxandotherexpenses:所有由于执行本合同而发生的由中国政府根据生效的税法向买方征收的税项及发生在中国大陆境内的一切费用，均由买方负责缴付。所有由于执行本合同而发生在中国大陆境外的税项，由卖方负责缴付。但因卖方交单延期或单据不符影响到报关时间而产生的额外费用，卖方必须承诺支付，如集装箱疏港费、堆存费，报关滞报金等。AlltaxesarisinginsideChinacontinentinconnectionwiththeexecutionofthisContractleviedbytheChineseGovernmentontheBuyersinaccordancewiththetaxlawineffectshallbebornebytheBuyers,aswellasallotherexpenses.AlltaxesarisingoutsideChinacontinentwiththeexecutionofthisContractshallbebornebytheSellers.TheSellersshouldbearallextraexpenses,ifany,forthedelayinpresentationofdocumentsoranydiscrepancyondocumentsresultingthebuyersinthedeclarationtimetotheCustoms,forexample,thedemurrage,storagecharges,andlatedeclarationcharges. 21. 合同生效条款Effectofcontract合同经双方授权代签字后生效。传真件同正本一样具有法律效力。本合同如有任何异议，以中文版本为准。Thecontractwillbeeffectiveaftersignedbytheauthorizedrepresentativesofbothparties.Thefaxcopyofcontracthasthesamelegaleffectastheoriginalones.AnydisputesarisingfromthiscontractshallbeconstruedaccordingtotheChineseversion. 21．本合同备制正本一式四份，买方执三份，卖方执一份。Inwitnesswhereof,thisContractismadeouttwocopies,oneisfortheBuyers,anotherisfortheSellers. 买方：TheBuyers：                                 卖方TheSellers：                                              买方代表：Representative(Sign)：         卖方代表：Representative(Sign)：
