承诺），即将与乙方履行其在本协议项下义务相冲突、不一致或将阻碍、限制或禁止该等履行的义务或承诺；（ii）其为正式成立、合法存续的商业实体；（iii）乙方有资格履行业务/运营及履行本协议项下义务；（iv）乙方或签署本协议的人员具有签署本协议所需的权限；（v）乙方履行服务不违反亦不会违反任何适用法律、规则或规定；（vi）服务、交付物和著作成果不会侵犯任何第三方的专利、版权、商业机密或其他知识产权或转有权利，以及(vii)乙方不会将任何会影响、限制甲方或任何其他人员计算机或财产或对该等计算机、财产运营造成损害的病毒、蠕虫病毒、潜在破坏程序、被损文件、特洛伊木马或其他有害或恶意的代码、文件、脚本、智能体、程序或任何类似代码导入(或通过服务导入)甲方或任何其他人员的软件或系统中。RightsandObligationsofthePartiesPartyBshallassignitsemployeeswhowillbeprofessionalswithrichandappropriaterelevantexperiences,qualificationsandcapabilitiestoestablishaspecialserviceteamtoprovidePartyAwithsocialmediaserviceshereunderandguaranteethequalityofservices.PartyBrepresents,warrantsandguaranteesthat(i)theservicesprovidedbyitwillbeofaprofessionalandworkmanlikestandardinaccordancewithindustrybestpractices,and(ii)itwillnotbringPartyAortheAirbnbplatformintodisreputeorembarrassPartyAortheAirbnbplatform.PartyAshallprovidePartyBwithrelevantinformationandmaterialsnecessaryfortheperformanceofthisAgreementbyPartyBinatimelymanner.PartyAagreesthatPartyBwillnotberesponsibleforanyissuesresultingfromanyinaccuraciesinoromissionsfromorviolationsoflawforsuchinformationandmaterials.PartyAshallpaytheservicefeesinaccordancewithArticle4.IncasePartyAfailstomakepaymentinaccordancewithArticle4,andsuchfailuretopaycontinuesformorethan30days,thenPartyBmaychargelatepaymentinterestof9%perannum,andPartyBshallhavetherighttosuspendmarketingserviceorterminatethisAgreementinadditiontotherighttorequirePartyAtopayassetoutinthisAgreement.DuringtheperiodofprovisionofservicesbyPartyB,PartyAshallprovidereasonableco-operationtoPartyB.PartyBrepresentsandwarrantsthat(i)ithasnopre-existingobligationsorcommitments(andwillnotassumeorotherwiseundertakeanyobligationsorcommitments)thatwouldbeinconflictorinconsistentwith,orthatwouldhinder,restrictorprohibitPartyB’sperformanceofitsobligationsunderthisAgreement,(ii)itisavalidlyexistingbusinessentity,dulylicensed;(iii)PartyBisqualifiedtocarryonbusiness/operationsandperformtheobligations;(iv)PartyB,orthepersonsigningthisAgreementhasallbindingauthoritytoenterthisAgreement;(v)PartyB’sperformanceoftheservicesdoesnotandwillnotviolateanyapplicablelaw,rule,orregulation;(vi)theservicesandanydeliverablesandworkproductswillnotinfringeuponthepatent,copyright,tradesecretorotherintellectualorproprietaryrightsofanythirdparty;and(vii)PartyBwillnot,andwillnotallowtheservicestointroduceintoPartyA’soranyotherperson’ssoftwareorsystemsanyviruses,worms,timebombs,corruptedfiles,Trojanhorsesorotherharmfulormaliciouscode,files,scripts,agents,programs,oranyothersimilarcodethatmayinterrupt,limit,damagetheoperationofPartyA’sorsuchotherperson’scomputersorproperty._知识产权6.1履行本协议项下服务产生的或与之相关的所有著作成果(包括最终未能通过的草案和提案)知识产权(包括但不限于版权；包括但不限于乙方根据本协议提供给甲方的所有方案和)应为甲方独家所有，且乙方特此以不可撤销的方式将所有创作时未能绝对归属甲方的、与该等著作成果相关的权利、所有权和利益转交并转让给甲方。应甲方要求，本协议期限内及到期后，乙方将在各方面协助甲方并与甲方合作、签署文件，并将采取甲方合理要求的后续行动，以令甲方获取、转让、保留、改善和实施其知识产权或针对著作成果的其他法律保护手段，费用由甲方承担。乙方特此任命甲方主管作为乙方实际代理人，以乙方名义就上述受限目的签署文件。就乙方不能转让给甲方的著作成果内或相关的权利、所有权及利益程度而言，乙方特此放弃该等不可转让的权利、所有权和利益，并承诺决不再对甲方、甲方的关联方、其利益继任人或任何客户宣称该等权利、所有权和利益为乙方所有。6.2乙方同意其在本协议项下的所有工作成果应仅依照本协议的约定并为履行本协议下的义务而进行使用，并且乙方不得直接或间接地(a)自行或授权任何第三方将其用于本协议约定以外的任何其他用途(b)在得到甲方书面同意之前透露，提供或公开给任何第三方。6.3除上述著作成果外，乙方向甲方提供的任何文件、信息和数据（包括但不限于技术规格和测试规格）以及为了履行本协议义务乙方向甲方提供的乙方合法拥有/使用的知识产权和其他合法权利和权益，应继续为乙方所有。尽管存在前述规定，若甲方必需或应使用该等文件、信息和数据以充分无碍地享用著作成果，乙方特此授予或拟授予（或将令相关方授予）甲方非排他性的、不承担版税的全球许可证（包括发出从属许可证的权利）6.4在适用法律允许的最大范围内，乙方同时特此不可撤销地向甲方转让、并同意不可撤销地向甲方转让、且放弃并同意永不主张乙方在本协议期间及之后就任何著作成果拥有的任何和全部著作人格权（定义见下文）。“著作人格权”系指主张对作品的著作权、反对或防止对作品进行修改或破坏、停止发行或限制作品出版发行作品发行的任何权利，以及根据任何国家司法或成文法或任何条约存在的任何相似权利，无论该等权利是否称为或通常提及的名称为“著作人格权”。6.5乙方应保证其提供给甲方的上述工作成果及相关资料不存在侵犯第三方权利和利益（包括知识产权与隐私权）的情况，否则，相关的责任和合理费用概由乙方承担；在紧急情况下，甲方在先行履行完相关赔偿责任后，有权直接从协议价款中扣除，不足部分，甲方有权向乙方追偿。6.6下列原因而产生的全部索赔、损害、债务、损失、费用和成本（包括合理的费用和律师费及其他专业人员费用），乙方应为甲方辩护，赔偿甲方并使甲方免受损害：（a）第三方因乙方提供的任何服务进行索赔而对甲方提起的任何诉讼，或该等服务的结果（包括任何著作成果），或甲方对该等成果的使用违反、滥用或违犯该等的知识产权或其它权利；和或（切因乙方的作为或不作为导致：（i）人身伤害（或死亡）或有形或无形的财产损失（包括使用损失）；或ii）违反任何法规、法令或条例，而致使第三方对甲方提起任何诉讼6.7在任何情况下，对于与本协议有关的任何种类的特殊、偶然、惩罚性、惩戒性或间接损害，双方均不承担责任，即使任何一方已经提前知晓该等损害的可能性，且不承担任何补救的失败后果。另外，在任何情况下，任何一方不负责超过甲方在本协议项下的支付额的任何损害或损失。IntellectualPropertyandLiabilityTheintellectualproperty(includingwithoutlimitationtothecopyright)ofallworkproducts(includingdraftsandproposalsthatareeventuallyrejected)producedasaresultoforinconnectionwiththeperformanceoftheserviceshereunder(includingwithoutlimitationto:allschemesandplansprovidedtoPartyAbyPartyBinaccordancewiththisAgreement)shallvestinPartyAabsolutely,andPartyBherebyirrevocablytransfersandassignstoPartyAanyandallright,titleandinterestinsuchworkproductsthatdonotvestinPartyAabsolutelyupontheircreation.AtPartyA’srequestandexpense,duringandafterthetermofthisAgreement,PartyBwillassistandcooperatewithPartyAinallrespects,andwillexecutedocuments,andwilltakesuchfurtheractsreasonablyrequestedbyPartyAtoenablePartyAtoacquire,transfer,maintain,perfectandenforceitsintellectualpropertyrightsandotherlegalprotectionsfortheworkproducts.PartyBherebyappointstheofficersofPartyAasPartyB’sattorney-in-facttoexecutedocumentsonbehalfofPartyBforthislimitedpurpose.Totheextentanyoftherights,titleandinterestinandtotheworkproductscannotbeassignedbyPartyBtoPartyA,PartyBherebyirrevocablywaivesandagreesnevertoassertthenon-assignablerights,titleandinterestagainstPartyAoritsaffiliates,anyoftheirsuccessorsininterest,oranyoftheircustomers.PartyBmayusealltheworkproductsonlyaccordingtotheprovisionsofthisAgreementandforthepurposeofperformanceoftheobligationshereunder,andPartyBshallnotdirectlyorindirectly(a)useorauthorizeanythirdpartytousethemforanyotherpurposesotherthanthosesetforthherein,or(b)disclose,makeavailableorpublishthemtoanythirdpartywithoutPartyA’spriorwrittenconsent.Exceptfortheaboveworkproducts,anydocument,information,dataandanyPartB’sintellectualpropertyright/otherlegalrightsprovidedtoPartyAbyPartyB(includingwithoutlimitationtotechnicalspecificationsandtestspecifications)forthepurposeofperformingthiscontractshallremainownedbyPartyB.Notwithstandingtheforegoing,intheeventandtotheextentthatanyuseofsuchdocument,informationordataisnecessaryordesirableforthefullandunfettereduseandenjoymentbyPartyAoftheworkproducts,PartyBherebygrantsorwillcausetobegrantedtoPartyAanon-exclusive,royalty-freeworldwidelicense(withtherighttosublicense).Tothefullestextentpermittedbyapplicablelaw,PartyBalsoherebyirrevocablytransfersandassignstoPartyA,andagreestoirrevocablytransferandassigntoPartyA,andwaivesandagreesnevertoassert,anyandallMoralRights(asdefinedbelow)thatPartyBmayhaveinorwithrespecttoanyworkproducts,duringandafterthetermofthisAgreement.1“MoralRightsmeananyrightstoclaimauthorshipofawork,toobjecttoorpreventthemodificationordestructionofawork,towithdrawfromcirculationorcontrolthepublicationordistributionofawork,andanysimilarright,existingunderjudicialorstatutorylawofanycountryintheworld,orunderanytreaty,regardlessofwhetherornotsuchrightascalledorgenerallyreferredtoasa"moralright.”PartyBshallguaranteethattheaboveworkproductsandrelevantmaterialsprovidedtoPartyAbyitarefreefromaviolationofanythird-partyrightsandbenefits(includingintellectualpropertyrightsandprivacyrights).PartyBwilldefend,indemnifyandholdPartyAharmlessfromandagainstallclaims,damages,liabilities,losses,expensesandcosts(includingreasonablefeesandexpensesofattorneysandotherprofessionals)arisingoutoforresultingfrom:(a)anyactionbyathirdpartyagainstPartyAthatisbasedonaclaimthatanyservicesprovidedbyPartyB,ortheresultsofsuchservices(includinganyworkproduct)orPartyA’susethereof,infringe,misappropriateorviolatesuchthirdparty'sintellectualpropertyrightsorotherrights;and/or(b)anyactionbyathirdpartyagainstPartyAthatisbasedonanyactoromissionofPartyBthatresultsin:(i)personalinjury(ordeath)ortangibleorintangiblepropertydamage(includinglossofuse);or(ii)theviolationofanystatute,ordinance,orregulation.InnoeventwillanyPartybeliableforanyspecial,incidental,punitive,exemplaryorconsequentialdamagesofanykindinconnectionwiththisagreement,evenifanyPartyhasbeeninformedinadvanceofthepossibilityofsuchdamagesandnotwithstandingfailureofessentialpurposeofanyremedy.Inaddition,innoeventwillanyPartybeliableforanydamagesorlossesinexcessoftheamountspaidbyPartyAunderthisagreement._保密责任7.1在本协议中，“保密信息”系指，且包括但不限于：(i)向任何一方披露的、或任何一方因提供服务而可获得的与对方及其业务、财务状况、产品、程序技术、客户、供应商、技术或研究与开发相关的任何信息、材料或知识，无论该等信息、文件或有形对象是否标记为“机密”、“专有”或有类似命名，且包括特此情况下合理的接收方看起来为机密或专有的、和/或任何一方计划在本协议项下为保密信息的所有文件或信息；(ii)任何一方服务提供的著作成果；以及(iii)本协议的条款。保密信息不包含任何任何一方可出示的信息，即(a)不因任何一方的过失而成为公共领域一部分的信息；(b)在披露时已合法归各方所有、无任何保密义务的信息，其使用或披露已无任何限制；或(c)任何一方从有权披露的、以及使用或披露不受限制的第三方合法收到信息。任何一方响应(1)法院或其它政府机构的有效命令或(2)法律以其他方式强制披露的任何保密信息，不视为违反本协议或为其它目的放弃机密性，然而，任何一方须及时就该等披露向对方发出事先书面通知，以让对方寻求保护令或其它救济(甲方自付费用)防止或限制该等披露，且任何一方同意遵守法院或行政或管理机构发出的任何该等命令。任何一方同意对所有保密信息进行严格保密，除按本协议提供服务外，不以任何商业形式或其它形式使用该等信息，且不向任何其他人披露该等信息。任何一方进一步同意采取所有必要的合理措施保证所有保密信息的机密性。1.2.本保密条款不因本协议的变更、解除、终止而失效。ConfidentialityForpurposesofthisAgreement,“ConfidentialInformation"meansandwillincludewithoutlimitation:(i)anyinformation,materialsorknowledgeregardinganyPartyanditsbusiness,financialcondition,products,programmingtechniques,customers,suppliers,technologyorresearchanddevelopmentthatisdisclosedtotheotherPartyortowhichanyPartyhasaccessinconnectionwithperformingservicesregardlessofwhethersuchinformation,documentsortangibleobjectsarelabeled"confidential,""proprietary,"orsomesimilardesignation,andincludesalldocumentsorinformationthatwouldunderthecircumstancesappeartoareasonablereceivingpartytobeconfidentialorproprietaryand/orintendedbyanyPartytobeConfidentialInformationunderthisAgreement;(ii)theworkproductsfromanyParty'sservices;and(iii)thetermsandconditionsofthisAgreement.ConfidentialInformationwillnotincludeanyinformationthatanyPartycandemonstrate:(a)isorbecomespartofthepublicdomainthroughnofaultofanyParty;(b)wasrightfullyinanyParty'spossessionfreeofanyobligationofconfidenceatthetimeofdisclosure,withoutrestrictionastouseordisclosure;or(c)anyPartyrightfullyreceivesfromathirdpartywhohastherighttodiscloseitandwhoprovidesitwithoutrestrictionastouseordisclosure.AdisclosureofanyConfidentialInformationbyanyParty(1)inresponsetoavalidorderbyacourtorothergovernmentalbodyor(2)asotherwiserequiredbycompulsionoflaw,willnotbeconsideredtobeabreachofthisAgreementorawaiverofconfidentialityforotherpurposes,provided,however,thatanyPartyprovidespromptpriorwrittennoticethereoftotheotherPartytoenabletheotherPartytoseekaprotectiveorderorotherrelief(atitssoleexpense)topreventorrestrictthedisclosureandanyPartyagreestocomplywithanysuchorderissuedbyacourtoradministrativeorregulatoryagency.AnyPartyagreestoholdallConfidentialInformationinstrictconfidence,nottouseitinanyway,commerciallyorotherwise,exceptinperformingtheservicesinaccordancewiththisAgreement,andnottodiscloseittoothers.AnyPartyfurtheragreestotakeallactionsreasonablynecessarytoprotecttheconfidentialityofallConfidentialInformation.Anymodification,rescission,orterminationhereofshallnotaffectthevalidityofthisconfidentialityclause.协议的转让、变更和解除8.1未经另一方事先书面同意，本协议项下的任何权利和义务均不得转让或委托给任何第三方。尽管存在前述规定，但甲方仍可书面通知乙方，在未经乙方事先同意的情况下，将本协议完全转让给任何其附属实体。8.2在本协议有效期内，因乙方上市、被收购、与第三方合并、名称变更等事由，甲方有权选择同意乙方将其在本协议中的权益(或义务)转让给相应的乙方/义务的承受者或者向乙方发出通知而终止本协议。在甲方同意乙方义务的承受者继续履行本协议的情况下，乙方应保证甲方在本协议中的权益不会因此而受到不利影响。如甲方不同意乙方进行上述转让行为，可单方终止本协议，乙方应按照乙方未完成的服务内容比例向甲方退还相应费用。8.3—方变更通讯地址或通讯方式，应自变更之日起10个工作日内，将变更后的地址及联系方式通知另一方，否则变更方应对此造成的一切后果承担责任。8.4除本协议另有约定外，在本协议有效期内，甲乙任何一方单方要求变更或解除协议的需提前30日通知对方，双方经协商一致后达成书面协议。Transfer,ModificationandTerminationoftheAgreementAnyrightsandobligationshereundershallnotbetransferredordelegatedtoanythirdpartywithouttheotherparty'spriorwrittenconsent.Notwithstandingtheforegoing,PartyAmayassignortransferthisAgreementinfulltoanyofitsaffiliatedentitiesbywrittennoticetoPartyB,withoutPartyB'spriorconsent.DuringthetermofthisAgreement,inthecaseofmergerwithanythirdpartyornamemodificationbecauseofPartyB'slistingorbeingacquired,PartyAshallhavetherighttoagreetoPartyB'stransferofrightsandinterests(orobligations)hereundertoPartyB'scorrespondingsuccessorortoterminatethisAgreementbygivingnoticetoPartyB.InthecasethatPartyAagreestoPartyB'sobligationsbeingtransferredtoPartyB'ssuccessortoperformthisAgreementcontinually,PartyBshallguaranteethatallofPartyA'srightsandinterestshereunderwillnotbeadverselyaffected.IfPartyAdisagreeswiththeabovetransfers,PartyAmayterminatethisAgreementunilaterallyandPartyA'spaymentobligationsunderthisAgreementshallbereducedproportionatelybasedontheuncompletedtermoftheAgreement.Inthecasethateitherpartychangesitsmailingaddressorcommunicationmode,thechangedaddressandcontactinformationshallbeinformedtotheotherpartywithinten(10)workingdaysuponchangedate,otherwise,itshallberesponsibleforanyconsequencesarisingtherefrom.Unlessotherwiseprovidedherein,duringthetermofthisAgreement,incasethateitherpartyrequirestomodifyorterminatethisAgreementunilaterally,suchpartyshallnotifytheotherparty30daysinadvanceandawrittenagreementshallbeotherwiseexecutedbybothPartiesbasedonmutualnegotiation.适用法律与争议解决本协议的解释、效力、订立、履行、终止及其他事宜，均适用中华人民共和国法律、法规章。9.2双方特此服从位于上海的非专属性管辖权的法院的管辖。GoverningLawandDisputeResolutionTheinterpretation,validity,execution,performance,terminationandothermattersofthisAgreementshallbegovernedbythelawsandregulationsofthePeople'sRepublicofChina.Thepartiesherebysubmittothenon-exclusivejurisdictionofthecourtslocatedinShanghai..其他本协议项下进行的所有通知、要求或其他通讯均应以书面方式进行。该等通知可用手递、挂号信、传真或邮政专递等方式送达至各方在本协议首页中所列明的地址或各方不时通知另一方的其他地址。对于本协议所进行的任何补充或修改均应由双方协商一致，且仅在双方以书面形式达成补充协议或修改协议的情况下方发生效力。如果现在或未来颁布的任何法律使得本协议的任何条款受到限制或不能强制执行，则该条款无效，但本协议其他条款还应继续有效。双方将在商业上尽合理努力讨论替代或修改任何该等受限制或不能执行的条款。任一方不行使或延迟行使其在本协议项下任何权利、补救措施、酌情决定权、授权或其它权利并不表示该方放弃该权利或任何其它权利，亦不损害该方的任何其它权利。对该权利的单一或部分行使并不剥夺其再次或日后的行使。本协议项下所有弃权或同意均须以书面形式做出。5.本协议构成各方当事人之间完整、唯一的协议和约定，并取代所有以前有关的口头或书面建议、陈述、保证、协议或承诺等。本协议附件系本协议不可分割的组成部分。.6.本协议自甲乙双方授权代表签署并加盖公章之日起生效。本协议正本一式两份，所有正本均被视为同一份文件，双方各执一份，每份具有同等法律效力。..乙方为甲方的独立承包商，本协议中无任何内容将使双方构成合伙、合资、代理、雇用或相似关系。乙方无权以或其它方式约束甲方。..乙方陈述、保证并担保其将遵守所有适用的反腐败法，且其任何时候均不会以任何直接或间接原因以任何目的（无论是为获利还是其它）向任何人（包括但不限于任何政府或类政府机构或国营企业或国有企业或国家控制的企业内的官员或员工）支付、提供任何有价值的事物或以其它方式提供任何非法的贿赂，或批准任何其他人进行任何前述事项。..本协议官方语言为中文。英文条款仅作为参考目的。Miscellaneous,Allnotices,requirementsorothercommunicationshereundershallbemadeinwriting.Suchnoticesshallbesenttotheaddressessetoutinthefirstpagehereoforotheraddressesnotifiedbyeitherpartyfromtimetotimetotheotherpartyinwaysofpersonaldelivery,registeredletter,faxorpostalcourier.AnysupplementormodificationtothisAgreementshallbesettledonthebasisofmutualnegotiationandshallbecomeeffectiveonlyupontheexecutionofwrittenSupplementaryAgreementorModificationAgreementbybothParties.Ifanyprovisionshereofarerestrictedorunenforceableunderanyexistingorfuturelaws,suchprovisionsshallbeinvalid,providedthatotherprovisionshereofshallremaininfullforceandeffect.BothPartiesshallusecommerciallyreasonableeffortstodiscussthereplacementormodificationofanysuchrestrictedorunenforceableprovisions.Anyfailureordelayonthepartofeitherpartytoexerciseanyright,remedy,discretion,authorizationorotherrightsunderthisAgreementshallnotbedeemedasawaiverthereof,norshalldamageanyotherrightsofsuchparty.Anysingleorpartialexerciseofsuchrightsshallnotdeprivetherightofexerciseoncemoreorinfuture.AllwaiverorconsentunderthisAgree
