16ForewordThis“GeneralLogisticStandard”wascompiledbasedontherequirementsofFAW-Volkswagen’sLogisticsDepartmentandactualandexistingcircumstancesarisingfromday-to-daywork,withtheaimofclarifyinglogisticrequirementsbeforeanewpartisdesignated,enablingpre-selectedsupplierstoproducemoreaccuratelogisticquotations,andprovidingafoundationandguaranteeforthefutureimplementationoflogisticrequirementsduringbatchgoodssupply.Whenanewpartisprocessed,theFAW-VolkswagenLogisticsDepartmentwillcarryoutfurtherconfirmationandadjustmentsaccordingtothelogisticstandarddecidedduringpartdesignation.Duringday-to-daygoodssupplyandoperations,allsuppliersmustabidebythespecificlogisticrequirementsofthe“GeneralLogisticStandard”andanyotherofFAW-Volkswagen'swrittensuggestions,andperformallthedutiesandobligationsstipulatedinthecontractbetweenthesupplierandFAW-Volkswagen,avoidingallnon-compliantbehavior,andthusimprovetheoperationefficiencyandcontrolcapabilitiesofthewholelogisticcycle.FAW-Volkswagenreservestherightoffinalinterpretationofthe"Standard.”WiththedevelopmentofFAW-Volkswagenandthenewrequirementsofrelevantlawsandregulations,theCompanywillupdateandpromptlyre-releasethisdocument.1.GeneralPrinciples1.1.Pre-selectedsuppliersmustorganizeandplantheirlogisticprocessbasedonFAW-Volkswagen'slogisticrequirements,andinturncompletethequotationaccordingtothisprocess,makingsurethateachlogisticcostismadeclearinFAW-Volkswagen’squotationform.1.2.Duringthegoodssupplyprocess,thesuppliermustnotonlyabidebythelogisticrequirementsdescribedinthe“Standard”,butalsoabidebyotherlogisticstandardsandrequirementsstipulatedbyFAW-Volkswagennotemphasizedormentionedbythe“Standard.”1.3.If,duringthegoodssupplyprocess,therearechangestothequotationand/ormodeofoperation,thesuppliermustobtaintheapprovalandagreementoftheFAW-VolkswagenLogisticsDepartmentbeforethesebecomeeffective,otherwisethesuppliermusttaketheresponsibilityforanyconsequencesthatarisefromthesechanges.2.GoodsSupplyMethodsInprinciple,partssuppliedtoFAW-Volkswagen'sdesignatedsitescanreachtheirdestinationviathreemethods:2.1.KanbanGoodsSupply:ThesupplierdeliversgoodstoFAW-Volkswagen'slogisticentranceaccordingtothegoodsdemandsentbyFAW-VolkswagenviaelectronicKanban(ortelephone).2.2.JustInTime(JIT)GoodsSupply:ThesupplierdeliversgoodstoFAW-Volkswagen’slogisticentranceaccordingtothecarmanufacturingsequence.Whenevernecessary,internalJITproductionmustbecarriedoutaccordingtoFAW-Volkswagen'srequirements.2.3.RequirementPlanningGoodsSupply:Thesupplier(outsideChangchun)suppliesgoodstoaspecifiedtransitwarehouse(thepartsremainthepropertyofthesupplier)accordingtothegoodsarrivaltimeandquantitiesrequiredinthePartRequirementPlan,andarethensentfromthetransitwarehousetoFAW-Volkswagen’slogisticentranceviaKanbanorJITmethods.Pre-selectedsupplierscanobtainrelevantinformationfromFAW-Volkswagen’sContracting-OutNewPartsdocument.3.Settlements3.1.PartsSuppliedViaKanban:FAW-Volkswagenwillmakesettlementsaccordingtothenumberofpartsregisteredinitslogisticentrysystemashavingenteredthewarehouse.3.2.PartsSuppliedViaJIT:FAW-VolkswagenwillmakesettlementsaccordingtothenumberofpartsatpointCP7,aftercarshavecomeofftheassemblyline.4.GeographicalLocationofSuppliersInordertoensurethatasuppliercandispatchgoodstoFAW-Volkswagenuponreceiptofitsgoodsdemandwithinthecontrolledtime,suppliersshouldbelocatedneartheCompany(supplierslocatednearthetransitwarehousewouldalsofulfillthisrequirement).4.1.KanbanParts:AfterreceivingFAW-Volkswagen’sgoodsdemandnotice,goodsmustbedeliveredtotheCompany’slogisticentrancewithin2hours.4.2.JITParts:Ideally,thesupplierwillbelocatedwithina5kmradiusofFAW-Volkswagen.Thelimitis25km.5.LogisticSolutions5.1.Afterpre-selectedsupplierssignaTestManufactureAgreement(TMA)withFAW-Volkswagen,theyshouldimmediatelygetincontactwiththeLogisticPlanningSectionoftheLogisticsDepartmentanddecideupona“PartSupplyLogisticSolution,”seekingfinalconfirmationwiththeLogisticPlanningSection.The“PartSupplyLogisticSolution”includestransport,transitwarehouse,packaging,etcsolutionsrequiredforpartstodeliverfromthesuppliertoFAW-Volkswagen’sentrance.5.2.Beforethebatchgoodssupply,thesuppliermustmakepreparationsaccordingtothe“PartSupplyLogisticSolution.”Ifforanyreasonsomethingcannotbecompletedaccordingtoplan,thesuppliermustcontacttheLogisticPlanningSectioninadvance.5.3.Thesuppliermustrigorouslyexecutethelogisticsolution;ifanychangesarerequired,thesuppliermustcontacttheLogisticPlanningSectioninadvanceand,havingobtaineditsapproval,carryoutthechanges.6.TransportRequirementsWhentransportingparts,inadditiontoabidingbyChineselaws,regulationsandindustrystandards,thesuppliermustalsopayattentiontothefollowing:6.1.Thevehicleusedtotransportthepartsmustbeofavan-typewithasealedholdandconvenientforloadingandunloading.Thevehiclemustalsobeingoodconditionandallequipment(fastenings,firepreventionequipment,etc)mustbeinfullworkingorder.Duringtransport,containersandracksshouldbeappropriatelyfixeddown.6.2.VehiclesthatenterFAW-VolkswagenmustfulfilltheCompany’srequirements.6.3.Driversanddeliverymenmustbewell-trained,ensuringthatsuppliersarecontactedswiftlyduringtransportation.6.4.Chemicals,oils&lubricantsanddangerousarticlesmustbetransportedinspecialvehicles,whilethetransportofeasilyflammableandexplosivechemicalsmustbeapprovedbythePublicSecurityDepartment,andtransportedaccordingtotherequirementsofChineseregulations,alsotakingthenecessarysafetymeasures(i.e.warningsignsinclearview).6.5.Inordertoenhancecorecompetitivenessbyloweringparttransportcosts,FAW-Volkswagenmayentrusttheonecarriertotransportthegoodsofmorethanonesupplier:6.5.1.Iftheparttransportcostofasuppliercanbeoptimized,FAW-Volkswagenwillorganizejointtransportation,paythecarrier,anddeducttherelevantamountfromthepartcostitowesthesuppliers.Moreover,inanysubsequentquotations,thesupplierwillnothavetoincludetransportcosts.FAW-Volkswagenwillnotifytheimplementationofthismeasureatalaterdate;6.5.2.Iftheparttransportcostcannotbeoptimized,thesuppliermustmakeitsowntransportarrangements.7.TransitWarehouseRequirements7.1.Currently,FAW-VolkswagenhasdesignatedtwolocalizedtransitwarehousesinChangchun;forFAW-Volkswagen’sCarPlant1andCarPlant2respectively:A. TransitWarehouseofFactory1:VolkswagenLogisticsChangchunCo.Ltd.,abbreviatedtoLILA1B. TransitWarehouseofFactory2:FAWInternationalLogisticsCenter,abbreviatedtoLILA27.2.Inprinciple,FAW-VolkswagenrequiressuppliersoutsideChangchuntostoretheirpartsatLILA1orLILA2;dependingonthesupplier’sregion,thefollowingtimeappliesfortransitwarehousestorage:7.3.TheexactstoragetimeforeachpartmustbeconfirmedwiththeMaterialDispositionSectionoftheLogisticsDepartment.7.4.Iftheusagetimeofthesmallestcapacitypackageofapartexceedstheabovestipulatedtime,itshouldbeusedasthestandardtimeforthatparticularpart.7.5.Partsmustbesentandstoredinthecorrespondingtransitwarehousedependingonthecarandmachinerytypesproducedrespectivelyatthetwofactories.PartsrequiredbybothfactoriesshouldbedealtwithaccordingtotheLogisticSolutiondeterminedwiththeLogisticPlanningSection.7.6.Inordertofacilitateunifiedmanagement,FAW-VolkswagendoesnotencouragesupplierstosetuptheirowntransitwarehouseinChangchun;moreoverthesupplierisfullyresponsibleforanyinconveniencesorincreasedexpensethatsuchamovemightentail.7.7.ForpartsstoredatLILA1:7.7.1.Currently,itisthesupplierthatpaysforstoragecostsatLILA1;7.7.2.Inordertoenhancecorecompetitivenessbyloweringpartstoragecosts,FAW-VolkswagenplanstodirectlypayforLILA1storagecostsandthendeducttherelevantamountfromthepartcostsitowesthesuppliers.Moreover,inanysubsequentquotations,thesupplierwillnothavetoincludepartstoragecosts.FAW-Volkswagenwillnotifytheimplementationofthismeasureatalaterdate;7.8.ForpartsstoredatLILA2:FAW-VolkswagendirectlypaysforLILA2storagecosts;quotationsshouldnotincludepartstoragecosts.8.PackagingRequirements8.1.Inprinciple,whenpartsthatareduetobesentdirectlyfromsuppliertoFAW-Volkswagenleavethefactory,theyarepackagedinre-usablelogisticequipment(plasticcontainers,metalcontainersandracks);whenpartsthatareduetogothroughthetransitwarehouseleavethefactory,theyarepackagedindisposablepackaging(paperpackaging).Thesepartsarethenre-packagedintore-usablelogisticequipmentatthetransitwarehouse,beforebeingsenttoFAW-Volkswagen'slogisticentrance.Allpackagingmustconformtoquality,safetyandenvironmental-friendlyrequirements,andtheexactpackagingsolutionofeachpartmustbedeterminedwiththeLogisticPlanningSection,ensuringthatallpreparationsarecompletedwithinitstimerequirements.8.2.Manufactureandmaintenance:8.2.1.Re-usablelogisticboxManufacturingstandardsandquantitiesaredeterminedbytheLogisticPlanningSection,meaningthatthesuppliershouldonlymanufactureorpurchasethisequipmentfromthebox-manufacturersdesignatedbyFAW-Volkswagen;howeverthepriceofthisequipmentshouldbenegotiatedindependently.Atthesametime,thesuppliermustcarryoutmaintenance,updating,cleaningandtheprocessingofsignsaccordingtoFAW-Volkswagen'srequirements;8.2.1.1.Logisticequipmentincommon-use(1.1)FromsupplierdirectlytoFAW-Volkswagen’sentrance:Allequipmentistobeprovidedbythesupplier;(1.2)Fromsuppliertotransitwarehouse:Allequipmentistobeprovidedbythesupplier;(1.3)FromLILA1toFAW-Volkswagen’sentrance:Equipmentusedduringtransportistobeprovidedbythesupplier;FromLILA2toFAW-Volkswagen’sentrance:EquipmentusedduringtransportistobeprovidedbyFAW-Volkswagen;8.2.1.2.SpecialLogisticEquipment(2.1)FromsupplierdirectlytoFAW-Volkswagen’sentrance:Allequipmentistobeprovidedbythesupplier;(2.2)Fromsuppliertotransitwarehouse:Allequipmentistobeprovidedbythesupplier;(2.3)FromLILA1toFAW-Volkswagen’sentrance:Allequipmentistobeprovidedbythesupplier;FromLILA2toFAW-Volkswagen’sentrance:EquipmentusedduringtransportistobeprovidedbyFAW-Volkswagen;8.2.2.Disposablepackaging:ThesuppliermustmanufactureorpurchasethisaccordingtotherequirementsofFAW-Volkswagen'sLogisticPlanningSection.8.3.Equipmentdepreciation:Metalequipmentdepreciationiscalculatedona6yearbasis,whileplasticequipmentdepreciationiscalculatedona3yearbasis.8.4.Equipmentmaintenance:Inprinciple,equipmentmaintenanceshouldbecarriedoutatFAW-Volkswagen-designatedlogisticequipmentsuppliers;ifthesuppliercarriesoutmaintenanceindependently,thismuststillbedoneinaccordancewithFAW-Volkswagen’sequipmentstandards.8.4.1.FromsupplierdirectlytoFAW-Volkswagen’sentrance:Allequipmentistobemaintainedbythesupplier;8.4.2.Fromsuppliertotransitwarehouse:Allequipmentistobemaintainedbythesupplier;8.4.3.FromLILA1toFAW-Volkswagen’sentrance:Equipmentusedduringtransportistobemaintainedbythesupplier;8.4.4.FromLILA2toFAW-Volkswagen’sentrance:EquipmentusedduringtransportistobemaintainedbyFAW-Volkswagen;8.4.5.Whenresponsibilityfordamagedequipmentisindisputable,whoeverisresponsiblewillcarryouttherepair.8.5.Packagesigns:thesuppliermustplacesignsonpackagesaccordingtotherequirementsofFAW-Volkswagen’sLogisticPlanningSection,andensurethatsignsarecorrect,ingoodcondition,andinclearview;afteremptyequipmentisreturned,suppliersmustpromptlyprocessoldsignstoensurethetraceabilityofparts.8.6.Returnofemptyequipment:thesupplierandtransitwarehouseshouldpromptlyreturnemptyequipmentaccordingtotherequirementsofFAW-Volkswagen’sLogisticPlanningSection.9.PartRequirementPlanning9.1.ThesuppliershouldorganizeandarrangeitsownproductionandmaterialpreparationworkaccordingtoFAW-Volkswagen’sPartRequirementPlan.9.2.OutsidesuppliersmustsupplygoodstoadesignatedtransitwarehouseaccordingtothegoodsarrivaltimeandquantitystipulatedinthePartRequirementPlan.9.3.ThesuppliermustapplyforafreeemailaddressfromFAW-Volkswagen’sSupplyDepartment;whenbatchgoodssupplystatushasbeenachieved,FAW-VolkswagenwillsendthePartRequirementPlantothisaddress.9.4.ThesuppliershouldensurethattheemailaccountischeckedregularlyeveryFAW-VolkswagenworkingdayandthatmessagesandnoticesfromtheCompanyareactedupon;ifaproblemwiththeemailaccountarises,thesuppliershouldimmediatelycontactFAW-Volkswagen;iftheCompanydoesnotreceiveanyfeedbackfromthesupplier,itwillassumethateverythingisproceedingaccordingtoplan.9.5.FAW-Volkswagen’sPartRequirementPlanning:9.5.1.NetRequirementPlanning:theSAPSystemprovidesRollingRequirementPlansforparts.Thegoodsdemandplan,sentweekly,includes26weeksofweeklypartrequirements.Whenevernecessary,thedetailedgoodsdemand,sentdaily,includes4weeksofdailyrequirements.9.5.2.SupplementaryPlanning:Intheeventofpartshortage,wrong-delivery,damage,etc,additionalplans(asagreedearlier)mustbecarriedoutviatelephone,faxoremail.9.6.Thesuppliermustpossessefficientplanningcapabilities,andhavesufficientstocktosatisfyrequirementsbesidesthoseofFAW-Volkswagen.10.GoodsDemandInformationSystems10.1.Kanbanparts10.1.1.ThesuppliermustestablishanR/3SystemconnectionwithFAW-Volkswagen,whichtheCompany’slogisticentrywillusetosendanElectronicKanbancontaininggoodsdemandinformation.ThesupplierwillcarryoutthegoodssupplybyconnectingtotheR/3Systemandprintingabar-codedGoodsSupplyForm;10.1.2.EachyearthesuppliermustpayaninformationservicechargetoFAW-Volkswagen,seeappendix1.10.2.JITparts10.2.1.ThesuppliermustpurchasetheFISSystemprovidedbyFAW-Volkswagen.JITgoodssupplywillbecarriedoutaccordingtothepartrequirementmessagessentbytheFISSystembasedontheCP5Amanufacturingsequence;10.2.2.Viaacomputersystem,thesupplierreceives,respectively,theassemblysequenceplanguidelinessentbybodyshoppointR100(carbodiesareonline)oralater-stageinformationpointandtheassemblysequenceplanguidelinessentbypointM100(CP5A).JITproductionorback-uppreparationsarecarriedoutaccordingtotheassemblysequenceplanguidelines;10.2.3.ThesuppliermustpayFAW-VolkswagenfortheequipmentessentialforJIT,andalsopayaninformationservicecharge,seeappendix1.10.3.FAW-Volkswagen’sCompanyManagementServicesandLogisticsDepartmentswillbejointlyresponsibleforthemanagementoftheLogisticsInformationSystem(hardwareandsoftware).Shouldaproblemwiththegoodssupplysystemarise,thesuppliershouldpromptlyreporttoFAW-Volkswagen.11.Fines11.1.If,becauseofaproblemwiththesupplier(lategoodssupply,batchproductionqualityfallsshortofthemark,etc),FAW-Volkswagenhastohaltproduction,theProductionControlSectionoftheLogisticsDepartmentwillnotifythesupplieroftheneedforimprovementandgiveoutafineaccordingtothestandardsstipulatedbytherelevantdepartment.Currentlythefineissetat:150RMB/min.11.2.IfthesupplierviolatesanyofFAW-Volkswagen’srelevantregulationsandcausestheCompany’slogisticoperationstoincuradditionalcosts,theCompany’srelevantdepartmentwillcalculatetheseandaskthesuppliertoprovidecompensation.12.ChangesinTechnology12.1.Ifthetechnologyofapartchanges,thesuppliershoulddeterminethetimeforproductionpreparationsaccordingtoaccuratedrawings,andnotifyFAW-Volkswagen’sProcurementDepartmenttheproductiontimeofthenewpart,aswellascompletingproductionpreparationswithinthestipulatedtime.12.2.ViatheProcurementDepartment,thePre-seriesManagementSectionoftheLogisticsDepartmentwillissuethesupplierwitha“TechnologyChangeTimetable",thesuppliermustthenprovidethegoodsaccordingtothetechnologychangeimplementationtime.13.WorkingHoursThesuppliermustarrangeitsworkinghours(shiftchanges,restdays,holidays,meetings,productioncapacityfluctuations,etc)accordingtoFAW-Volkswagen’sproductioncalendarandspecificcircumstances,andcompletegoodsdeliverywithintherequirementsofFAW-Volkswagen'sgoodsdeliverywindows.14.Contacts14.1.Inordertoefficientlycarryoutgoodsdeliveryandotherrelevantbusiness,thesuppliermustdesignateacontactpersonforeachsectionoftheLogisticsDepartment,andensurethatthesecanbecontactedatalltimeduringFAW-Volkswagen'sworkinghours.14.2.Assoonasthereisacontactpersonorcontactdetailschange,therelevantsectionofFAW-Volkswagenshouldbeimmediatelynotifiedandtherelevantinformationpassedon.14.3.ForthecontactpersonandcontactdetailsofeachsectionofFAW-Volkswagen’sLogisticsDepartment,seeappendix2;afterapartTMAhasbeensignedbetweenthesupplierandFAW-Volkswagen,therelevantpersoninchargeoftheLogisticPlanningSectionmustbeimmediatelycontactedinordertodecideuponthelogisticsolutionsandotherrelevantlogisticmatters.15.EmergencyPlanningThesuppliermustcarefullyconsiderallthefactorsthatmayaffectthenormaloperationofallthecyclesofthelogisticprocess,andonthebasisofthisstipulateaneffectiveemergencyplantosafeguardFAW-Volkswagen’sproduction.Whenevernecessary,theemergencyplanmustbeapprovedbyFAW-Volkswagen.16.SafeManagementThesuppliermustensureitscompliancewithChineseandlocallawsandregulations,safetyregulations,IdentificationTechnologyregulations,FAW-Volkswagensafetyregulations,etc,andensurethatday-to-dayoperationsconformtothese.17.LogisticCostQuotationsFAW-VolkswagenemploysanA-Bsplit-costmethodtocarryoutnewpartcostenquiries;forthedefinitionofpartcostsseeappendix3.Beforemakingalogisticcostquotation,thesuppliermustfirstcarefullyreadthepresentstandardandallofitsappendices;otherwiseitwillberesponsibleforanyconsequencesarisingfrommismanagement.Appendix1Investment&RunningCostsforGoodsSupplyInformationSystemsI.
