According to the tests and the results of the investigation, Supplier shall make a financial and technical proposal to XXXXXX detailing the maintenance services to be performed, the applicable price and time schedule. Intellectual Property Rights 22. 知识产权 In case a third party would make a claim alleging that the Products delivered to XXXXXX infringe its industrial property right, Supplier will, at its own expense and sole option, either (i) procure a license from the above mentioned third party to protect XXXXXX, or (ii) modify the infringing Product in such a way as to avoid the infringement, or (iii) substitute an equivalent Product for the infringing Product, or (iv), if such solution shall prove impossible for economic and/or technical reasons, accept the return of the Products supplied and proceed with the reimbursement at the buying price. The unit prices for the Spare Parts are set out in Exhibit 4. XXXXXX shall provide a non-binding long-term forecast of its need of Spare Parts in order to assist Supplier in planning its production.
