锐时兴保密协议 Table No: TS-PU-GS01-01 1/4 保 密 合 同 Confidential Agreement 立合同书人: This agreement is drafted by the below two parties: Company Name: 锐时兴机电(厦门)有限公司 RUISHIXING ELECTROMECHANICAL(XIAMEN) CO;LTD. Company Name: 供应商中文名称 公司(以下称保密方) 供应商英文名称 (Hereinafter called Keeping Party) 缘揭露方擬提供_______供应商中文名称____________之相关资料予保秘方，另于甲乙双方交易过程， 保秘方亦将自揭露方处取得或知悉若干关于揭露方营业秘密之资料;基此，立约双方同意为妥 善维护揭露方之营业秘密，爰订定下列条款共同遵守: The disclosing party may disclose ______供应商英文名称______ related business secret to the keeping party, during transaction between two parties, the keeping party will get or know the proprietary business information from the disclosing party, in consideration of this, two parties hereby agree with this agreement to maintain the confidentiality of the disclosing business information ,the articles as follows: 第一条:本合同所称「营业秘密」系指任何揭露方之生产、技术、制程、、配方、程序、、 图说、构图、规格、行销技巧、采购资料、定价政策、估价程序、顾客资料、营业活动及商品 成本等有关之资料;前开资料无论揭露方是否已明示为应保密信息，亦无论揭露方系以书面、 口头、实体展示或其他方式揭露予保秘方者，均属之。 Article 1 The business secret that referred to this agreement are the ways of production、technology、 process、flow、formula、procedure、design、illustrated handbook、composition、specifications、 skill of marketing、purchase information、pricing policy、evaluate procedure、customer data、 business activity and goods cost etc ,whichever related information. All the information that mentioned above, no matter whether or not expressed for secret information, or the disclosing party discloses the information by the written、oral、showing entity any other ways ,all belong to it. V01 -- 1 -- Table No: TS-PU-GS01-01 2/4 第二条:前条所述「营业秘密」不含下列: Article 2 Business secret that mentioned in the Article 1 doesn’t include the items as follows: (一) 保秘方经合法方式取得已公开之资料、信息。 The keeping party gets the public data 、information by legal way. (二) 揭露方事前以书面明示同意得不予保密之资料。 The disclosing party agrees that the information is not secret by written statement before. 第三条:立约双方兹同意，就本约应保密之营业秘密，保秘方于任何情形下，绝不以口头、书面、影印、 复制、摄影、传阅或其他类似之行为，使应保密资料揭示于第三人或使第三人知悉之。保秘方 应致力限制其内部使用应保密资料之人员仅限于为达成与双方间交易行为有关工作而须使用 者;保秘方同意于揭露或交付营业秘密予有业务需要之受雇人、使用人、代理人、受任人前， 应与该等人员签署保密合同，且该等合同中保密责任之范围及义务程度，均应与本合同相当。 因保秘方受雇人、使用人、代理人、受任人泄露营业秘密者，均应视为保秘方之行为，由保秘 方负担本合同所定之一切责任。 Article 3 The two parties agree that the keeping party will not disclose the business secret to the third party by oral、written、copy、photography、circulate or other similar ways in any case. The keeping party must make efforts to keep the secret information only use for the related user who will help to reach the transaction. If the keeping party agree to disclose or deliver the business secret to employee、user、agent and assignor because of work, must sign the non-disclosure agreement, the scope and duty must be the same as this agreement. If employee、user、agent and assignor of the keeping party disclose business secret, it will be considered to be the action of keeping party, the keeping party must assume full responsibility of this agreement. 第四条:保秘方了解应保密资料如遭泄密，将造成揭露方极大损失，绝不将应保密资料泄露、转让或为 其他类似行为;若违反保密义务造成揭露方损害时，揭露方得向保秘方请求损害赔偿及损害赔 偿三倍之惩罚性违约金。 Article 4 Keeping party must know that if the secret information is disclosed, disclosing party will cause big loss. Keeping party can not disclose、transfer or use other similar ways to deal with the secret information; If keeping party break the secrecy and cause disclosing party loss, disclosing party will ask for compensation and the times of penalty. V01 -- 2 -- Table No: TS-PU-GS01-01 3/4 第五条:揭露方保有应保密资料之所有权，保秘方于本合同终止或届满时或经揭露方要求应即将应保密 资料(无论其附着之形式或媒体，皆应包括其原本及复印、复制本等)归还或自行销毁之，不 得留存。若揭露方认为有必要时，并得请求保秘方出具切结书，保证已将应保密资料全数返还 或销毁之，保秘方不得拒绝。 Article 5 Disclosing party holds the ownership of secret information. When this agreement ended or expired or disclosing party requested, keeping party must return or destroy the secret information (no matter which form or medium, including original and copy etc),can not keep it any more. If disclosing party think it is necessary to let keeping party show the Ending Letter, which makes sure that all the secret information is returned or destroyed, keeping party can not refuse. 第六条:揭露方保有应保密资料之专利权、著作权及其他智慧财产权与营业秘密专用权，本合同之签订 并未授予保秘方任何本项权利。 Article 6 Disclosing party own the patent 、copyright、 other intelligence property right and business secret special owner of secret information, it is not given any right of this article to keeping party by signed this agreement. 第七条:如因本合同涉讼时，双方同意以揭露方所在地之人民法院为第一审管辖法院。 Article 7 If this agreement is involved in lawsuit, two parties agree that disclosing party shall be subject to the first jurisdiction of the local people’s court of disclosing party. 第八条:本合同系经双方合意且为具有签约权之代人依法签署，自签署日起生效。除双方书面同意提 前解除保密义务外，无论嗣后双方关于交易行为是否实际展开或续行，保秘方均应自營業秘密 交付日起3年内严格遵守本合同所定之保密义务。 Article 8 This agreement is agreed by two parties, signed by representative empowered of each party, it becomes effective since the day signed. Except canceled in writing by two parties in advance, no matter whether or not carry out or continue this transaction action, keeping party must comply with this agreement 3 years since the business secret delivered. 第九条:若应保密资料之内容非因可归责于保秘方之事由致已公开或嗣后成为众所周知者，保秘方就该 部分资料之保密义务即得免除之。 Article 9 If the content of secret data has been in public or is known to all which is out of the responsibility of keeping party, the keeping party should relieve the duty of related parts.
