编号：____  ContractNo.签订日期：___年___月___日Date: 甲方：物流有限公司（以下简称甲方）PartyA:  LOGISTICSCO.,LTD.(HereinafterreferredtoasPartyA) 乙方：（以下简称乙方）PartyB:(HereinafterreferredtoasPartyB) 依照《中华人民共和国法》及其他有关法律、法规，在公平、诚实信用的基础上，为明确双方在服务期间的权利义务，双方本着平等互利、协商一致的原则，达成如下条款，以便共同遵守。BasedontheContractLawofthePeople’sRepublicofChinaandotherrelevantlawsaswellasregulations,andonthebasisofjustice,honesty,inordertospecifyrightsandobligationsofbothpartiesduringtheservice,thetwopartiesreachthefollowingtermsontheprincipleofequalityandmutualbenefitandofnegotiatedconsensusinordertotogetherabidebythecontractsigned. 一、服务范围及期限  ScopeandTermofService经双方友好协商，甲方根据乙方实际需求，可向乙方提供仓储、运输配送服务项目。Throughnegotiationofbothparties,PartyAshallprovidePartyBwithserviceofwarehouse,transportationanddistributionaccordingtoactualdemandofPartyB. 本协议自年月日起生效，有效期至年月日。合同到期，一方如需续签，应在合同期满之前 30 日提出，双方就服务内容重新协商签订面合同；若无已续签，合同到期自动终止。ThisContractshallcomeintoeffectfrom    ,validtill  .IfoneofthepartiesneedstorenewtheContractattheexpiration,itshallbeproposed30daysinadvance,andthetwopartiesshallre-negotiateandre-signawrittencontractontheservicecontent;theContractshallexpiresautomaticallywithoutanyintentionofrenewing. 二、服务内容及条款ContentandClausesofService（一）仓储需求及报价WarehouseDemandandQuotedPrice1.乙方租用甲方管理的仓库，存放普通类货物。具体存入货物的品名、规格、数量（包装、质量、件数应具体明确）等以入库手续为准。PartyBleasesawarehousemanagedbyPartyAtostoregeneralgoods.Thename,specification,quantity(package,qualityandquantityshallbespecified)ofstoredgoodsaresubjecttowarehousingformalities. 2. 租用面积为800平方米，租用时间自货物进仓之日起至本合同有效期满为止。Theleasedwarehousecoversanareaof800squaremeters.Theleasetermstartsfromthedatewhengoodsenterthewarehousetandexpireswhenthecontractcomestoanend. 3.仓库地址：Addressofwarehouse:4.甲方提供服务的工作时间为8:00-22:00，包含双休日，超出部分及国假期间按加班计算，具体加班费用参照相关劳动条款。4.TheworkinghoursofserviceprovidedbyPartyAare8:00-22:00,includingthetwo-dayweekend.Theexceedingpartandworkinghoursinnationalholidaysshallbecalculatedasworkovertime,andthedetailedovertimepayreferstotherelevantlaborclauses. 5.甲方为乙方存放于仓库的货物提供进出库作业，具体收费见附件一PartyAshallprovidewarehouseentryanddeliveryofthegoodsstoredinPartyB’swarehouse,detailedstandardsforchargesreferrtoAttachmentI. （二）入库及系统 WarehouseEntryandSystem1.甲方应根据乙方负责人提出的“入库通知单”（ □正本  □邮件，请勾选）在入库前进行验收。PartyAshallcheckoutthegoodsbeforethegoodsenterthewarehousebasedonthe “WarehouseEntry  Notice” (□Original □E-mail,pleaseclick)submittedbydirectorofPartyB. 2.甲方不负责货物内在质量及品质方面的验收，货物验收的内容为：PartyAshallnotberesponsibleforthecheckingoninteriorqualityofthegoods.Thecontentsofgoodscheckingareasfollows: A、货物的品名、规格、数量、重量是否与乙方所述相符，如有不符，以验收结果为准。Whetherthename,specification,quantity,andweightofthegoodsareinconsistentwithwhatPartyB’sdescription,incaseofanyinconsistent,thecheckingresultshallbeprevailed. B、货物的外包装是否完好。Whethertheouterpackageofthegoodsisintact.3.甲方验收货物时，如发现货物外包装受损或货物受损或数量、品名、规格等异常问题，现场与乙方送货司机确认，并通知乙方确认异常及处理方式。Incasethattheouterpackagesofthegoodsaredamagedorgoodsaredamagedorthequantity,nameandspecificationsofthegoodsareabnormalwhenchecking,PartyAshallcheckwiththedeliverydriverofPartyBonsiteandinformPartyBtoconfirmtheabnormalitiesandthesolution. 甲乙双方以入库单留档为WMS系统账目核对依据，并对其商品货物，提供计算机信息管理系统WMS系统，建立出入库明细账目。ThetwopartiesshallfilethewarehousingentryasthecheckingevidencesforaccountsofWMSsystemandprovidethegoodswiththecomputerinformationmanagementsystemWMSsystemtosetupdetailedaccountsofwarehouseentryanddelivery 4.甲方为乙方提供准确的出入库报表、在库报表及乙方需求业务报表，按乙方需求发送每月报表。甲方应在库存发生变化时，及时向乙方提供商品的库存信息。PartyAshallprovidePartyBwithprecisewarehouseentryanddelivery  reports,stockreportsandbusinessreportsPartyBdemands,andsendmonthlyreportstoPartyBaccordingtothedemandofPartyB.PartyAshouldprovidePartyBwithstockinformationofgoodswhentheinventoriesarechanged. 6.甲方不得将乙方货物作其它使用，因甲方原因导致的损坏、短缺、丢失货物，甲方将按照乙方货物价值（按乙方产品的出厂价或者采购价（不含税）计算）根据责任比例进行赔偿（或双方协商赔偿）。PartyAshouldnotmakeanyotheruseofPartyB’sgoods.Incasethatthegoodsaredamaged,inshortageorlostduetoPartyA,PartyAshallcompensateonproportionofliabilityaccordingtothevalueofPartyB’sgoods(calculatebasedonthefactorypriceorpurchasingpriceofthegoods(exclusiveoftax))(ortocompensatethroughnegotiation). 7.乙方存入甲方处的货物，其一切管理工作（入库、出库）均由甲方负责，因管理不善而发生的全部经济损失，由甲方负责赔偿。Allthemanagements(warehouseentryanddelivery)ofgoodsPartyBstoredinthewarehouseofPartyAshallbeinthechargeofPartyA.AlltheeconomiclossescausedbymismanagementshallbebornbyPartyA. （三）出库及操作：WarehouseDeliveryandOperation1.乙方以正式邮件或者双方确认之出库单。PartyBshallcheckoutwarehousingdeliverynoticebyformalE-mailorcheckwithPartyB. 2.出库操作中，拣货及组装，由乙方为甲方提供教育训练。甲方安排专人专项配合拣货、组装、出货。PartyBshallprovidePartyAwitheducationaltrainingonpickingandassemblinginoperationsofwarehousedelivery.PartyAshallarrangespecialpersonneltospeciallycooperateinpicking,assemblingandshipping. 3.乙方应至少提前一天安排供货需求，并且发出库申请或发货单（邮件或者正本）。PartyBshallarrangesupplydemandatleastonedayinadvanceandsendoutshippingapplicationorinvoices(E-mailororiginal). 4.甲乙双方出库发货时，都需在表单上确认，并以留档为盘库依据。如发现货物外包装受损或货物受损或数量、品名、规格等异常问题，现场与乙方送货司机确认，并通知乙方确认异常及处理方式。Whendeliverthegoods,thelistsshallbecheckedonandfiledasstocktakingevidencesbyPartyAandPartyBshallcheckonthelistsandfilethem.Incasethatouterpackagesofgoodsaredamagedorthegoodsaredamagedorthequantity,nameandspecificationsareabnormal,PartyAshallcheckwiththedeliverydriverofPartyBonsiteandinformPartyBtoconfirmtheabnormalitiesandthesolution. （四）运输服务TransportationService货物装卸与交接HandlingandDeliveryofGoods1.货物装车时，甲乙双方均应在现场清点交接（甲方仅需确认货物外包装完好且装车箱数准确）,如发现数量短缺或外包装破损现象，由甲乙双方当场核实，如乙方仍要求运送该批货物，由乙方在托运单据上注明货物实际情况并由甲乙双方签字确认。Whenthegoodsareloaded,bothpartiesshallcheckanddeliverthegoodsatsite(PartyAonlyneedstomakesurethatthepackagesofgoodsareintactandthenumberofloadingcasesiscorrect).Incasethatthegoodsareinshortageorthepackagesaredamaged,bothpartiesshallcheckoutonsite.IncasethatPartyBstilldemandstodeliverthegoods,PartyBshallindicatetheactualstatusofgoodsonshippingdocumentwhichshallbesignedandconfirmedbybothparties. 2.货物运达指定地点后，由乙方指定收货人负责卸货，甲方与收货人应在场清点交接，待收货人确认无误后，由收货人在回单上签字和盖章。如发现短缺现象时，由甲方与收货人当场核实后，由收货人在签收单据上注明并签字盖章。如收货人拒收的，甲方应及时通知乙方，并按照乙方的要求处理，在通知乙方后，甲方应妥善保管货物，使其免予损坏、丢失，所支出的费用由乙方承担。否则甲方需承担因保管不当所造成的货物直接损失。GoodsshallbeunloadedbytheconsigneeappointedbyPartyBwhenthegoodsaredeliveredtothedestination,andPartyAshallmakeaninventoryanddeliverthegoodswiththeconsigneeatsite.Theconsigneeshallsignandsealonthereceiptafterconfirmation.Incasethatthegoodsarefoundinshortage,theconsigneeshallindicateaswellassignandsealonthereceiptafterconfirmingwithPartyA.Incasethattheconsigneerefusestosignforthegoods,PartyAshallinformPartyBintime,andhandleaccordingtotherequestofPartyB.AfterinformingPartyB,PartyAshallproperlykeepthegoodssoastopreventthemfromdamageandloss,andtheexpensesshallbebornbyPartyB.Otherwise,PartyAshalltaketheresponsibilityofdirectlossesofgoodscausedbyimproperkeeping. 3.如收货人不能履行货物签收手续，无论何种原因（不在乙方提供的回单上签字和盖章），甲方不得将货物交付收货人，否则将由甲方承担因此而给乙方带来的直接损失。在征得乙方同意后，甲方可将货物运回乙方指定的库房，所支出的费用由乙方承担。PartyAshallnotdeliverthegoodstotheconsigneeforanyreasons(notsignnorsealonthereceiptofferedbyPartyB)incasethattheconsigneefailstoexecutethegoodsreceiptreceivingformality,  orPartyAshallbearthedirectlossesbroughttoPartyBtherefrom.PartyAshalldeliverthegoodstothewarehouseappointedbyPartyBwithPartyB’sapproval,andtheexpensesshallbebornbyPartyB. 4.货物运达指定地点，由收货方卸货时，甲方对因收货方不当装卸等其他收货人的行为所导致的货物损坏，不承担赔偿责任，但应如实记录并通知乙方，以便乙方进行索赔。PartyAshallnotresponsibleforthedamagesofgoodscausedbyrbehaviorsof  otherconsigneeslikeimproperunloadingofthegoodsbytheconsigneewhenthegoodsaredeliveredtothedestination,butshallfaithfullyrecordandinformPartyBsothatPartyBcanclaimforcompensations. 5.运输期间为从商定的装车时间开始至货物运达乙方指定卸货地点，由乙方收货人签收完毕止。上述时间也是甲方的承运责任期。在运输期限内发生任何意外情况时，需在1小时内通知乙方（由于意外情况造成通讯中断的不受该时限限制，但甲方应尽快告知乙方）。根据乙方要求准确提供有关货运数据及信息反馈。TheperiodofcarriageshallbefromtheloadingtimeagreedbybothpartiestothetimewhenthegoodsaredeliveredtothedestinationappointedbyPartyBandsignedbytheconsigneeappointedbyPartyB.TheaforementionedperiodshallbealsotheliabilityperiodofPartyA.Incasethataccidenthappensintheperiodofcarriage,PartyAshallinformPartyBwithin1hour(Communicationsblackoutcausedbyaccidentshallbefreefromthetimelimit,butPartyAshallinformPartyBassoonaspossible).PartyAshallofferexactdataandfeedbackrelatedtothecarriageaccordingtotherequestofPartyB. 6.在货物已被签收，且货物的损坏当时无法从外部包装上发现，应经双方共同开箱检查确认，除乙方有充分证据证明该损坏系因甲方过错、过失造成的，否则甲方不承担对货物损坏的赔偿责任。Incasethatthegoodshavebeendamagedandsignedforbutnotfoundfromouterpackage,thegoodsshouldbeexaminedunpackedbythetwoparties.UnlessPartyBhasadequateevidencetoprovethatthedamageiscausedbythemistakeandfaultofPartyA,orPartyAshallnotberesponsibleforcompensatingforthedamagesofthegoods. 7.甲方需在完成运输任务后，将乙方委托运输所发生的全部货运票据、凭证等交乙方备案存档。AllshippingpapersandvouchersproducedinthetransportationentrustedbyPartyBshallbesubmittedtoPartyBforfilingafterthetransportationiscompleted. 8.运输报价，请见附件二 PricesforshippingpleasereferstoAttachmentII.（五）运输变更ShippingChanges1.乙方因故需变更运输货物的名称、数量、起讫地点、运输时间、收发货人时，在货物起运前，乙方应向甲方提交书面变更要求。在货物起运后、交付收货人之前，乙方可以电话要求甲方办理中止运输、返还货物、变更到达地或变更收货人事宜。甲方应尽力办理，由此增加的额外费用由乙方承担。WhenitisnecessaryforPartyBtochangethename,quantity,originanddestination,consigneeandconsignerofgoods,PartyBshallsubmitwrittenchangingrequesttoPartyAbeforethegoodsareshipped.Afterthegoodsareshippedwhilebeforetheyaredeliveredtotheconsignee,PartyBshallrequirePartyAtohandlewithmatterssuchasstoppageintransit,returnofgoods,changeofdestinationandconsigneebytelephone.PartyAshalltryhis/herbesttodealwiththematters  andtheextrafeeswherefromshallbebornbyPartyB. 2.电话要求变更的，需详细说明变更事项，双方复述无误，作好电话记录，并在事后两日内补办书面变更手续。Incasethatthechangesaremadeonbytelephone,theitemstobechangedshallbespecified,repeatedandconfirmedbybothparties.Phonerecordsshallbetakenandwrittenchangeproceduresshallbecompletedwithin2days. 3.因甲方原因提出变更发货单据任一项内容的，必须征得乙方书面同意。AnychangesofcontentonshippingdocumentsputforwardbyPartyAshallbeapprovedbyPartyBwithwrittenconsent. 4.因甲、乙双方以外的原因造成运输事项必须变更的，甲方应立即通知乙方并经乙方确认（紧急情况下为了维护乙方利益的情况除外），事后两_日内补办书面变更续。由此增加的额外费用应由乙方承担。IncasethatthechangesonshippingareneithercausedbyPartyAnorPartyB,PartyAshallinformPartyBimmediatelyanditshallbecheckedoutbyPartyB(excepttheconditionthatPartyB’sinterestsshallbeprotectedunderemergency).,writtenchangeproceduresshallbecompletedwithin2days.AndtheextrafeesarisetherefromshallbebornbyPartyB. 5.货物运达乙方指定地点后，收货人在征得乙方书面同意的前提下，要求变更到货地点的，甲方应按乙方书面通知将货物运至变更后的地点，所需费用由乙方承担。Whenthegoodsaredeliveredtothedestination,inthepremisethattheconsigneehasgainedthewrittenagreementofPartyBtochangethedestinationofdelivery,PartyAshalldeliverthegoodstothechangeddestinationaccordingtothewrittennoticeofPartyBandexpensesshallbebornbyPartyB. 三 违约责任 LiabilityforBreachofContract1.甲方的责任 LiabilityofPartyAA、责任期间内货物因甲方保管不善而发生货物灭失、短少、变质、污染、损坏的，甲方以乙方货物进出口申报价值或甲方所在地的市场价值两者中的低者为依据进行赔偿，如属货物包装不符合规定或性质不符合约定或超过有效储存期而造成的货物损坏、变质等非甲方因素的结果，甲方不负赔偿责任。甲方不对货物内在质量及完好包装内的货物的短缺等负责。Duringtheperiodofliability,incasethatthegoodsarelost,inshortage,gonebad,pollutedordamagedcausedbytheimproperkeepingofPartyA,PartyAshouldcompensateforthembasedonthelowerbetweenthedeclaredvalueforimportandexportofthegoodsorthemarketvalueoftheplacewherePartyAislocatedin.ProvidedthatthegoodsaredamagedorgobadresultedfromfactorsirrelevanttoPartyAsuchasthepackagesofgoodsthatdonotmatchthespecificationsorqualityofgoodsthatisnotconsistentwithagreementorthestoragelifeofgoodsthatisexceedthevalidstoragelife,PartyAshallnottaketheresponsibilityofcompensations.PartyAisnotresponsiblefortheinteriorqualityofgoodsandtheshortageofgoodswithinintactpackage. B、按乙方规定的期限、数量、起止地点，合理调派车辆，按双方约定的运输时限准时完成运输任务。Accordingtothetimelimit,quantity,originanddestinationspecifiedbyPartyB,PartyAshouldproperlyarrangevehiclesandcompletetransportationontimeaccordingtothetransportingtimelimitagreedbybothparties. C、负责装卸时，应严格遵守作业规程和装载标准，爱护甲方产品货物，保证装载质量。保证装货车辆货箱完好清洁，特别注意检查车辆是否漏雨。运输途中要定时检查，发现情况及时采取补救措施，保证运输质量。Whentakingchargeofunload,PartyAshouldstrictlyobeytheoperatingregulationsandunloadingstandards,takecareofthegoodsofPartyAandguaranteetheunloadingquality.Makesurethatthetankofloadingvehicleisintactandclean,especiallypayingattentiontowhetherthevehiclewouldletintherainornot.Takeregularcheckingduringtransportationandtakeremedymeasuresintimeincasethatanaccidenthappenssotoguaranteethequalityoftransportation. D、运输保险由乙方自理，甲方承担责任期内因甲方原因（不可抗力，非甲方责任交通事故、货物本身的自然性质或者合理损耗以及收货人的过错造成等非甲方原因除外）所发生的货物损坏、丢失造成的直接经济损失。TransportationinsuranceisinthechargeofPartyBwhilePartyAshalltaketheresponsibilityforcompensationsforthedirecteconomiclossescausedbydamagesandlossesofgoodsduetoPartyA(exceptthosearenotcausedbyPartyAsuchasforcemajeure,trafficaccidentsthatisnotresultedfromPartyA,naturalqualityorappropriatelossesofthegoodsaswellasmistakesoftheconsignee). E、货物损坏按受损货物减少的价值或修理费用赔偿，费用标准按经甲方认可的客户维修站收费标准为准。Thedamagedgoodsarecompensatesforbasedonthereducedvalueofdamagedgoodsorfeesforrepair.ThestandardsoffeesaresubjecttothatoftherepairstationrecognizedbyPartyA. F、因为乙方错报、匿报货物情况造成的损失除外。ApartfromdamagescausedbythemisstatementorconcealmentofPartyB.2.乙方的责任 LiabilityofPartyBA．乙方存入甲方处的货物中不得有易燃、易爆、有毒、有放射性等危险品和易腐、变质物品，否则，由此而发生的一切责任由乙方负责。ThegoodsPartyBstoresinthewarehouseofPartyAcannotbeinflammablematerials,explosivematerials,toxicmaterials,radioactivematerialsaswellasperishablegoodsanddeterioratingproducts.Otherwise,PartyBshalltakealltheresponsibilities. B．乙方应当向甲方提供必要的货物验收资料，否则发生货物品种、数量不符合合同规定时，亦由乙方自行承担责任。PartyBshouldprovidePartyAwithnecessarycheckingmaterialsofgoods.Otherwise,PartyBshouldtaketheresponsibilitywhenthebreedandquantityofgoodsareinconsistentwiththespecificationsofagreement. C．如遇乙方向甲方请求货物赔偿时，需提供货物采购或销售发票。ProvidedthatPartyBappliesforcompensationsforgoodstoPartyA,itneedstoofferinvoicesofgoodspurchasingandselling. D．乙方应在合同规定的时间内支付甲方费用，若逾期支付，则自逾期之日起，乙方按应付款额每日千分之三的标准支付违约金。PartyBshouldpayPartyApaymentwithinthespecifiedtimelimitofthecontract.ProvidedthatPartyBisoverduetopay,itshouldpayliquidateddamagesbythreethousandthofdueamountperday. E．因乙方货物未按国家或合同规定的标准和要求或乙方未根据货物性质对仓储物进行必要的包装，造成货物损坏、变质的，由乙方负责。PartyBshouldberesponsibleforthedamagesanddeteriorationofgoodsasPartyBdoesnotmakenecessarypackageaccordingtothestandardsandrequirementsspecifiedbythenationorthecontractoraccordingtothenatureofgoods. F．由于乙方出库凭证或调拨凭证上的差错所造成的损失，由乙方负责。PartyBshouldberesponsibleforthedamagescausedbymistakesonwarehouse-outvouchersortransferringordersmadebyPartyB.  H．乙方有责任对其在与甲方合作中了解到的有关甲方的各种商业信息（包括甲方的货运情况、运费标准等——可针对业务情况再做明细约定）进行保密，未经甲方同意不得外泄，否则甲方有权单方面终止本协议并要求乙方支付违约金。PartyBisresponsibleforkeepingallthecommercialinformationrelatedtoPartyAknowninthecooperationwithPartyA(includingthefreightstatus,standardsoffreightchargesofPartyAandsoon—detailedagreementonbusinessstatuscanbemade)secret.PartyBshouldnotletoutthisinformationwithoutthepermissionofPartyAorPartyAhastherighttoterminatethecontractandrequirePartyBtopayliquidateddamages.四 结算相关条款 ClausesRelatedtoSettlement1. 费用结算方式及时间： MethodandTimeofSettlementA．费用按计费标准收取，超出本合同外的服务项目，甲方经乙方书面确认收费标准后，再为乙方提供服务。费用每月结算一次，对费用如有异议乙方应在收到甲方提供的结算清单后的七天内提出,付款日为收到发票30天内支付给甲方，若乙方逾期无故未支付甲方费用，甲方有权停止相关服务，直至乙方付清费用止。Feesarechargedaccordingtochargingstandards.Asforservicesbeyondthescopeofthiscontract,onlyaftergettingwrittenagreementofPartyBtoconfirmchargingstandards,PartyAshallprovidePartyBwithservices.Thefeesaresettledonceamonth.Incasethatthereisanydisagreementonthefees,PartyBshouldsubmitthedisagreementwithinsevendaysafterreceivingthesettlementlis
