编号：_______________本资料为word版本，可以直接编辑和打印，感谢您的下载图出版合同英文版甲方：___________________乙方：___________________日期：___________________说明：本合同资料适用于约定双方经过谈判、协商而共同承认、共同遵守的责任与义务，同时阐述确定的时间内达成约定的承诺结果。文档可直接下载或修改，使用时请详细阅读内容。AGREEMENTmadethis<<daynumber>>dayof<<month>>,<<year>>between<<Author'sname>>,whoseresidenceaddressis<<Author'saddress>>(hereinaftercalledtheAuthor);andINDEXBookswhoseprincipalplaceofbusinessisatLeiden,TheNetherlands-emailcminnen@indexbooks.net(hereinaftercalledthePublisher);WITNESSETH:Inconsiderationofthemutualcovenantshereincontained,thepartiesagreeasfollows:1.GRANTTheauthorherebygrantsandassignstothePublishertheexclusiverightstopublishintheEnglishlanguageinbookforminallcountriesoftheworld,aWorknowentitled<<Titleofbook>>(hereinaftercalledtheWork),whichtitlemaybechangedonlybymutualconsentinwriting.2.REPRESENTATIONSANDWARRANTIESTheAuthorrepresentsthatheisthesoleproprietoroftheWorkandthattheWorktothebestofhisknowledgedoesnotcontainanylibelousmatteranddoesnotviolatethecivilrightsofanypersonorpersons,doesnotinfringeanyexistingcopyrightandhasnotheretoforebeenpublishedinbookform.TheAuthorshallholdharmlessandindemnifythepublisherfromanyrecoveryfinallysustainedbyreasonofanyviolationsofcopyrightorotherpropertyofpersonalright;provided,however,thatthePublishershallwithallreasonablepromptnessnotifytheAuthorofanyclaimorsuitwhichmayinvolvethewarrantiesoftheAuthorhereunder;andtheAuthoragreesfullytocooperateinthedefensethereof.Thewarrantiescontainedinthisarticledonotextendtodrawings,illustrations,insofarasnotfurnishedbytheAuthor,ortoanyothermaterialnotfurnishedbytheAuthor.3.DELIVERYTheAuthoragreestodelivertothepublisher,acompletetypewrittenscriptaswellasacompleteelectronictextoftheWorkinaformattobedeterminedbythePublisher(hereinaftercalledtheScript).IftheScriptshallnothavebeendeliveredwithinthree(3)monthsafterthedatethisagreementissignedthePublishermay,atitsoption,terminatethisagreementbynoticeinwritingpostedordeliveredtotheAuthor.4.PUBLICATIONThePublisheragreestopublishtheWorkinbookformatitsownexpenseatacatalogueretailpriceofnotlessthan$60percopynotlaterthantwelvemonthsafterthedeliveryofthecompletedWork.IntheeventofdelayfromcausesbeyondthecontrolofthePublisher,thepublicationdatemaybepostponedaccordingly,butnottoexceedeighteenmonthsfromthedeliveryofthecompletedwork.5.COPYRIGHTThePublisher,uponfirstpublicationoftheWork,agreesdulytocopyrightitwiththerelevantauthorityintheNetherlandsinthenameoftheAuthor,andtotakeallnecessarystepstoprotectthecopyrightundertheUniversalCopyrightConvention.TheAuthorshall,upontheterminationofthefirstterm,maketimelyapplicationforrenewalofcopyrightunderthenexistingcopyrightlawand,providedthisagreementshallthenbeinforceandeffect,theAuthoragreestoassigntothePublisher,fortherenewaltermofthecopyright,therightshereingrantedtothePublisher.6.EDITINGANDPROOFREADINGThePublishershallmakenochangesin,additionsto,oreliminationsfromthemanuscriptwithouttheconsentoftheAuthor,andinordertoobtainsuchconsent,shallsubmitthecopy-editedmanuscripttotheAuthorforhisapproval.TheAuthoragreestoreturnsuchprooftothePublisherwithhiscorrectionswithinthirty(30)daysofthereceiptthereofbyhim.ThecostofalterationsrequiredbytheAuthor,otherthancorrectionsoftypesettingerrors,inexcessoffifteenpercent(15%)oftheoriginalcostofcomposition,shallbechargedagainsttheearningsoftheAuthorunderthisagreementorshall,attheoptionofthePublisher,bepaidbytheAuthorincash;provided,however,thatthePublishershalluponrequestpromptlyfurnishtotheAuthoranitemizedstatementofsuchadditionalexpenses,andshallmakeavailableatthePublisher'sofficethecorrectedproofforinspectionbytheAuthororhisrepresentatives.7.ROYALTIESANDLICENSESThePublishershallpaytotheAuthororhisdulyauthorizedrepresentatives,thefollowingadvancesandroyalties;(a)Aroyaltyoftenpercent(10%)oftheretailpricethereofonallcopiesoftheWorksoldlessreturns.(b)Fiftypercent(50%)oftheproceedsofanylicensegrantedtoanotherPublishertobringoutareprinteditionoftheWork.(c)NoroyaltiesshallbepayableofcopiesfurnishedtotheAuthororoncopiesforreview,sample,orothersimilarpurposes,oroncopiesdestroyed.TheAuthororhisdulyauthorizedrepresentativesshallhavetherightuponwrittenrequesttoexaminethebooksofaccountofthePublisherinsofarastheyrelatetotheWorkandanyotheroftheAuthor'sworksundercontracttothePublisher.SuchexaminationshallbeatthecostoftheAuthorunlesserrorsofaccountingamountingtofivepercent(5%)ormoreofthetotalsumpaidtotheAuthorshallbefoundtohisdisadvantage,inwhichcasethecostshallbebornebythePublisher.8.OVERPAYMENTInallinstancesinwhichtheAuthorshallhavereceivedanoverpaymentofmoniesunderthetermshereof,thePublishermaydeductsuchoverpaymentfromanyfurthersumspayabletotheAuthorinrespecttotheWork.9.NOTIFICATIONANDPAYMENTThePublisheragreespromptlytoadvisetheAuthorofthetermsofanycontractsenteredintoforanygrantorlicensepermittedunderthisagreementwhenevertheAuthor'sshareoftheproceedsorroyaltyisonehundreddollars($100.00)ormore.SuchcontractsshallbemadeavailablebythePublishertotheAuthororhisrepresentativeattheofficeofthePublisher,andacopythereofwillbefurnishedtheAuthoruponhiswrittenrequest.TheAuthor'sshareofsuchproceedsorroyaltyshallbepromptlypaidtohimuponreceiptbythePublisher.10.AUTHOR'SCOPIESTheAuthorshallbepermittedtopurchasecopiesforhispersonaluseatadiscountoffortypercent(40%)oftheretailprice.11.STATEMENTSANDPAYMENTSThePublisheragreestorendersemi-annualstatementsonJuly31andJanuary31ineachyearfollowingthepublicationhereof,showinganaccountofsalesandallotherpaymentsduehereundertoJune31andDecember31precedingsaidrespectiveaccountingdates.Paymentthendueshallaccompanysuchstatements.12.REVERSIONANDTERMINATION(a)Atanytimeaftertwoyearsfromthedateoffirstpublication,butnotbefore,thePublishermayonthreemonths'noticeinwritingtotheAuthororhisrepresentativediscontinuepublication,andinthateventthisagreementshallterminateandallrightshereundershallreverttotheAuthorattheexpirationofsaidthree(3)monthperiod.(b)IfthePublishershall,duringtheexistenceofthisagreement,defaultinthedeliveryofsemi-annualstatementsorinthemakingofpaymentsashereinprovidedandshallneglectorrefusetodeliversuchstatementsormakesuchpayments,oranyofthem,withinthirty(30)daysafterwrittennoticeofsuchdefault,thisagreementshallterminateattheexpirationofsuchthirty(30)dayswithoutprejudicetotheAuthor'sclaimforanymonieswhichmayhaveaccruedunderthisagreementortoanyotherrightsandremediestowhichtheAuthormaybeentitled.(c)IfthePublishershallfailtopublishtheWorkwithintheperiodinParagraph4provided,orotherwisefailtocomplywithorfulfillthetermsandconditionshereof,orintheeventofbankruptcy,etc.,asinParagraph13hereofprovided,thisagreementshallterminateandtherightshereingrantedtothePublishershallreverttotheAuthor.InsucheventallpaymentstheretoforemadetotheAuthorshallbelongtotheAuthorwithoutprejudicetoanyotherremedieswhichtheAuthormayhave.(d)UpontheterminationofthisagreementforanycauseunderthisArticleorArticle13hereof,allrightsgrantedtothePublishershallreverttotheAuthorforhisuseatanytimeandthePublishershallreturntotheAuthorallpropertyoriginallyfurnishedbytheAuthor.13.BANKRUPTCYANDINSOLVENCYIfapetitioninbankruptcyshallbefiledbyoragainstthePublisher,orifitshallbeadjudgedinsolventbyanycourt,orifaTrusteeoraReceiverofanypropertyofthePublishershallbeappointedinanysuitorproceedingbyoragainstthePublisher,orifthePublishershallmakeanassignmentforthebenefitofcreditorsorshalltakethebenefitofanybankruptcyorinsolvencyAct,orifthePublishershallliquidateitsbusinessforanycausewhatsoever,thisagreementshallterminateautomaticallywithoutnotice,andsuchterminationshallbeeffectiveasofdateofthefilingofsuchpetition,adjudication,appointment,assignmentordeclarationorcommencementofreorganizationorliquidationproceedings,andallrightsgrantedhereundershallthereuponreverttotheAuthor.14.RESERVEDRIGHTSAllrightsintheWorknowexisting,orwhichmayhereaftercomeintoexistence,notspecificallyhereingrantedarereservedtotheAuthorforhisuseatanytime.Reservedpublicationrightsinclude,butarenotlimitedto,therighttopublishorcausetobepublishedinanyform,excerpts,summariesoftheWork,thereof,nottoexceedseventy-fivehundred(7,500)wordsinlength.15.ASSIGNMENTNoassignmentofthiscontract,voluntaryorbyoperationoflaw,shallbebindinguponeitherofthepartieswithoutthewrittenconsentoftheother;provided,however,thattheAuthormayassignortransferanymoniesdueortobecomedueunderthisagreement.16.ARBITRATIONAnycontroversyorclaimarisingoutofthisagreementorthebreachthereofshallbesettledbyarbitrationinaccordancewiththerulesthenobtaining.SucharbitrationshallbeheldintheCityofLeidenunlessotherwiseagreedbytheparties.TheAuthormay,athisoption,inthecaseoffailuretopayroyalties,refusetoarbitrate,andpursuehislegalremedies.17.NOTICESAnywrittennoticerequiredunderanyoftheprovisionsofthisagreementshallbedeemedtohavebeenproperlyservedbydeliveryinpersonorbymailingthesameinpaperorbyelectronicmeanstothepartiesheretoattheaddressessetforthabove,exceptastheaddressesmaybechangedbynoticeinwriting;provided,however,thatnoticesofterminationshallbesentbyregisteredmail.18.WAIVERAwaiverofanybreachofthisagreementorofanyofthetermsorconditionsbyeitherpartythereto,shallnotbedeemedawaiverofanyrepetitionofsuchbreachorinanywiseaffectanyothertermsorconditionshereof;nowaivershallbevalidorbindingunlessitshallbeinwriting,andsignedbytheparties.19.INFRINGEMENTIfduringtheexistenceofthisagreementthecopyrightshallbeinfringed,thePublishermay,atitsowncostandexpense,takesuchlegalaction,intheAuthor'snameifnecessary,asmayberequiredtorestrainsuchinfringementortoseekdamagestherefor.ThePublishershallnotbeliabletotheAuthorforthePublisher'sfailuretotakesuchlegalsteps.IfthePublisherdoesnotbringsuchanaction,theAuthormaydosoinhisnameathisowncostandexpense.Moneydamagesrecoveredforaninfringementshallbeappliedfirsttowardtherepaymentoftheexpenseofbringingandmaintainingtheaction,andthereafterthebalanceshallbelongtotheAuthor,provided,however,thatanymoneydamagesrecoveredonaccountofalossofthePublisher'sprofitsshallbedividedequallybetweentheAuthorandthePublisher.20.DOCUMENTSIfanyoftherightsgrantedtothePublisherreverttotheAuthor,thePublishershallexecutealldocumentswhichmaybenecessaryorappropriatetorevestallsuchrightsintheAuthor.21.LAWThisagreementshallbeconstruedinaccordancewiththelawsoftheNetherlandsandtheEuropeanUnion.22.INHERITANCEThisagreementshallbebindinguponandinuretothebenefitoftheheirs,executors,administratorsandassignsoftheAuthor,anduponandtothesuccessorsandassignsofthePublisher.23.ALTERATIONThisagreementmaynotbemodified,alteredorchangedexceptbyaninstrumentinwritingsignedbytheAuthorandthePublisher.24.APPROVALNotwithstandinganythingtothecontraryhereincontained,thePublishershallobtaintheAuthor'swrittenadvanceapprovalofanyjacketorcoverdesign,includingthetextthereof,tobeusedinconnectionwiththeWork,andofanycontractswiththirdpartiesforthepublicationoftheWork;whichapprovalshallnotbeunreasonablywithheld.X
