PleasereadtheconditionsandinstructionsoverleafbeforefillinginthisapplicationT&C 汇款服务之条款及条件 TERMSANDCONDITIONSFORFUNDSTRANSFER 本汇款服务之条款及条件（下称“条款及条件”）适用于在荷兰银行有限公司在中华人民共和国大陆地区（下称“中国大陆”，为本条款及条件之目的，不包括香港特别行政区、澳门特别行政区及台湾）的分支机构开立帐户并提出汇款申请的汇款人（即汇款申请书所载的“汇款人”，下称“汇款人”）： TheseTermsandConditionsforFundsTransfer(hereinafterthese“TermsandConditions”)arefortheremitter(i.e.theRemitteridentifiedintheApplicationforFundsTransfer,hereinafterthe“Remitter”)whoopensaccount(s)withanyofthevarioussubsidiariesofABNAMROBankN.V.onthemainlandofthePeople’sRepublicofChina(hereinafterthe“MainlandChina”,and,forthepurposeoftheseTermsandConditions,excludingHongKongSpecialAdministrativeRegion,MacauSpecialAdministrativeRegionandTaiwan)andappliesforafundstransfer. 1. 本条款及条件受开户行的总条款及规章（及其不时的修改、补充或其他修正）的约束。汇款人确认其已阅读过总条款及规章，且总条款及规章（及其不时的修改、补充或其他修正）对其具有约束力。除本条款及条件另有规定外，总条款及规章中所定义的术语在本条款及条件中使用时应具有与其在总条款及规章中相同的含义。 TheseTermsandConditionsaresubjecttotheGeneralTermsandConditionsoftheAccountOpeningBranch(asamended,supplementedorotherwisemodifiedfromtimetotime).TheRemitteracknowledgesthathe/shehasreadtheGeneralTermsandConditionsandthattheGeneralTermsandConditions(asamended,supplementedorotherwisemodifiedfromtimetotime)shallbebindingupontheRemitter.UnlessotherwiseprovidedintheseTermsandConditions,thetermsusedintheseTermsandConditionsshallhavethesamemeaningsasdefinedintheGeneralTermsandConditions. 2. 开户行仅在其营业日提供汇款服务，且汇款人必须在开户行不时指定的汇款服务截至时间前向开户行发出汇款指令。任何开户行在汇款服务截至时间后收到的汇款指令将不会在其发出当日被处理。 TheAccountOpeningBranchonlyprovidesfundstransferserviceonabusinessday.TheRemittershallsubmitthefundstransferinstructionstotheAccountOpeningBranchbeforetheclosingtimeforfundstransferserviceasdeterminedbytheAccountOpeningBranchfromtimetotime.AfundstransferinstructionreceivedbytheAccountOpeningBranchaftertheclosingtimeforfundstransferservicewillnotbeprocessedthatday. 3. 汇款人应仔细审阅并填写汇款申请书所列之各项条款内容。如因填写错误或字迹不清而引起任何付款迟延或错误，开户行不承担任何责任。 TheRemittermustcarefullyreviewandfillineachprovisionoftheApplicationforFundsTransfer.TheAccountOpeningBranchshallnotbeliableforanydelayedorincorrectpaymentduetotypographicalerrorsorunclearwriting. 4. 如汇款人通过电子通讯方式（如传真）发出汇款指示，汇款人有义务按照开户行不时要求配合开户行完成关于该指示的确认。如汇款人未及时按开户行要求就该汇款指示的确认进行配合，因此而造成的付款迟延、错误或不予提供汇款服务，开户行不承担任何责任。 IftheRemittersubmitsafundstransferinstructionelectronically(e.g.byfax),theRemittershallcooperatewiththeAccountOpeningBranch,inaccordancewiththerequirementsoftheAccountOpeningBranch(whichmaychangefromtimetotime),tocompletetheconfirmationofsuchinstruction.IftheRemitterdoesnotcooperateinatimelymannerwiththerequirementsoftheAccountOpeningBranchtoconfirmtheinstruction,theAccountOpeningBranchshallnotbeliableforanydelay,errororfailuretoprovidethefundstransferservice. 5. 汇款人在申请汇款前应按照中国大陆有关法律法规、外汇管制相关规定及开户行不时要求提供一应材料的原件（如必要）。如汇款人在汇款时不能提交该等材料的原件或提供的材料不符合规定，开户行可以不予提供汇款服务。 TheRemittershall,beforesubmittingtheapplicationforfundstransfer,providetheoriginalcopy(ifnecessary)ofmaterialsrequiredfromtimetotimebytherulesandregulationsofMainlandChinaandrelevantprovisionsonforeignexchangecontrol.IftheRemittercannotsubmitoriginalcopiesofthematerialsor,thematerialsprovidedarenotincompliancewiththerulesandregulations,theAccountOpeningBranchwillnotprovidethefundstransferservice. 6. 汇款人确认，开户行可以在提供汇款服务前自行及/或仅为审慎目的设定任何交易限制,并于开户行认为适当时不时变更该等限制。 TheRemitteracknowledgesthattheAccountOpeningBranchmay,atitsowndiscretionand/orpurelytobeprudent,setanytransactionlimitandmayfromtimetotimevarysuchlimitasitdeemsappropriatewhenprovidingfundstransferservice. 7. 汇款人承认，开户行受到荷兰银行全球客户承诺及反洗钱政策的约束。如汇款申请书所载的收款人列于洗钱防治名单或有类似情形，开户行将不予提供汇款服务。 TheRemitteracknowledgesthattheAccountOpeningBranchissubjecttotheGlobalClientAcceptanceandAnti-MoneyLaunderingPolicyofABNAMROBankN.V.IftheBeneficiaryoftheApplicationforFundsTransferisonaListforPreventionofMoneyLaunderingorunderanysimilarcircumstance,theAccountOpeningBranchwillnotprovidethefundstransferservice. 8. 如因任何非开户行所能控制的情况（包括付款或通讯系统发生故障、电力故障、设备故障、软件故障或软件程序发生缺陷等）而引致开户行迟延提供或未能提供汇款服务，开户行无须对汇款人承担任何责任。 TheAccountOpeningBranchshallnotbeliabletotheRemitterwithrespecttoanyfailureordelaybytheAccountOpeningBranchtoprovidethefundstransferservicebyreasonofanycircumstancesbeyondthecontroloftheAccountOpeningBranch(includingthefailureofthepaymentorcommunicationsystem,powerfailure,breakdownofequipment,softwaremalfunctionordefectsinthesoftwareprogram). 9. 任何汇款指示一经开户行收到，即为不可撤销并对汇款人具有约束力。汇款人无权撤销、质疑或更改任何根据该等指示所执行的交易。 WhenanyfundstransferinstructionisreceivedbytheAccountOpeningBranch,theinstructionshallbeirrevocableandbindingontheRemitterandtheRemittershallnotbeentitledtorevoke,challengeorvaryanytransfertobecarriedoutaccordingtotheinstruction. 10. 在法律不禁止的范围内，开户行可以自行决定汇款服务手续费的收取标准，并对该手续费作出不时调整。汇款人同意支付汇款服务手续费及与执行汇款人汇款指示有关的一切其他费用，包括在汇款人选择以“汇款人OUR”方式或“共同SHA”方式支付海内外费用时，同意银行：(1)预先向汇款人收取一定的资金；或(2)如银行未向汇款人预先收取一定资金的，则银行有权对汇款人的帐户设置适当的交易限制，确保汇款人帐户至少保留一定的自由资金，用于支付可能产生的海内外费用。 Totheextentnotprohibitedbylaw,theAccountOpeningBranchcandecide,atitsowndiscretion,thefeeforfundstransferservice,andmakeadjustmentsfromtimetotime.TheRemitteragreestopaytheservicechargeforfundstransferaswellasanyotherexpensesrelatedtotheexecutionofthefundstransferinstruction.Iftheremitterselectstopaythecorrespondentbankchargeunder“OUR”or“SHA”,theBankisauthorizedto(A)chargetheRemitteracertainsumoffundinadvance;or(B)ifinabsenceofforegoing,theBankisentitledtosetappropriaterestrictiononthetransactionoftheRemitter’saccounttoensureacertainamountofunencumberedfundsremainingintheRemitter’saccounttocoverpossiblecorrespondentbankcharge. 11. 除开户行明确确认外，对开户行而言，开户行就汇款发出的结单内所载帐目将不得被视为是终局性的。开户行有权在其认为合理情况下自行修正有关记录或该等结单内任何时候的帐目记载。 UnlesstheAccountOpeningBranchexpresslyconfirmsotherwise,theentriesinthestatementforthefundstransferfromtheAccountOpeningBrancharenotconclusiveastotheircorrectnessagainsttheAccountOpeningBranch.TheAccountOpeningBranchshall(underwhatitdeemstobereasonablecircumstances)beentitledtocorrectrelevantentriesonitsrecordsorentriesmadeinthestatementwheneversuchentriesaremade. 12. 开户行可随时更改、修改本条款及条件，以张贴、广告汇款人该有关的更改或修改。任何该等更改或修改将于开户行张贴或广告中指定的日期生效。 TheAccountOpeningBranchmaychangeormodifytheseTermsandConditionsatanytimeandnotifytheRemitterofsuchrelevantchangeormodificationsbydisplayoradvertisement.AnysuchchangeormodificationshalltakeeffectuponthedatespecifiedbytheAccountOpeningBranchinthedisplayoradvertisement. 13. 如汇款人为自然人，本条款及条件对汇款人、授权签署人及汇款人继承人有效。如汇款人为非自然人或合伙组织，本条款及条件效力不受汇款人名称或结构上任何变更的影响，且对汇款人、所有授权签署人、汇款人承继人及受让人有效。 IftheRemitterisanindividual,theseTermsandConditionsshallbebindingupontheRemitter,anyAuthorizedSignatoryandsuccessorsoftheRemitter.IftheRemitterisanotanaturalpersonorisapartnership,theseTermsandConditionsshallremaininforcenotwithstandinganychange(s)inthenameorstructureoftheRemitterandshallbebindingupontheRemitter,allAuthorizedSignatories,aswellassuccessorsandassigneesoftheRemitter. 14. 本条款及条件以英文及/或中文书就。中、英文本间如有任何矛盾或不一致，则在任何方面为任何目的均应以中文本为准。 TheseTermsandConditionshavebeenprovidedinEnglishand/orChinese.IntheeventofconflictorinconsistencybetweentheEnglishandChineseversions,theChineseversionshallprevailinallrespectsandforallpurposes.
