律师事务所实习日志 一(3.23 周一 阴 今天是实习的第一天，将在德赛律师事务所实习六周。德赛律师事务所是我国80年代第一批合伙律师事务所，总部设在经济特区珠海。对于贵所的名气早有耳闻，又有这么宝贵的实习机会，觉得格外地幸运。所以对于实习内心充满了期待。 7:20踏上519，接下来的六周时间，除了周末，每天都要从519的起点站珞珈山到终点站汉口火车站，历时一个小时十分钟。很快我们找到了律所所在的写字楼。律所的办公区域很大，独占了一层写字楼的二分之一，靠窗的独立办公室都是合伙人的，而中间的各层办公区域则是专聘律师的，可见律所规模之大。 我们一行人坐在会议室里等待负责实习的张老师。会议室里赫然写着“追求民主，崇尚科学”，另一侧则挂着各种荣誉奖牌。还有“武汉大学法学院实习基地”，顿时亲切感油然而生。 九点整，张律师接待了我们。张律师利落的西装打扮，戴着金丝边眼镜，对于这位大律师心中自然产生了敬佩之情。接下来的交谈，让我更深地感受到了作为一名律师的魅力，他的谈吐，思维，逻辑。 首先，我们做了自我介绍。来自哪里，对于法律的那方面业务比较感兴趣等。我是第一个发言的，心里还是有些紧张的。我简略地介绍了自己的基本情况，并表示了对非诉类的公司法比较感兴趣。其他同学也简略地作了自我介绍，各自都有不同的经历和特点，不过共同的一点是，都对律所的学习充满了渴望。 紧接着张老师让我们发表对律师行业的理解。由于之前并没有接触过律师，对于律师的认识也只是通过书籍，媒体，只能说是一种感性的认识。律师是以法律专业的角度维护当事人的合法权益。律师分为诉讼律师和非诉讼律师两大类。 张律师就我们发表的理解，作了以下的总结: 一、律师行业是服务行业，有以下四点: 1.客户1)有明确需求的客户。此类客户有实效，正对性。 2)有潜在需求的客户。 3)无需求的客户。由于各种特殊原因，注重形式。 2.提供法律服务。1)守时。不因任何理由推脱。 2)重承诺。这是态度问题，做不到说明理由，建立信任。 3.提供专业法律服务。 提出解决。要有好的工作习惯，形成文字。 ith. 3, fill embankment before base and completed the inspection and acceptance of works. 4, before the requirement level elevation sign layout according to the drawing, every nail on the level of a certain distance, elevation of forklift parts according to the design requirements set. 5, according to the site conditions determine the routes of earth-moving machinery, vehicles, and prior checks, reinforce and widen if necessary and other preparatory work. (2) in the rain at the time of construction, check all the rain 张律师对我和宋爽上礼拜的做的合同纠纷案中的证据目录做了评价，只停留在表面功夫，没有深入研究作为确认之诉，违约之诉所需要的证据到底是什么，而是笼统地将所有证据都编入其内。并布置了一个任务，按合同法的规定，研究违约的各个分类到底需要哪有证据，作一个抽象的分析。做到心里有底，而不是茫然地分类。 张律师说，短短的六周实习实际能真正地学到的法律实物很少，更多地是培养你们的一个思维习惯，如何习惯用法律的角度去看待问题。通过做案件，旁听谈判，潜移默化地培养。 我们还提问了张律师，作为律师的工作这么繁忙，压力很多，是如何化解的,张律师笑着回答到，我工作地时候认真工作，严格按照工作进行。工作之余我可以做自己的事，其实工作和生活是要脱离的，并且要找到自己能够宣泄的方式。律师这个行业，经常要和社会的黑暗和人性的贪婪打交道，一定学会处理工作和生活的关系。“台湾一位高僧说，一天的工作面对他，一天的任务完成它，一天的问题解决他，一天的事情忘掉他。做律师就是要这样。这话说得比我说得好。对律师来说，最没法容忍的就是没有计划性，一定要改。 张律师的回答总是听起来感觉很轻松，给我们对律师这个行业有很大的信心。例如我们问道律师行业是否对女士有歧视，女士是否不适合律师行业,张律师也是肯定地回答没有，作为女律师还是有很多优势的，我们只是缺乏发现的眼睛。在充满智慧的答案中，我们都明白要历练成张律师如今的段数，背后是需要付出很多很多的努力和汗水的，拼智慧拼脑力。 下午在会议室召开清算会议，我们旁听边兼当服务生。从三点到六点，历时三个小时。亲身体验“战场”的感觉，此次“实战演习”果然很有现场感。 清算会议是由德赛律所的顾律师和张律师主持，并由三方股东共同参加协商清算程序的各条。列席会议的有各大律师，呈现出不同的工作风格。有的代表大股东的利益，对涉及大股东利益的条款坚持提出异议，态度很坚定;中小股东也表态意见。清算管理人本着兼顾公平，效率的原则将会议紧张有序地进行。会议当中，就管理人报酬，投票方式产生较大争议，辩驳了很长的时间。清算管理人认真登记股东的建议，本着协商的态度，达到共识。 我看到了不同的股东为自身的利益辩驳的场景，通过不同的策略维护自身的权利。而作为主持，又是如何揣摩对方的心理，通过谈判的技巧，策略的实施主持清算会议的。 由于一直到会议结束已经到快七点了，张律师请我们和一位专职律师一起吃饭。正巧今天又是送宋爽的生日。 张律师说，他在工作上是很认真的，生活方面倒是比较随意，大家不必拘谨。我们边品羊肉火锅，边讨论清算会议的体会。每次和张律师谈话，收获颇丰。 ith. 3, fill embankment before base and completed the inspection and acceptance of works. 4, before the requirement level elevation sign layout according to the drawing, every nail on the level of a certain distance, elevation of forklift parts according to the design requirements set. 5, according to the site conditions determine the routes of earth-moving machinery, vehicles, and prior checks, reinforce and widen if necessary and other preparatory work.
