hereinaftercalledtheVesselonthefollowingtermsandconditions: 9 以下称之为‘船舶’，并遵循以下条款与条件： Definitions定义 10 "Bankingdays"aredaysonwhichbanksareopenbothinthecountryofthecurrency 11 stipulatedforthePurchasePriceinClause1andintheplaceofclosingstipulatedinClause8. 12 “银行工作日”指两个国家的银行都开门营业的工作日。支付购买价款（条款1）和船舶交接（条款8）的两个国家。 AssecurityofthecorrectfulfillmentofthisAgreementtheBuyershallpayadepositof10% 18 (tenpercent)ofthePurchasePricewithinbankingdaysfromthedateofthis 19 Agreement.Thisdepositshallbeplacedwith 20 andheldbytheminajointaccountfortheSellersandtheBuyers,tobereleasedinaccordance 21 withjointwritteninstructionsoftheSellersandtheBuyers.Interest,ifany,tobecreditedtothe 22 Buyers.AnyfeechargedforholdingthesaiddepositshallbeborneequallybytheSellersandthe 23 Buyers. 24 physicallyreadyfordeliveryinaccordancewiththetermsandconditionsofthisAgreementand 28 NoticeofReadinesshasbeengiveninaccordancewithClause5.上述购买船舶价款，不产生任何银行费用，须在交船时支付给但，根据本合同的条款和条件，船舶在各个方面实际做好交接准备，并且按照第5条款递交准备就绪通知书后，应不迟于3个银行工作日之内支付。 29 4.Inspections检查 30 a)*TheBuyershaveinspectedandacceptedtheVessel’sclassificationrecords.TheBuyers 31 havealsoinspectedtheVesselat/inon 32 andhaveacceptedtheVesselfollowingthisinspectionandthesaleisoutrightanddefinite, 33 subjectonlytothetermsandconditionsofthisAgreement. 34 买方已经检查并接受船舶的船级。买方也已经在＿＿＿（日期）在＿＿＿（地点）对船舶进行了检查。并且在该检查之后接受了该船舶，那么，船舶买卖关系，仅根据本协议之条款和条件，彻底无条件地和明确肯定地宣告成立。 b)*TheBuyersshallhavetherighttoinspecttheVessel’sclassificationrecordsanddeclare 35 whethersameareacceptedornotwithin 36 买方应该有权检查该船舶的船级记录，并在＿＿＿（时间）内宣布是否接受船舶现状买卖。 TheSellersshallprovideforinspectionoftheVesselat/in 37 卖方应在＿＿＿＿为买方安排船舶检查。 TheBuyersshallundertaketheinspectionwithoutunduedelaytotheVessel.Shouldthe 38 BuyerscauseunduedelaytheyshallcompensatetheSellersforthelossestherebyincurred. 39 买方应该承诺该检查不得给船舶造成无故不合理的延误。如果买方造成了无故不合理的延误，则应当赔偿卖方因此而遭受的损失。 TheBuyersshallinspecttheVesselwithoutopeningupandwithoutcosttotheSellers. 40 买方将检查船舶，但不得打开/拆开以及不能给卖方造成任何费用。 Duringtheinspection,theVessel’sdeckandenginelogbooksshallbemadeavailablefor 41 examinationbytheBuyers.IftheVesselisacceptedaftersuchinspection,thesaleshall 42 becomeoutrightanddefinite,subjectonlytothetermsandconditionsofthisAgreement, 43 providedtheSellersreceivewrittennoticeofacceptancefromtheBuyerswithin72hours 44 aftercompletionofsuchinspection. 45 在检查期间中，船舶航海日志和轮机日志应提供给买方进行检查。如果买方在该检查之后接受该船舶，即在买方完成本次检查之后72小时内，卖方收到来自买方的接受该船舶的书面通知，那么，船舶买卖关系仅受限于本协议的条款和条件，彻底无条件地和明确肯定地宣告成立。 ShouldnoticeofacceptanceoftheVessel’sclassificationrecordsandoftheVesselnotbe 46 receivedbytheSellersasaforesaid,thedeposittogetherwithinterestearnedshallbe 47 releasedimmediatelytotheBuyers,whereafterthisAgreementshallbenullandvoid. 48 如果卖方没有在上述条件下接收到买方的，接受该船舶船级记录的通知，和/或接受该船舶的通知，保证金连同赚取的利息，应该立即释放给买方，在此之后，该协议应该宣告无效和空白作废。 *4a)and4b)arealternatives;deletewhicheverisnotapplicable.Intheabsenceofdeletions, 49 alternative4a)toapply. 50 4a)和4b)二选一；删除不用的。如果未作删除，则视为选用4a)。 5.Notices,TimeandPlaceofDelivery交船地点和时间 51 a)TheSellersshallkeeptheBuyerswellinformedoftheVessel’sitineraryandshall 52 providetheBuyerswith,,anddaysnoticeoftheestimatedtimeofarrivalatthe 53 intendedplaceofdrydocking/underwaterinspection/delivery.WhentheVesselisattheplace 54 ofdeliveryandineveryrespectphysicallyreadyfordeliveryinaccordancewiththis 55 Agreement,theSellersshallgivetheBuyersawrittenNoticeofReadinessfordelivery. 56 卖方应随时报告给买方本船舶的行程，以及给予买方提前//和天之预计抵达进坞/水下检查/交船的地点及时间的通知。当船舶抵达交船地点，并根据本协议在各个方面实质准备就绪交接后，卖家应需向买方递交书面的准备就绪通知书。 预期的交付时间： Dateofcanceling(seeClauses5c),6b)(iii)and14): 61 销约期/解约日（见条款5C,6B(iii)和14） c)IftheSellersanticipatethat,notwithstandingtheexerciseofduediligencebythem,the 62 VesselwillnotbereadyfordeliverybythecancelingdatetheymaynotifytheBuyersin 63 writingstatingthedatewhentheyanticipatethattheVesselwillbereadyfordeliveryand 64 proposeanewcancelingdate.UponreceiptofsuchnotificationtheBuyersshallhavethe 65 optionofeithercancelingthisAgreementinaccordancewithClause14within7running 66 daysofreceiptofthenoticeorofacceptingthenewdateasthenewcancelingdate.Ifthe 67 Buyershavenotdeclaredtheiroptionwithin7runningdaysofreceiptoftheSellers’ 68 notificationoriftheBuyersacceptthenewdate,thedateproposedintheSellers’notification 69 shallbedeemedtobethenewcancelingdateandshallbesubstitutedforthecanceling 70 datestipulatedinline61. 71 IfthisAgreementismaintainedwiththenewcancelingdateallothertermsandconditions 72 hereofincludingthosecontainedinClauses5a)and5c)shallremainunalteredandinfull 73 forceandeffect.Cancellationorfailuretocancelshallbeentirelywithoutprejudicetoany 74 claimfordamagestheBuyersmayhaveunderClause14fortheVesselnotbeingreadyby 75 theoriginalcancellingdate.如果在订立新解约日的情况下，本合同依然保持存在，其他所有条款和条件，包括第5条的a)和c)的内容，应仍然保持不变，以及全部效力和作用效果。取消与否将完全不会影响买方根据第14条该船在原解约日未准备就绪的情况下可能享有的索赔损失的权力。 76 d)ShouldtheVesselbecomeanactual,constructiveorcompromisedtotallossbeforedelivery 77 thedeposittogetherwithinterestearnedshallbereleasedimmediatelytotheBuyers 78 whereafterthisAgreementshallbenullandvoid. 79 如果在交接前该船舶实际全损，推定全损或协议全损，保证金连同所计利息将立即全数返还买方，此后本协议应是作废和无效。 6.Drydocking/DiversInspection进船坞/水下检查/检验 80 a)**TheSellersshallplacetheVesselindrydockattheportofdeliveryforinspectionbythe 81 ClassificationSocietyoftheVessel’sunderwaterpartsbelowthedeepestloadline,the 82 extentoftheinspectionbeinginaccordancewiththeClassificationSociety’srules.Ifthe 83 rudder,propeller,bottomorotherunderwaterpartsbelowthedeepestloadlinearefound 84 broken,damagedordefectivesoastoaffecttheVessel’sclass,suchdefectsshallbemade 85 goodattheSellers’expensetothesatisfactionoftheClassificationSocietywithout 86 condition/recommendation.*卖方应在交船港口安排船舶进坞，以接受船级社对低于最深载重线水下部分进行检验，检验的范围程度要遵循船级社的规则。如果发现船舵、螺旋桨、船底或其它低于最深载重线的水下部分，有影响船舶船级的破裂、损坏或缺陷，则，卖方应该承担费用完成这些缺陷的修复工作，直到符合船级社规定，并且不得遗留船级条件/批注*。 87 b)**(i)TheVesselistobedeliveredwithoutdrydocking.However,theBuyersshall 88 havetherightattheirexpensetoarrangeforanunderwaterinspectionbyadiverapproved 89 bytheClassificationSocietypriortothedeliveryoftheVessel.TheSellersshallattheir 90 costmaketheVesselavailableforsuchinspection.Theextentoftheinspectionandthe 91 conditionsunderwhichitisperformedshallbetothesatisfactionoftheClassification 92 Society.Iftheconditionsattheportofdeliveryareunsuitableforsuchinspection,the 93 SellersshallmaketheVesselavailableatasuitablealternativeplaceneartothedelivery 94 port.船舶不安排进船坞交船。然而，买方应该有权在交船前安排由船级社认可的潜水员进行水下检验，并自己承担费用。卖方应该自费安排船舶以备此类检查。执行此检验的范围和条件应符合船级社的要求。如果在交船地点的条件状况不适合这种检验，卖方应当安排船舶在靠近该交船港口的一个适宜的替代地点进行检查。 95 (ii)Iftherudder,propeller,bottomorotherunderwaterpartsbelowthedeepestloadline 96 arefoundbroken,damagedordefectivesoastoaffecttheVessel’sclass,thenunless 97 repairscanbecarriedoutafloattothesatisfactionoftheClassificationSociety,theSellers 98 shallarrangefortheVesseltobedrydockedattheirexpenseforinspectionbythe 99 ClassificationSocietyoftheVessel’sunderwaterpartsbelowthedeepestloadline,the 100 extentoftheinspectionbeinginaccordancewiththeClassificationSociety’srules.Ifthe 101 rudder,propeller,bottomorotherunderwaterpartsbelowthedeepestloadlinearefound 102 broken,damagedordefectivesoastoaffecttheVessel’sclass,suchdefectsshallbemade 103 goodbytheSellersattheirexpensetothesatisfactionoftheClassificationSociety 104 withoutcondition/recommendation*.InsucheventtheSellersaretopayalsoforthecostof 105 theunderwaterinspectionandtheClassificationSociety’sattendance.如果发现船舵、螺旋桨、船底或其他低于最深载重线水下部分有影响船级的破裂、损坏或缺陷，除非能在船舶漂浮状态下进行维修并满足船级社的要求，否则，卖方应该自费安排船舶进坞和船舶船级社对低于最深载重线的水下部分进行检查，检查的范围程度遵循船级社的规定。如果发现船舵、螺旋桨、船底或其他低于最深载重线水下部分有影响船级的破裂、损坏或缺陷，这些缺陷应该由卖方承担费用完成修复，直到符合船级社规定，并且不得遗留船级条件/批注*。在此情况下，卖方应该承担水下检验费用以及船级社验船师的出勤费用。 106 (iii)IftheVesselistobedrydockedpursuanttoClause6b)(ii)andnosuitabledry- 107 dockingfacilitiesareavailableattheportofdelivery,theSellersshalltaketheVessel 108 toaportwheresuitabledrydockingfacilitiesareavailablewhetherwithinoroutsidethe 109 deliveryrangeasperClause5b).OncedrydockinghastakenplacetheSellersshalldeliver 110 theVesselataportwithinthedeliveryrangeasperClause5b)whichshall,forthe 111 purposeofthisClause,becomethenewportofdelivery.Insucheventthecancelingdate 112 providedforinClause5b)shallbeextendedbytheadditionaltimerequiredforthe 113 drydockingandextrasteaming,butlimitedtoamaximumof14runningdays.如果船舶根据第6条(b)款(ii)项规定进坞，但在交船港口并没有适合的干船坞设施空闲可用，卖方应安排船舶进入一处具有合适可用的干船坞的港口，无论是在第5(b)条款规定交船范围之内或者之外。一旦船舶完成坞修，卖方应该可以在第5(b)条款规定的交船范围之内任一港口进行交船，为此，该港口应当成为新的交船港口。在此情况下，第5(b)条款规定的解约日，应根据坞修工作所需增加的时间和额外航行时间而相应地的延长，但最长不得超过14天。 114 c)IftheVesselisdrydockedpursuanttoClause6a)or6b)above如果船舶根据上述条款6a或6b进船坞 115 (i)TheClassificationSocietymayrequiresurveyofthetailshaftsystem,theextentof 116 thesurveybeingtothesatisfactionoftheClassificationsurveyor.Ifsuchsurveyisnot 117 requiredbytheClassificationSociety,theBuyersshallhavetherighttorequirethetailshaft 118 tobedrawnandsurveyedbytheClassificationsurveyor.Theextentofthesurveybeingin 119 accordancewiththeClassificationSociety’srulesfortailshaftsurveyandconsistentwith 120 thecurrentstageoftheVessel’ssurveycycle.TheBuyersshalldeclarewhetherthey 121 requirethetailshafttobedrawnandsurveyednotlaterthanbythecompletionofthe 122 inspectionbytheClassificationSociety.Thedrawingandrefittingofthetailshaftshallbe 123 arrangedbytheSellers.Shouldanypartsofthetailshaftsystembecondemnedorfound 124 defectivesoastoaffecttheVessel’sclass,thosepartsshallberenewedormadegoodat 125 theSellers’expensetothesatisfactionoftheClassificationSocietywithout 126 condition/recommendation.*船级社可能要求对尾轴系统进行检验，检验的范围程度需达到船级社验船师的要求。如果船级社没有要求进行检验，买方应有权要求抽出尾轴进行船级社检验，检验的范围程度需遵循船级社对尾轴检验的规则和符合现阶段船舶检验的周期。买方应该在不晚于船级社完成船舶检查之前宣布是否要求抽出尾轴进行检验。尾轴的抽出和重装工作应该由卖方安排。如果尾轴系统的任何部件宣布报废或发现缺陷，以至于影响船级，卖方应该承担费用对这些部分进行更新或完成修复，直到满足船级社的要求，无任何船级遗留条件/批注*。 127 (ii)Theexpensesrelatingtothesurveyofthetailshaftsystemshallbeborne 128 bytheBuyersunlesstheClassificationSocietyrequiressuchsurveytobecarriedout,in 129 whichcasetheSellersshallpaytheseexpenses.TheSellersshallalsopaytheexpenses 130 iftheBuyersrequirethesurveyandpartsofthesystemarecondemnedorfounddefective 131 (iii)TheexpensesinconnectionwithputtingtheVesselinandtakingheroutof 133 drydock,includingthedrydockduesandtheClassificationSociety’sfeesshallbepaidby 134 theSellersiftheClassificationSocietyissuesanycondition/recommendation*asaresult 135 ofthesurveyorifitrequiressurveyofthetailshaftsystem.InallothercasestheBuyers 136 shallpaytheaforesaidexpenses,duesandfees. 137 如果是由于本次检验导致船级社签发任何船级条件/批注，或者船级社要求对尾轴系统进行检验，那么船舶进坞和出坞的有关费用，包括船坞费和船级社费用，都应该由卖方承担。在其它任何情况下，上述费用应由买方承担。 (iv)TheBuyers’representativeshallhavetherighttobepresentinthedrydock,but 138 withoutinterferingwiththeworkordecisionsoftheClassificationsurveyor. 139 买方代表应有权参加船舶在干船坞的检查活动，但不得妨碍船级社验船师的工作或决定。 (v)TheBuyersshallhavetherighttohavetheunderwaterpartsoftheVessel 140 cleanedandpaintedattheirriskandexpensewithoutinterferingwiththeSellers’orthe 141 Classificationsurveyor’swork,ifany,andwithoutaffectingtheVessel’stimelydelivery.If, 142 however,theBuyers’workindrydockisstillinprogresswhentheSellershave 143 completedtheworkwhichtheSellersarerequiredtodo,theadditionaldockingtime 144 neededtocompletetheBuyers’workshallbefortheBuyers’riskandexpense.Intheevent 145 thattheBuyers’workrequiressuchadditionaltime,theSellersmayuponcompletionofthe 146 Sellers’worktenderNoticeofReadinessfordeliverywhilsttheVesselisstillindrydock 147 andtheBuyersshallbeobligedtotakedeliveryinaccordancewithClause3,whether 148 theVesselisindrydockornotandirrespectiveofClause5b). 149 在不影响卖方或船级社验船师工作（若有），以及不影响船舶及时交接的前提下，买方应该有权对船舶水下部分进行清洗和油漆，并自己承担风险和费用。然而，如果卖方已经完成被要求的工作，但买方在干船坞的工作仍在继续，由于买方需要完成其工作而导致额外在坞时间，应由买方承担风险和费用。在需要额外时间完成买方工作的情况下，虽然船舶仍未出坞，卖方可以在完成自己的工作当时递交船舶交接准备就绪通知书，同时买方应该必须按照第3条款接收船舶，不管船舶是否在坞，和不予考虑第5(b)条款。 *Notes,ifany,inthesurveyor’sreportwhichareacceptedbytheClassificationSociety 150 withoutcondition/recommendationarenottobetakenintoaccount. 151 若在验船师检验报告中出现标注/注释，并被船级社接受而不被视为船级条件/批注，则不予考虑。 **6a)and6b)arealternatives;deletewhicheverisnotapplicable.Intheabsenceofdeletions, 152 alternative6a)toapply. 153 条款6a和6b二选其一，删除任一条不适用，在不删除的条件下，采用6a. 7.Spares/Bunkers,Etc.零件/燃油等 154 TheSellersshalldelivertheVesseltotheBuyerswitheverythingbelongingtoheronboardandon 155 Shore.Allsparepartsandspareequipmentincludingsparetail-endshaft(s)and/orspare 156 propeller(s)/propellerblade(s),ifany,belongingtotheVesselatthetimeofinspectionusedor 157 unused,whetheronboardornotshallbecometheBuyers’property,butsparesonorderaretobe 158 excluded.Forwardingcharges,ifany,shallbefortheBuyers’account.TheSellersarenotrequiredto 159 replacesparepartsincludingsparetail-endshaft(s)andsparepropeller(s)/propellerblade(s)which 160 aretakenoutofspareandusedasreplacementpriortodelivery,butthereplaceditemsshallbethe 161 propertyoftheBuyers.Theradioinstallationandnavigationalequipmentshallbeincludedinthesale 162 withoutextrapaymentiftheyarethepropertyoftheSellers.Unusedstoresandprovisionsshallbe 163 includedinthesaleandbetakenoverbytheBuyerswithoutextrapayment.卖方应该将船舶以及包括属于船舶的一切船上和岸上的物品交付给买方。所有备件和备用设备包括备用尾轴和/或备用螺旋桨/桨叶，若有，凡是在检查船舶时属于船舶的物品，无论是否曾使用过，是否在船上，都应该成为买方的财产。但是，正在订购的备件不包括在内。转运费用，若有（岸上送还物品），应该由买方承担。卖方不需要对交船前已经从后备库中取出用于替换的备件，包括备用尾轴和备用螺旋桨进行补充，但是，被替换下的物品应属于买方的财产。无线电装置和导航设备应该包含在船价之内，只要它们确系卖方财产，无须另外付款。未使用的物料和给养（伙食）应包含在船价之中并由买方接收，无需另外付款。 164 TheSellershavetherighttotakeashorecrockery,plates,cutlery,linenandotherarticlesbearingthe 165 Sellers’flagornameprovidedtheyreplacesamewithsimilarunmarkeditems.Library,forms,etc., 166 exclusivelyforuseintheSellers’vessel(s),shallbeexcludedwithoutcompensation.Captain’s, 167 Officers’andCrew’spersonalbelongingsincludingtheslopchestaretobeexcludedfromthesale, 168 aswellasthefollowingadditionalitems(includingitemsonhire): 169 卖方有权将印有卖方标志或名称的陶制容器、盘子、刀叉餐具、日用织品和其它物品拿走送岸，只要卖方用没有标记的类似物品替代之。属于卖方船舶专用的图书资料和文件等应该不包括在内，卖方也不予以补偿。船长、高级船员和普通船员私人物品包括小卖部的免税物品，都不包括在船价之中，另外还有如下附加物品清单（但包括租用物品项目） TheBuyersshalltakeovertheremainingbunkersandunusedlubricatingoilsinstoragetanksand 170 sealeddrumsandpaythecurrentnetmarketprice(excludingbargingexpenses)attheportanddate 171 ofdeliveryoftheVessel. 172 买方应该接收剩余燃油、和在储存柜中未使用的，以及密封的桶装润滑油，并按照交船港口当日的净市场现价支付款项（不包括驳船费用）。 PaymentunderthisClauseshallbemadeatthesametimeandplaceandinthesamecurrencyas 173 thePurchasePrice. 174 本条款下的付款应该是与购船价款同种货币，并在同一时间和地点进行支付。 8.Documentation:交船文件 175 Theplaceofclosing:法律/文件交接地点 176 InexchangeforpaymentofthePurchasePricetheSellersshallfurnishtheBuyerswithdelivery 177 Documents,namely:作为支付购船价款的交换条件，卖方应将如下文件在交船时交给买方： 178 a)LegalBillofSaleinaformrecordablein(thecountryinwhichtheBuyersare 179 toregistertheVessel),warrantingthattheVesselisfreefromallencumbrances,mortgages 180 andmaritimeliensoranyotherdebtsorclaimswhatsoever,dulynotariallyattestedand 181
