,within_30_daysafterreceivingthenotificationofcancellingtheorder.IftheBuyerrequirestocontinueperformingthecontract,thecontractwillcontinuetobeeffective.Fromtheseconddayafterthedeliverydeadlinestipulatedinthiscontracttotheactualdeliverydate,theSellershallpay0.002percent(Thisrateshouldbenolessthantheratestipulatedintheitem(1))oftheeffectedpaymentperdaywithin10daysaftertheactualdeliverydatetotheBuyerasapenalty.2._______________________________X____________________________Article14SolutionsonAreaDiscrepancyWhendeliveringtheHouse,theSellershalldemonstratetheCommodityHousingAreaMappingReportissuedbytheentrustedqualifiedRealEstateMappingorganization,andprovidetheactualmeasuredareaoftheHousetotheBuyer(HereinafterreferstoastheMeasureArea).IfthereareanydiscrepancybetweentheMeasureAreaandthepredictedareastatedinArticle3,bothpartieswillagreetohandleinaccordancewithMethod1:1.AccordingtotheagreementonthepricingmodeoftheinteriorbuildingareainArticle5,bothpartiesshallagreetohandleinaccordancewiththefollowingprinciples:(1)Iftheabsolutediscrepancyrateoftheinteriorbuildingareaiswithin3%(including3%),itcanbesettledthepaymentoftheHouseaccordingtothefact;(2)Iftheabsolutediscrepancyrateoftheinteriorbuildingareaexceeds3%,theBuyerhastherighttocanceltheorder.IftheBuyercancelstheorder,theSellermustreturntheeffectedpaymenttotheBuyerwithin30daysafterreceivingthenotificationofcancelingtheorder,andpaythecorrespondinginterestratesaccordingtotheinterestrateofindividualhousingloanissuedbythebankinthecorrespondingperiod.IftheBuyerdoesn’tcanceltheorder,whentheMeasuredAreaoftheinteriorbuildingareaislargerthanthepredictedareawiththediscrepancyratewithin3%(including3%),theBuyershallpayfortheextraarea;whileifthediscrepancyrateexceeds3%,thecostoftheextraareawillbebornebytheSellerandtheownershipbelongstotheBuyer.WhentheMeasuredAreaoftheinteriorbuildingareaissmallerthanthepredictedareawiththediscrepancyratewithin3%(including3%),theSellershallreturnthecostofthelessareatotheBuyer;whileifthediscrepancyrateexceeds3%,theSellershallreturntwicemorethanthecostofthelessareatotheBuyer.Theabsolutediscrepancyrateoftheinteriorbuildingarea=TheMeasuredArea–ThePredictedAreaThePredictedAreax100%2.AccordingtotheagreementonthepricingmodeoftheinteriorbuildingareainArticle5,bothpartiesshallagreetohandleinaccordancewiththefollowingprinciples:(1)Iftheabsolutediscrepancyratesofthebuildingareaandtheinteriorbuildingareabotharewithin3%(including3%),itcanbesettledthepaymentoftheHouseaccordingtothefact;(2)Ifeitheroftheabsolutediscrepancyratesofthebuildingareaandtheinteriorbuildingareaexceeds3%,theBuyerhastherighttocanceltheorder.IftheBuyercancelstheorder,theSellermustreturntheeffectedpaymenttotheBuyerwithin30daysafterreceivingthenotificationofcancelingtheorder,andpaythecorrespondinginterestratesaccordingtotheinterestrateof__________________________.IftheBuyerdoesn’tcanceltheorder,whentheMeasuredAreaofthebuildingareaislargerthanthepredictedareawiththediscrepancyratewithin3%(including3%),theBuyershallpayfortheextraarea;whileifthediscrepancyrateexceeds3%,thecostoftheextraareawillbebornebytheSellerandtheownershipbelongstotheBuyer.WhentheMeasuredAreaofthebuildingareaissmallerthanthebuildingareastipulatedinthecontractwithin3%(including3%),theSellershallreturnthecostofthelessareatotheBuyer;whileifthediscrepancyrateexceeds3%,theSellershallreturntwicemorethanthecostofthelessareatotheBuyer.Theabsolutediscrepancyrateofthebuildingarea=TheMeasuredArea–ThePredictedAreaThePredictedAreax100%3.Bothpartiescanachievetheagreementsbythemselves:_______________________________X_____________________________.Article15Handling-overProcedureI.AftertheHousemeetsthedeliveryconditionsstipulatedinArticle11,theSellershallinformtheBuyerinwrittenwithin7daysbeforethedeliverydateofthehandling-overtimeandplace,aswellastherequiredcredentials.Intheacceptanceofthehandling-over,theSellershalldemonstratethecertificationsstipulatedinArticle11,aswellasthosecertificatingtheHousemeettheotherconditionsstipulatedinArticle11.IftheSellercannotdemonstratethecertificationsorthecertificationsarenotcomplete,ortheotherconditionsinArticle11haven’tbeenmet,theSellerhastherighttoaccepttheHouse;andtheSellershalltaketheresponsibilityforbreachofcontractduetooverduedelivery,whichwillbehandledaccordingtoArticle13.II.Afterthefinalacceptance,bothpartiesshallsignthedeliveryreceiptoftheHouse.Ifthehandling-overprocedurecannotbemadeontimeduetotheBuyer,bothpartiesshallagreetohandleaccordingtothefollowingstipulatedmethods:SincetheseventhdayaftertheSellersendstheMove-inNotice,iftheBuyerhasn’tmadethehandling-overprocedure,itshallbedeemedthattheSellerhasdeliveredtheHousetotheBuyeraccordingtothecontract;SincetheseventhdayaftertheSellersendstheMove-inNotice,allrisksoftheHousewillbetakenbytheBuyer;SincetheseventhdayaftertheSellersendstheMove-inNotice,theBuyershallbeartherelatedfeessuchaspropertycharges,heatingfeeandsoon;Within60daysaftertheSellersendstheMove-inNotice,iftheBuyerhasn’tmadethehandling-overprocedure,theSellerhastherighttoterminatethecontractandfurtherdisposetheHouse;III.BothpartiesshallagreetopaythetaxesaccordingtothefollowingMethod2:1.TheSellermustnottakeiftheBuyerpaysthetaxesornotasaconditionforthedeliveryoftheHouse._______________________________X_____________________________.2.TheBuyershallagreetoentrusttheSellertopaythefollowingtaxesof(1),(2),(3),(4),(5),(6)and(7)onthebehalfoftheBuyer,andpaytheabovetaxedtotheSellerwhenacceptingtheHouse.(1)Housingmaintenancefunds;(2)Contracttax;(3)PropertyservicechargescontractedinArticle23;(4)Heatingfee;(5)StamptaxoftheTitleCertificate;(6)HandlingfeeoftheTitleCertificate;(7)Constructioncostandnetworkaccessfeeofcabletelevision(RMB360Yuan/household).3.TheBuyershallpaythefollowingtaxesof___,___,___,___,___,___totherelateddepartmentsandshowthevoucherstotheSellerwhenacceptingtheHouse.(1)Housingmaintenancefunds;(2)Contracttax;(3)PropertyservicechargescontractedinArticle23;(4)Heatingfee;(5)___________________________________________________________;(6)___________________________________________________________.Article16AgreementontheQuality,OrnamentandFacilityStandardoftheHouseI.TheSellershallpromisethatthebuildingmaterialsandthecomponentsoftheHousearequalifiedandtheHousequalitymeettherequirementsoftheconstructionqualityspecificationsandstandardsissuedbythestateandBeijingMunicipalGovernmentandtheConstructiondrawingdocuments.II.TheSellerandtheBuyeragreeonthefollowingitems:1.IfthefoundationbasisandmainstructurequalityofthisHousearedetectedtobeunqualified,theBuyerhastherighttocanceltheorder.IftheBuyercancelstheorder,theSellermustreturnalltheeffectedpaymenttotheBuyerwithin30daysafterreceivingthenotificationofcancelingtheorder,andpaythecorrespondinginterestratesaccordingtotheinterestrateofindividualhousingloanissuedbythebankinthecorrespondingperiod,andalsocompensatetheBuyerforthecorrespondinglossesifnecessary.Hence,thedetectionchargewillbeattheSeller’sexpense.IftheBuyerrequirestocontinueperformingthecontract,theBuyershallsignasupplementalagreementwiththeSeller._____________________________X_______________________________.2.IftheIQAoftheHouseisdetectednottomeetthenationalstandard,theBuyerhastherighttocanceltheorderwithin60days(thedeadlineshallnotbelessthan60days)afterthedeliverydateoftheHouse.IftheBuyercancelstheorder,theSellermustreturnalltheeffectedpaymenttotheBuyerwithin30daysafterreceivingthenotificationofcancelingtheorder,andpaythecorrespondinginterestratesaccordingtotheinterestrateofindividualhousingloanissuedbythebankinthecorrespondingperiod,andalsocompensatetheBuyerforthecorrespondinglossesifnecessary.Hence,thedetectionchargewillbeattheSeller’sexpense.IftheBuyerdoesn’tcanceltheorder,orhasacceptedtheHouseforuseformorethan60days,theBuyershallsignasupplementalagreementwiththeSeller.IftheBuyerdoesn’tcanceltheorder,theSellershallberesponsibletomaketheIQAoftheHousemeetthenationalstandard;IftheBuyerhasstartedtodecoratetheHouse,whichwillbedeemedthattheBuyerhasgivenuptheaboverights.3.WhendeliveringtheHouseaftertheunitsofconstruction,investigationanddesign,aswellasthebuildersandEngineeringProjectSupervisor,havepassedtheacceptanceinspection,theSellershallchecktheHouseforacceptancetogetherwiththeBuyer;ifanyotherproblems,bothpartiesshallagreeontheMethod(3):(1)TheSellershalldelivertherepairedHousewithin_____days.TheSellershalltaketheresponsibilityforbreachofcontractduetooverduedelivery,whichwillbehandledaccordingtoArticle13.______________________________________________________________(2)TheSellershallberesponsibletorepairtheHousewithin___daysafterthedeliverydateaccordingtothenationalandmunicipalregulationsandstandardsrelatedtotheengineeringquality,accountfortherepairingexpenseandcompensatetheBuyerforthecorrespondinglosses.(3)IftheHouseobtainstheBeijingConstructionProjectCompletionRecordTable,itwillbedeemedtomeetthenationalregulationsandrequirements;ifanyproblems,theSellershallmaintaintheHouseinthescopeofqualitywarranty(accordingtotheResidentialQualityGuarantee),buttheBuyershallhavetheobligationtoaccepttheHouse;iftheBuyerrejectstoaccepttheHouse,itwillbedeemedthattheSellerhasdeliveredthequalifiedHousetotheBuyerontime.4.TheornamentsandfacilitiesofthedeliveredHouseshallmeetthecontractedstandard.Iffailtomeetthestandard,theBuyerhastherighttorequesttheSellertomanageitaccordingtothefollowingMethod(2):(1)TheSellershallcompensatedoublethepricedifferencesoftheornamentsandfacilities;(2)TheSellershallcontinuetocompletethem;(3)______________________X___________________________________.ReferencescanbemadetoAnnex6forthedetailedagreementsontheornamentandfacilitystandard.III.WhentheSellerandtheBuyerhaveanydisputesontheconstructionquality,eitherpartycanentrustaqualifieddetectionorganizationofconstructionengineeringqualityfortest;andbothpartiesshallhavetheobligationtocooperatewitheachothertodetecttheHouse.______________________X___________________________________.Article17ResponsibilityforHousingWarrantyI.IftheHouseisforresidenceuse,thesellershallassumecorrespondingwarrantyresponsibilitysincethedeliverydateoftheHouseaccordingtothecommitmentsintheResidenceQualityGuarantee.IftheHouseisfornon-residenceuse,bothpartiesshallsignasupplementalagreementonthewarrantyscope,periodandresponsibilitiesetcindetails.II.WhentheHousehasanyqualityproblemwithinthewarrantyscopeinthewarrantyperiod,ifbothpartieshavecontractedtocanceltheorder,itshallbesubjecttothecontract;whileifbothpartieshaven’tcontractedtocanceltheorder,theSellershallperformtheobligationofwarrantyandtheBuyershallcooperate.IfthelossisnotcausedduetotheSeller,theSellerwillnotberesponsibleforit.Article18Energy-efficiencyMeasuresfortheHouseIftheHouseisforresidenceuse,itshouldmeettherequirementsofthenationalregulationsrelatedtothebuildingenergy-efficiencyandtheNormonEnergy-efficiencyDesignfortheResidentialBuildings(DBJ01–602–2004)issuedbyBeijingMunicipalPlanningCommitteeandBeijingMunicipalConstructionCommittee.IftheHousefailstomeetthestandards,theSellershallcompletetheenergy-efficiencymeasuresaccordingtotherequirementsofNormonEnergy-efficiencyDesignfortheResidentialBuildings,andtakechargeofthetotalcosts;ifitcausesanylossestotheBuyer,theSellershallcompensateforthem.______________________X___________________________________.Article19CommitmentontheUseWhenusingthisHouse,theBuyermustnotchangethemainbuildingstructure,bearingstructureandusagewithoutauthorization.Exceptfortheagreementsinthecontract,supplementalagreementsandtheannexes,theBuyerhastherighttosharethecommonpartsandfacilitiesrelatedtotheHousewithotherobligeesandundertaketheobligationsaccordingtotheappointedareasofthecommonpartsandsharedbuildings.TheSellermustnotchangetheusageofthecommonpartsandfacilitiesrelatedtotheHousewithoutauthorization.IftheBuyerchangesthemainbuildingstructureandusageoftheHousewithoutauthorization,theSellerhastherighttorequesttheBuyertorecoveritandrestoretheoriginalusage,andalsotakechargeofthetotalcosts.Article20OwnershipRegistrationI.PrimaryregistrationTheSellershallgettheownershipcertificateofthebuildingofthisHousebefore________________.Iftheownershipcertificatehasn’tbeengotwithinthetimestipulatedinthisArticleduetotheSeller,bothpartiesagreetomanageitaccordingtothefollowingMethod1:1.TheBuyerhastherighttocanceltheorder.IftheBuyercancelstheorder,theSellermustreturnalltheeffectedpaymenttotheBuyerwithin30daysafterreceivingthenotificationofcancelingtheorder,andpaytheinterestsattherateof1%ofthetotaleffectedpaymenttotheBuyer.IftheBuyerdoesn’tcanceltheorder,thecontractwillcontinuetobeeffective;fromtheseconddayafterthedeadlinetogettheownershipcertificatefromtheactualdateofgettingthecertificate,theSellershallpay0.005%ofthetotaleffectedpaymentperdaytotheBuyerasapenaltywithin30daysaftertheactualdate.2.________________________________X__________________________.II.Transferregistration1.AftertheHousehasbeendeliveredforuse,bothpartiesagreetomanageitaccordingtothefollowingMethod(2):(1)Bothpartiesapplytotheregistrationauthorityfortheregistrationofownershiptransfer.(2)TheBuyeragreestoentrust________________toapplytotheregistrationauthorityfortheregistrationofownershiptransferwiththeentrustfeeofRMB________YUAN.2.IftheBuyercannotgettheownershipcertificateoftheHousewithindaysafterthedeliverydateduetotheSeller,bothpartiedshallagreetomanageitaccordingtothefollowingMethod(1):(1)TheBuyerhastherighttocanceltheorder.IftheBuyercancelstheorder,theSellermustreturnalltheeffectedpaymenttotheBuyerwithin30daysafterreceivingthenotificationofcancelingtheorder,andpaythecorrespondinginterestratestotheBuyeraccordingtotheinterestrateofindividualhousingloanissuedbythebankinthecorrespondingperiod.IftheBuyerdoesn’tcanceltheorder,fromtheseconddayafterthedeadlinetogettheownershipcertificatefromtheactualdateofgettingthecertificate,theSellershallpay0.005%ofthetotaleffectedpaymentperdaytotheBuyerasapenaltywithin30daysaftertheactualdate.2.________________________________X__________________________.Article21AgreementonCommonRightsandInterests1.TheuserightoftheroofoftheHousebuildingbelongstoalltheowners;2.TheuserightoftheexteriorwalloftheHousebuildingbelongstoalltheowners;3.TheabovetworightswillbeusedbythepropertymanagementcompanyortheSellerinbehalfoftheownersbeforetheestablishmentoftheOwnerCommittee;4.ThenamingrightoftheHousebuildingandtheHousingDistrictbelongstotheSeller.Article22AgreementonAncillaryBuildingsandOtherStructuresBothpartiesagreetomanagetheancillarybuildingsandotherstructuresoftheHousesuchastheundergroundgaragesandsoonaccordingtothefollowingMethod1and2:1.WhentheSellerpresalestheHouse,theancillarybuildingsof_X__,_X__,_X__,and_X__shallbetransferredtogetherwiththeHouse.2.TheSellershalldisclosethattheancillaryundergroundgarage,bicycleparking,clubandparkingspacesonthegroundwillnotbetransferredtogetherwiththeHouse.Article23ProphasePropertyManagementServiceI.ThepropertymanagementcompanyselectedbytheSelleraccordingtolawis:________withthequalificationnumberof________.II.Duringtheprophaseofpropertymanagement,thepropertyservicechargewillbeRMB1.8Yuan/month/m2(buildingarea),whichwillbechargedbythepropertymanagementcompanyannually.Thechargeincludescleaningfeeofthepropertyregion,publicordermaintenancefee,dailymaintenancefeeofpublicareasandfacilities,greeningmaintenancefee,comprehensivemanagementfee,_X__,_X__,and_X__.Thereinto,thefeesforparkingonthegroundis150Yuan/monthwhilethefeesforundergroundparkingis300Yuan/month(inthefirstyearoflivingintheHouse).III.ThepropertymanagementcompanyshallchargethepropertyservicechargeaccordingtotheMethod1.1.Chargebyyear:theBuyershallpayforthechargesbefore________eachyear.2.Chargebyhalfayear:theBuyershallpayforthechargesbeforethedatesof__X__and__X__eachyearseparately.3.Chargebyquarter:theBuyershallpayforthechargesbeforethedatesof__X__,__X__,__X__and__X__eachyearseparately.IV.ReferencescanbemadetoAnnex7forthecontentsofpropertyserviceandtheowners’temporaryagreement.TheBuyershouldreadallthecontentofAnnex7carefullyandagreethatthepropertymanagementserviceselectedbytheSellerwillprovidetheprophasepropertyserviceandtheBuyerwillabidebytheowners’temporaryagreement.Article24HousingMaintenanceFundsIftheBuyerentruststheSellertopaythehousingmaintenancefund,theSellershallgivetheBuyerthepaymentvoucherwithin60daysafterthedateofentrustment.IftheBuyerpaysthehousingmaintenancefundinperson,theBuyershallshowthepaymentvouchertothepropertymanagementcompany[atthedeliverydateofthehouse][within__X__daysafterthedeliverydate].Article25ForceMajeureIfthecontractcannotbeperformedaccordingtotheagreementsduetoforcemajeure,partialortotalresponsibilitycanbeexemptedaccordingtotheeffectoftheforcemajeure;however,eitherpartywhocannotperformthecontractduetoforcemajeureshouldinformtheotherpartyintimeandprovideproofstotheotherpartywithin30daysaftertheenddateoftheforcemajeureevent.Article26DisputeSettlementIfthereareanydisputesduringtheperformanceofthecontract,bothpartiesshallsettleitthroughnegotiationorapplicationformediation;iffailthroughnegotiationormediation,bothpartiescanmanageitaccordingtothefollowingMethod2:1.Applytothearbitrationcommitteeof______forarbitration;2.SuetothePeople’sCourtaccordingtolaw.Article27Thiscontractwillcomeintoeffectuponbothparties’signature.Asfortheissuesexcludedorstipulatedunclearlyorinapplicablyinthiscontract,bothpartiescansignwrittensupplementalagreementsformodificationorsupplementationaccordingtotheparticularcases;butifthesupplementalagreementsincludeanyunreasonablearticlestolightenorexempttheresponsibilitystipulatedinthiscontractoftheSellerortoenhancetheBuyer’sresponsibilityandremovetheBuyer’smainrights,thiscontractwillprevail.Thedissolutionofthiscontractshallbemadeinwritten.Thecontractannexesandsupplementalagreementsbeartheequivalentlegalforceasthiscontract.Article28Thecontractanditsannexesaretotally____pages,in______,withtheequivalentlegalforce,thecontractholdingsituationincludethefollowings:TWOcopiesfortheSeller,TWOcopiesfortheBuyer,_X_copiesfor_X_.Article29Within30daysafterthecontractcomesintoeffect,theSellershallapplytotheConstructionCommitteeofFengtaiDistrictinBeijingforrecordregistrationofthepresalecontractoftheHouse.IftheSellerfailstoapplyforthepresalerecordwithin30daysafterthecontractcomesintoeffect,theBuyercanapplyforitinstead.Ifthepresoldhousehasbeensettomortgage,thepresalerecordshallbeappliedbytheSellerandtheBuyertogether.Seller(Signature):Buyer(Signature):[LegalRepresentative]:[LegalRepresentative]:[EntrustedAgent](Signature):[ThePrincipal]:[EntrustedSalesAgency](Signature):[EntrustedAgent](Signature):Date:Date:
