协议书立协议书人甲方：广东XX文化传播有限公司地址：XX电话：XX传真：XX乙方：（以下简称：乙方）地址：电话：传真：（签约手续:签约时，双方均向对方提供有效的营业执照复印件、法定代表人身份证明书或身份证复印件，如为个人的，须提供个人身份证复印件，以上材料均需盖章或签名）甲、乙双方经友好协商，就甲方制作并享有著作权及邻接权的由郑阳表演的《水月情缘》和《雏菊》专辑（以下简称授权节目）授权乙方于韩国地区独家出版、复制、发行并在韩国地区交付词曲菱权相关事宜达成如下协议：一、授权节目名称及内容1、授权节目名称：《》（暂定名）。2、授权节目内容：见附件一《授权节目的曲目清单》二、授权范围1、授权地区：韩国2、授权期限：两年，自本协议书生效之日起计算3、授权方式：独家使用。4、授权载体：CD、甲方之权利和义务：1、甲方保证其对本协议第一条约定的授权节目拥有合法的邻接权,包括表演者肖像权利及邻接权，其许可乙方使用上述节目时，不构成对上述节目在中国大陆地区所涉及的邻接权人的侵权，并保证上述节目的内容不违反相关法律的禁止性规定。2、甲方须于本合同签订之日起向乙方提供授权节目之CD-R形式的母盘，并保证母盘质量完好；如出现质量问题，甲方保证在无条件下更换、重制或修复至该瑕疵带完全复原。3、甲方应在提交母盘的同时向乙方提供授权证明书文件；4、甲方承担本合约所指之授权节目所有的录音录像制作、编配、表演等著作权使用费及其他的前期制作费用。5、甲方须在提交母盘的同时向乙方提供表演者郑阳的相片、签名及该授权节目的相关文案、元素资料等，以供乙方作包装设计之用途。6、甲方保证在本协议书授权期限及地区内不再把该授权节目转让或授权于乙方以外的第三方使用或与第三方合作使用。7、依照音像行业的惯例，乙方在合法出版物的封面上有权合理使用甲方的全部商标，在甲方提交母盘的同时，甲方应将商标样图提供给乙方。如有乙方不得使用的商标，甲方应向乙方作书面通知并附该商标的样图。甲方保证许可乙方使用的商标不侵犯任何第三人的合法权益，若因此而引起的法律纠纷由甲方负责处理。8、乙方保证在授权地区：CD版本上附贴由甲方提供印有“XX传播”的桔黄色防伪标贴方可销售，如甲方发现在授权地区没有附贴甲方提供标贴或者伪造甲方提供的标贴，乙方须赔偿甲方每张产品应收版税的五倍。如被甲方发现两次或多次，甲方将视其为违约，乙方将承担不低于10万美元的违约金赔偿甲方，并追究其违约责任。乙方在追加产品生产量时需提前15个工作日向甲方申请防伪标识，以免耽误产品生产销售。9、乙方在成品碟生产完毕后需向甲方无偿提供各种载体的音像制品样碟及印刷品各30套，此样碟不计入甲乙方产品结算数量中。四、乙方的权利和义务：1、乙方负责将授权节目制作成CD在授权地区内独家出版、复制、发行，并独立负责设计、印刷该授权节目的海报、封面、落款等，但须经由甲方之审查及批准。2、乙方保证按本协议约定的范围、方式和期限行使权利，并保证按本协议约定的版税支付方式向甲方支付版权使用费。3、乙方保证在本协议书授权期限及地区内不把该授权节目转让或授权于第三方使用或与第三方合作使用，如有转让或授权第三方，须经甲方同意。4、乙方如发现在授权地区内有侵犯本节目著作权或邻接权的侵权行为，或者发现该授权节目被第三方非法使用，乙方有权采取包括法律手段在内的一切维权行动。甲方应当全力配合，按照乙方的要求尽力协助乙方提供其所需的资料或证明文件，以使乙方能顺利打赢上述诉讼或官司。甲方既不负担乙方因打官司所须的任何费用，也不收取任何乙方打官司而获得的赔偿。5、如乙方在授权范围内将两张专辑中的曲目授权给第三方，须经甲方同意并向甲方交付该录音制品版税，根据曲目的不同，其版费有所调整，请见补充协议。五、版税的支付标准及结算方式：1、版税的结算方式：a）在合约签订7日内乙方向甲方以人民币方式进行结算首批保底金额的50%，即人民币贰万伍任元整a）b）自该授权节目上市发行之日起15日内向甲方以人民币方式进行结算剩余版费，即人民币贰万伍任元2、在授权期间内,乙方同意每个月向甲方提供有关产品之销货数量的报表，并每三个月按照原版税进行结算。3、甲方帐户：户名：广东XX文化传播有限公司开户行：XX账号XX六、保密条款：甲、乙双方同意及确认不会在本协议授权期间内或以后，向任何人士披露本协议的任何条款及有关资料，并须将此等资料保持机密。七、违约责任：1、若任何一方违反本协议之约定，双方均有权以书面通知的方式解除本协议，守约方有权追究违约方的违约责任，并有权要求违约方赔偿损失，由此而产生的一切费用由违约方承担（包括但不限于律师费、诉讼费）。2、双方均应全面履行本协议项下之义务，如一方违反本协议之约定，均应支付对方违约金人民币陆拾万元（60万元）整，违约金不足以弥补对方因此所遭受的损失时，还应当追加赔偿损失。八、合同终止若出现以下原因,本协议终止:1、本协议项下授权节目无法通过有关政府部门审批。2、甲、乙双方经过友好协商,决定终止该协议。3、一方违反本协议的规定,守约方行使解除权。九、本协议中未尽事宜，由协议双方另行签订补充协议，补充协议与本协议具有同等法律效力，本协议由中英文两个版本组成，最终解释权以中文版本为准。十、本协议适用于中华人民共和国法律、如在履行本协议时发生争议的，甲乙双方应协商解决，如协商不成任何一方有权向甲方所在地方人民法院起诉讼。十一、本协议在甲、乙方双方签字盖章之日生效。十二、本协议一式二份，均具有同等法律效力，双方各执一份。本协议书签订地：中国北京甲方:中唱.艺能（北京）音乐有限公司乙方：代表名称：代表名称：签约代表:签约代表:年月日年月日AgreementPartiestoenterintothisAgreement:PartyA:GuangdongXXCultureCommunicationCo.,Ltd.Address:XXTel:XXFax:XXPartyB:(hereinafterreferredtoasPartyB)Address:Tel:Fax:(SigningFormalities:Atthetimeofsigning,anypartyshallprovideotherpartywithcopiesofthevalidbusinesslicense,certificationoftheidentityoflegalrepresentativeorcopiesofIDcard;incaseofaindividual,thecopiesofhis/herIDcardshallbeprovidedandallabovematerialsshallbesealedorsigned.)PartyAandPartyB,throughfriendlynegotiations,inrespectofthegrantofthe“LoveStoryofWaterandMoon”and“Daisy”Specials(hereinafterreferredtoastheLicensedTitles)performedbyZhengYang,thatareproducedbyPartyAandthatPartyAownsthecopyrightsandneighboringrightsthereof,toPartyBforexclusivepublishing,reproductionanddistributionintheKoreanAreaandinrespectofthedeliveryissuesofthecopyrightsoflyricandsongsthereofintheKoreanArea,haveagreedtoenterintothisAgreementasfollows:Article1NameandContentsoftheLicensedTitlesNameoftheLicensedTitles:“”(temporaryname).ContentsoftheLicensedTitles:seeAppendixI“SongListoftheLicensedTitles”.Article2ScopeofLicenseAreaofLicense:KoreaTermofLicense:twoyears,asofthedatewhenthisAgreementtakesintoforce.MethodofLicense:exclusiveuse.2.4CarrierofLicense:CD.Article3PartyA'sRightsandObligations3.1PartyAguaranteesthatithasthelegalneighboringrightsfortheLicensedTitlesstipulatedinArticle1hereof,includingtherightsofportraitureandneighboringrightsoftheperformer,andthatitslicensetoPartyBofusingtheabovetitlesshallnotconstituteanyinfringementtotheownersofneighboringrightssoinvolvedinrespectoftheabovetitlesintheMainlandChinaTerritoryandPartyAshallguaranteethatthecontentsofabovetitlesshallnotbreachanyprohibitingprovisionsoftherelevantlaws.3.2PartyAshall,asofthedateofsigningthisAgreement,providePartyBwiththemasterintheformofCD-RinrespectoftheLicensedTitlesandshallguaranteethatthequalityofsuchmasterisgood;incaseofanyqualityproblem,PartyAguaranteestoreplace,reproduceormakegoodthetapeswithdefectwithoutconditions.3.3PartyAshall,atthesametimeofdeliveringthemaster,providePartyBwiththedocumentsoflicensecertificationthereof.PartyAshallassumealltheroyaltiesofcopyrightsforthevideoandaudioproduction,editingandcompiling,performingaswellasallandanypreliminaryproductioncostsinrespectoftheLicensedTitles.PartyAshall,atthesametimeofdeliveringthemaster,providePartyBwiththephotoandsignatureoftheperformer,ZhengYangandrelevantdocumentsanddesignelementsinrespectoftheLicensedTitles,soastoenablePartyBforitspackageanddesignpurposes.PartyAguaranteesthatitshallnotassignorlicensesuchLicensedTitlestoanythirdpartyotherthanPartyBorjointlyusesuchLicensedTitleswithanythirdpartywithinthetermofinthisAgreement.3.7Accordingtotheaudioindustry,PartyallthePartyA'spublishingarticleslicenseandareaoflicensestipulatedpracticesprevailinginthevideoandBshallbeentitledtoreasonablyusetrademarksinthecoversofthelegalandPartyAshall,atthesametimeofdeliveringthemaster,providePartyBwiththesamplesofsuchtrademarks.IncaseofanytrademarknotforPartyB'suse,PartyAshallgiveitswrittennoticetoPartyBandattachthesampledrawingofsuchtrademark.PartyAguaranteesthatthetrademarktobelicensedforPartyB'suseshallnotinfringeanylegalrightsandinterestsofanythirdparty;ifany,PartyAshallberesponsibletodealwiththelegaldisputearisingtherefrom.3.8PartyBguaranteesthat,withintheareaoflicense,CDversionsshallbesold,onlyafterattachedwithorange-yellowanti-fakelabelsprintedwith“XXCommunications”suppliedbyPartyA;ifPartyAdiscoversanyCDversionwithoutlabelsuppliedbyPartyAorwiththefakelabelwithintheareaoflicense,PartyBshallcompensatePartyAanamountfivetimestheroyaltiestobepayableforeachaboveCDversion.IfPartyAdiscoverstwoormoretimes,itshallbedeemedbyPartyAasthebreachofthisAgreementandPartyBshallcompensateapenaltyforbreachtoPartyAnotlessthanUSD100,000andbeinvestigatedforitsbreachingliabilities.WhenPartyBincreasestheproductionvolumeoftheproducts,itshallapplytoPartyAfortheanti-fakelabels15daysinadvance,soasnottodelaytheproductionandsellingofsuchproducts.3.9PartyBshall,aftercompletionoftheproductionofthefinishedCDs,providefreeofchargePartyAwith30setsofthesampleCDSforeachvideoandaudioproductsandprintedarticlesineachkindofcarrier,andsuchsampleCDsshallnotbecountedintothesettlementquantityoftheproductsbyPartyAandPartyB.Article4PartyB'sRightsandObligations4.1PartyBshallberesponsibletoproducetheLicensedTitlestoCDforexclusivepublishing,reproductionanddistributionintheareaoflicense,andtoindependentlydesignandprinttheposter,coverandinscriptionsetcinrespectoftheLicensedTitles,subjecttotheexaminationandapprovalbyPartyA.4.2PartyBguaranteestoexerciseitsrightsinaccordancewiththescope,methodandtermstipulatedinthisAgreementandguaranteestopaytoPartyAtheroyaltiesinaccordancewiththemethodofpaymentstipulatedinthisAgreement.4.3PartyBguaranteesnottoassignorlicensesuchLicensedProgramstoanythirdpartyforitsuseortojointlyusesuchLicensedTitleswithanythirdpartywithintheteinthisAgreemethethirdpartthecopyrightswithinthearTitlestobermoflicenseandareaoflicensestipulatent;incaseofanyassignmentorlicensetoy,itshallobtaintheconsentofPartyA.4.4IfPartyBdiscoversanyinfringementtoorneighboringrightsoftheLicensedTitleseaoflicense,oritdiscoverssuchLicensedillegallyusedbyanythirdparty,PartyBshallbeentitledtotakeallactionstoprotectitsrights,includingthelegalmeans.PartyAshallgivefullassistanceandasrequiredbyPartyBtryitsbesteffortstoassistPartyBinprovidingthenecessaryinformationorcertificationdocuments,soastoenablePartyBtowinsmoothlytheabovelitigationorcase.PartyAshallnotassumeanycostsnecessaryforPartyB'slitigation,norcollectanycompensationsobtainedbyPartyBfromsuchlitigation.4.5IfPartyBlicensestoanythirdpartythemusiccontainedinthetwospecialswithinthescopeoflicense,itshallobtaintheconsentofPartyAandpaytoPartyAtheroyaltiesinrespectofsuchvideoandaudioproductsandbasedonthedifferentmusic,theroyaltiesshallbeadjusted,asdetainedinthesupplementalagreement.Article5StandardofPaymentandMethodofSettlementinrespectofRoyaltiesMethodofSettlementforRoyaltiesa)Within7daysaftersigningofthisAgreement,PartyBshallpaytoPartyA50%oftheinitialbottomamountinRMB,namely,RMBtwentyfivethousandonly.b)Within15daysafterbeingmarketedfordistributioninrespectofsuchLicensedTitles,PartyBshallsettlewithPartyAtheremainingroyalties,namely,RMBtwentyfivethousandonly.Withinthetermoflicense,PartyBagreestoprovidePartyAwiththestatementsforsellingquantityofrelevantproductsineachmonthandmakethesettlementinaccordancewiththeoriginalroyaltiesforeverythreemonths.PartyA'sAccount:NameofAccount:GuangdongXXCultureCommunicationCo.,Ltd.BankwiththeAccountOpened:BaiyunSub-branch,GuangzhouCommercialBankAccountNumber:305-8003018-83Article6ConfidentialityPartyAandPartyBagreeandacknowledgethatneitherpartyshalldiscloseanyprovisionshereofandrelevantinformationtoanypersonwithinthetermoflicenseandthereafterandshallkeepsuchinformationinconfidence.Article7LiabilitiesforBreachesIfanypartybreachestheprovisionsofthisAgreement,bothpartieshavetherightstocancelthisAgreementbygivingawrittennoticeandthenon-breachingpartyshallbeentitledtoinvestigateagainstthebreachingpartytheliabilitiesforbreachesandtorequirethebreachingpartytomakecompensationandallcostsincurredtherefromshallbeassumedbythebreachingparty(includingbutnotlimitedtothelegalfeesandlitigationcosts).7.2BothpartiesshallfullyperformtheirobligationsunderthisAgreementandifanypartybreachestheprovisionsofthisAgreement,itshallpaytotheotherpartyapenaltyforbreachesinthesumofRMBsixhundredthousand(RMB600,000)only;incasesuchpenaltyforbreachesisinsufficienttomakeupforthelossessufferedbytheotherparty,thebreachingpartyshallincreaseitscompensationforthelosses.Article8TerminationofthisAgreementIncaseofanyofthefollowingreasons,thisAgreementshallterminate:TheLicensedTitlesunderthisAgreementareunabletopasstheapprovalbyrelevantcompetentgovernmentalauthorities.PartyAandPartyBdeterminetoterminatethisAgreementafterfriendlynegotiations.AnypartybreachestheprovisionsofthisAgreementandnon-breachingpartyexercisestherightsofcancellation.Article9InrespectofanyunsolvedissuesunderthisAgreement,bothpartiesheretoshallotherwiseenterintoasupplementalagreement,whichisequallyauthenticwiththisAgreement.ThisAgreementismadeinbothEnglishandChineseversions,andthefinalinterpretationrightsshallbesubjecttotheChineseversion.Article10ThisAgreementshallbegovernedbythelawsofthePeople'sRepublicofChina;incaseofanydisputeduringthecourseofitsperformance,PartyAandPartyBshallsettlesuchdisputethroughnegotiations;iffailed,anypartyshallhavetherighttobringaboutalawsuitinthepeople'scourtwherePartyAislocated.Articleof11signingThisandAgreementshallbecomeeffectiveonthedatesealingbybothparties.Article12ThisAgreementismadeinduplicate,holdingthesamelegaleffects,oneforeachparty.PlaceofsigningthisAgreement:Beijing,ChinaPartyA:ChinaRecordsArtPower(Beijing)PartyBMusicCo.,Ltd.NameofRepresentative:NameofRepresentative:SigningRepresentative:SigningRepresentative:DateDate
