WEBSITEDEVELOPMENTAGREEMENTThisWebSiteDevelopmentAgreementismadebyandbetween_______________________("WebDesigner"),withitsprincipalplaceofbusinessat______________________________and_______________________("Customer")withitsprincipalplaceofbusinessat_________________________________________________.WHEREAS,CustomerdesirestoretainWebDesignertodeveloptheWorldWideWebsite(the"WebSite")forCustomerasdescribedintheWorkPlan(asdefinedinSectionIbelow);WHEREAS,WebDesignerdesirestoundertakethedevelopmentoftheWebSiteandagreestodosounderthetermsandconditionssetforthinthisAgreement;NOW,THEREFORE,forgoodandvaluableconsideration,thepartiesagreeasfollows:Section1.WorkPlan.WebDesignerhaspreparedaWorkPlanfortheWebSite,whichincludesthefollowing:(a)thespecificationsfortheWebSitewhichcomplywiththerequirementsoftheCustomer'sRequestForProposal;(b)alistingofallitemstobedeliveredtoCustomer(the"Deliverables");(c)aschedulecontainingadeliverydateforeachDeliverable;and(d)aschedulesettingforththeamountandtimingofWebDesigner'scompensation,includingprovisionsforpaymentofWebDesigner'sreasonabletravelandotherout-of‑pocketexpenses.WebDesignershalldelivertheWorkPlantoCustomerwiththisAgreementCustomershallhavefive(5)daystoreviewandcommentupontheWorkPlan.UponapprovaloftheWorkPlanbyCustomer,itwillbeattachedasExhibit"A"andwillbecomeapartofthisAgreement.WebDesignershallimmediatelycommencedevelopmentoftheWebSiteinconformitytotheWorkPlan.Section2.Payment.ThetotalcontractpricefortheWebSiteshallbeassetforthintheWorkPlanandshallbepayableininstallationsaccordingtothepaymentschedulesetforththerein.EachinstallmentshallbepayableuponcompletionofeachprojectphasebyWebDesignerandacceptancebyCustomer.Section3.ChangesinProjectScope.IfatanytimefollowingacceptanceoftheWorkPlan,CustomershoulddesiretochangethespecificationsorotherelementsoftheWorkPlan,CustomershallsubmittoWebDesignerawrittenproposalspecifyingsuchchanges.WebDesignershallevaluateeachsuchproposalandshallsubmittoCustomerawrittenresponsewithinfive(5)workingdaysfollowingreceiptthereof.WebDesigner'sresponseshallincludeastatementoftheavailabilityofpersonnelandresources,aswellastheeffecttheproposedchangeswillhaveontheprice,deliverydatesorwarrantyprovisionsofthisAgreement.AnychangestotheWorkPlanshallbeevidencedbya"WorkPlanAmendment."TheWorkPlanAmendmentshallbesignedbyauthorizedrepresentativesofWebDesignerandCustomer,andshallbedeemedapartofthisAgreement.IfWebDesignerdoesnotapprovetheWorkPlanAmendment,heshallnotbeobligatedtoperformanyadditionalserviceshereunder.Section4.Delays.WebDesignerrecognizesandagreesthatfailuretodelivertheWebSiteaccordingtotheWorkPlan'sdeliveryschedulewillresultinexpenseanddamagetoCustomer.WebDesignershallinformCustomerimmediatelyofanyanticipateddelaysinthedeliveryscheduleandoftheactionsbeingtakentoassurecompletionoftheWebSitewithinsuchschedule.Ifanydeliverydateismissed,Customermay,atitssoleoption,declareadefaultunderthisAgreementandmaypursueallremediessetforthinSection14;provided,however,thatCustomershallprovideWebDesignerwiththirty(30)daystocurethedelaypriortodeclaringadefault.CustomermaynotdeclareadefaulthereunderifsuchdelayiscausedbyanyactionorfailuretoactofCustomer.TheWebDesignercannotbeheldindefaultofthisAgreementincaseofdelaysonthepartoftheCustomer.Insuchcase,theWebDesignerwillprovidetheCustomerwithwrittennoticethatsuchadelayhasoccurred.WorkontheWebSiteshallnotresumeuntilthereasonforthedelayhasbeenresolvedbytheCustomerandnoticeofitsresolutionhasbeenprovidedtotheWebDesigner.Section5.AcceptanceTesting.UponcompletionoftheWebSiteandthedeliveryofallitemsrequiredtobeprovidedundertheWorkPlan,Customershallhavethirty(30)daysfromsuchcompletiontoinspect,testandevaluatetheWebSitetodeterminewhetheritsatisfiestheacceptancecriteriasetforthintheWorkPlan.IftheWebSitedoesnotsatisfytheacceptancecriteria,CustomershallgiveWebDesignerwrittennoticestatingwhytheWebSiteisunacceptable.WebDesignershallhaveten(10)daysfromthereceiptofsuchnoticetocorrectthedeficiencies.Customershallthenhaveten(10)daystoinspect,testandreevaluatetheWebSite.IftheWebSitestilldoesnotsatisfytheacceptancecriteria,Customershallhavetheoptionofeither:(1)repeatingtheproceduressetforthabove,or(2)terminatingthisAgreementpursuanttoSection13.IfandwhentheacceptancetestsestablishthattheWebSitecomplieswiththeacceptancecriteria,CustomershallnotifyWebDesignerthatitacceptstheWebSite.ThedateofsuchnotificationshallbethedateonwhichCustomershallbeobligatedtomakethefinalpaymentspecifiedintheschedulesetforthintheWorkPlan.Section6.Authority.WebDesignerandCustomereachherebyrepresentandwarrantthattheexecution,deliveryandperformanceofthisAgreementhasbeendulyauthorizedandthattheAgreementisalegal,validandbindingagreementofWebDesignerandCustomer,enforceableinaccordancewithitsterms.WebDesignerandCustomerfurtherrepresentthatthisAgreementdoesnotbreachorviolateanyagreementtowhichitisapartyortowhichitisbound.Section7.RightstoWorkProduct.WebDesignerherebyacknowledgesthattheDeliverablesandanyotherdocumentation,materialsorintellectualpropertyhereunder(collectively,the"WorkProduct")areworkswhichhavebeenspeciallycommissionedbyCustomerandare"workmadeforhire"forCustomerandCustomershallownallright,title,andinteresttherein.CustomershallbeconsideredtheauthoroftheWorkProductforpurposesofcopyrightandshallownalltherightsinandtothecopyrightoftheWorkProductand,asbetweenCustomerandWebDesigner,onlyCustomershallhavetherighttoobtainacopyrightregistrationonthesamewhichCustomermaydoinitsname,itstradenameorthenameofitsnominee(s).Accordingly,amongotherthings,CustomeristheauthorandowneroftheWorkProductandshallhavethesoleandexclusiverightstodoandauthorizeanyandalloftheactssetforthinSection106oftheCopyrightActwithrespecttotheWorkProductandanyderivativesthereof,andtosecureanyandallrenewalsandextensionsofsuchcopyrights.TotheextentWebDesignerdoesnotownsuchWorkProductasaworkmadeforhire,WebDesignerherebyassigns,transfers,releasesandconveystoCustomerallrights,titleandinteresttosuchWorkProduct,includingbutnotlimitedtoallotherpatentrights,copyrights,andtradesecretrights.Section8.Training.WebDesignershallprovidenotrainingintheuseoftheWebSite.Limitedsupportviaphoneore-mailwillbeavailabletoCustomerfor30daysfollowingacceptanceoftheWebSite,assetforthinSection5."Limitedsupport"shallincludeinstructionstoaccess,alter,andmaintaintheWebSiteusingsoftwareand/ortechnologypurchasedbyCustomer.WebDesignerisnotresponsibletoforprovidingsoftwareand/ortechnologytoCustomer.Section9.RepresentationsandWarranties.(a)WarrantyofWebSitePerformance:WebDesignerrepresentsandwarrantsthat,forthirty(30)daysfollowingacceptanceoftheWebSitebyCustomer,theWebSitewillbefreefromprogrammingerrorsanddefectsinworkmanshipandmaterials,andwillconformtothespecificationsintheWorkPlan.Ifprogrammingerrorsorotherdefectsarediscoveredduringthewarrantyperiod,WebDesignershallpromptlyremedythemathisexpense.(b)WarrantyofTitle:WebDesignerrepresentsandwarrantsthatheownsandhasthecompleterighttolicense,conveytitlewithoutanyencumbrancestotheWebSiteandDeliverablescoveredbythisAgreement.WebDesignerfurtherrepresentsandwarrantsthathehasobtainedallrequiredregistrations,permissionsandconsentsfromallthirdpartiesnecessarytodelivertheWebSite,BackgroundTechnologyandDeliverables.WebDesignershallnotgrantanyrightsorlicensestoanyintellectualpropertyortechnologythatwouldconflictwithhisobligationsorWebDesigner'srightsunderthisAgreement.(c)WarrantyAgainstDisablement:WebDesignerexpresslyrepresentsandwarrantsthatnoportionoftheWebSitecontainsorwillcontainanyprotectionfeaturedesignedtopreventitsuse.Thisincludes,withoutlimitation,anycomputervirus,worm,softwarelock,dropdeaddevice,Trojan‑horseroutine,trapdoor,timebomboranyothercodesorinstructionsthatmaybeusedtoaccess,modify,delete,damageordisabletheWebSiteorcomputersystem.(d)WarrantyofCompatibility:WebDesignerrepresentsandwarrantsthattheWebSiteshallbecompatiblewithCustomer'shardwareandsoftwareassetforthinthespecificationsintheWorkPlan.(e)WarrantyAgainstIntellectualPropertyInfringement:WebDesignerrepresentsandwarrantsthattheWebSiteandDeliverablesshallnotinfringeonthetrademark,copyright,patent,tradesecretsoranyotherrightsofanythirdparty.TotheextenttheWebSiteortheDeliverablesinfringeupontherightsofanythirdparty,WebDesignershallobtainalicenseorconsentfromsuchthirdpartypermittingtheuseoftheWebSiteandDeliverables.Section10.Indemnity.(a)IndemnificationAgainstLiabilityforInfringement:WebDesignershallindemnifyCustomerandanyofitsofficers,directors,employeesoragentsagainstallclaims,liabilities,costs,damages,feesandexpenses(includingreasonableattorneyfees)arisingfromanybreachorallegedbreachofwarrantyunderthisAgreementoranyclaimorsuitalleginginfringementbytheWebSite,BackgroundTechnologyorDeliverablesofanypatent,copyright,tradesecretortrademarkrightsoranyotherrightsofanythirdparty.CustomershallpromptlynotifyWebDesignerinwritingofanythirdpartyclaimorsuitandWebDesignershallhavesolecontrolofthedefenseofanysuchactionandallnegotiationsforitssettlementorcompromise.Customermayparticipateatitsownexpenseinthedefenseofanysuchactionatitssolediscretion.(b)IndemnitybyCustomer:CustomershallindemnifyWebDesignerandanyofhiemployeesoragentsagainstallclaims,liabilities,costs,damages,feesandexpenses(includingreasonableattorney'sfees)arisingfromanyactionbaseduponanycontentontheWebSitethatissolelyprovidedbyCustomer.Section11.Confidentiality.(a)ConfidentialInformation:ForpurposesofthisAgreement,theterm"ConfidentialInformation"meansallinformationthatisnotgenerallyknownbythepublicandthat:(i)isobtainedbyWebDesignerfromCustomer,orthatislearned,discovered,developed,conceived,originated,orpreparedbyWebDesignerduringtheprocessofperformingthisAgreement,and(ii)relatesdirectlytothebusinessorassetsofCustomer.Theterm"ConfidentialInformation"shallinclude,butshallnotbelimitedto:inventions,discoveries,tradesecrets,andknow‑how;computersoftwarecode,designs,routines,algorithms,andstructures;productinformation;researchanddevelopmentinformation;listsofclientsandotherinformationrelatingthereto;financialdataandinformation;businessplansandprocesses;andanyotherinformationofCustomerthatCustomerinformsWebDesigner,orthatWebDesignershouldknowbyvirtueofitsposition,istobekeptconfidential.(b)ObligationofConfidentiality:DuringthetermofthisAgreement,andatalltimesthereafter,WebDesigneragreesthathewillnotdisclosetoothers,useforhisownbenefitorforthebenefitofanyoneotherthanCustomer,orotherwiseappropriateorcopy,anyConfidentialInformation,whetherornotdevelopedbyWebDesigner,exceptasrequiredintheperformanceofitsobligationstoCustomerhereunder.TheobligationsofWebDesignerunderthisparagraphshallnotapplytoanyinformationthatbecomespublicknowledgethroughnofaultofWebDesigner.Section12.TermofAgreement.ThisAgreementcommencesonthedateitisexecutedandshallcontinueuntilfullperformancebybothparties,oruntilearlierterminatedbyonepartyunderthetermsofthisAgreement.Section13.TerminationofAgreement.ThisAgreementmaybeterminatedbyCustomeratitssoleelectionuponthirty(30)dayspriorwrittennoticetoWebDesigner.Uponsuchtermination,allamountsowedtoWebDesignerunderthisAgreementforcompletedworkinaccordancewiththeWorkPlanshallbecomedueandpayable.Atsuchtime,WebDesignershalldeliverallcompletedworktoCustomer.IfthisAgreementisterminatedbyCustomerbecauseofWebDesigner'sdefaultofhisobligationshereunder,Customermay,afterthirty(30)dayswrittennoticetoWebDesignerandareasonableopportunitytocure:(a)requireWebDesignertoimmediatelydelivertoCustomerallWorkProductdevelopedbyWebDesignerunderthisAgreementandpayWebDesignerallamountsowedfortheworkperformedunderthisAgreementandacceptedbyCustomer,whereuponCustomershallhavecompleteright,titleandinterestinsuchworkandallrights,permissionsandlicensesgrantedtoCustomerbyWebDesignerunderthisAgreementshallcontinue,inperpetuityasroyalty‑freeandfullypaidrights;or(b)pursuealllegalandequitableremediesagainstWebDesigner.IfWebDesignerterminatesthisAgreementbecauseofCustomer'sdefault,afterathirty(30)daywrittennoticetoCustomerandanopportunitytocure,WebDesignermayrequire:(a)CustomertopayallamountsthenduetoWebDesignerunderthisAgreementforanyworkwhichhasbeencompletedandacceptedbyCustomer,whereuponCustomershallhavecompleteright,titleandinterestinsuchworkandallrightsandlicensesgrantedtoCustomerbyWebDesignerunderthisAgreementshallsurviveasroyalty​freeandfullypaid‑up;and(b)pursuealllegalandequitableremediesagainstCustomer.Section14.Assignment.NeitherpartymayassignorsubcontractitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty,whichshallnotbeunreasonablywithheld.Section15.LocationofWebSite.WebDesignershallprovideallHTMLfilesandcodetoCustomeroritsassigns.WebDesignershallusehisbestgoodfaitheffortstoassistCustomerintheinstallationoftheWebSitetoitsfinallocationinatimelyandefficientmanner.WebDesignershallalsousehisbestgoodfaithefforttoassisttheCustomerinrelocationoftheWebSiteifsuchrelocationshouldoccurwithintheWarrantyperiodasdefinedinSection9,paragraph(a).Section16.GeneralProvisions.(a)CompleteAgreement:ThisAgreementtogetherwithallexhibits,appendicesorotherattachments,isthesoleandentireAgreementbetweenthepartiesrelatingtothesubjectmatterhereof.ThisAgreementsupersedesallpriorunderstandings,agreementsanddocumentationrelatingtosuchsubjectmatter.IntheeventofaconflictbetweentheprovisionsofthemainbodyofthisAgreementandanyattachedexhibits,appendicesorothermaterials,thisAgreementshalltakeprecedence.(b)ModificationtoAgreement:ModificationsandamendmentstothisAgreementshallbeenforceableonlyiftheyareinwritingandaresignedbyauthorizedrepresentativesofbothparties.(c)Waive:NotermorprovisionofthisAgreementshallbedeemedwaivedandnobreachexcusedunlesssuchwaiverorconsentisinwritingandsignedbythepartyclaimedtohavewaivedorconsented.(d)NoAgency:Nothingcontainedhereinwillbeconstruedascreatinganyagency,partnership,jointventureorotherformofjointenterprisebetweentheparties.(e)IndependentContractor:ThepartiesacknowledgethatWebDesignershallperformhisobligationshereunderasanindependentcontractor.ThemannerandmethodofperformingsuchobligationswillbeunderWebDesigner'ssolecontrolanddiscretion.WebDesigner'ssoleinterestisintheresultofsuchservices.ItisalsoexpresslyunderstoodthatWebDesigner'semployeesandagents,ifany,arenotCustomer'semployeesoragents,andhavenoauthoritytobindCustomerbycontractorotherwise.CustomershallmakenodeductionfromanypaymentsdueWebDesignerhereunderforfederalandstatetaxpurposes.IntheeventthatCustomerisfoundliableforSocialSecurity,withholding,insurance,orothersuchtaxes,CustomershallhavetherighttoimmediatelyrecoversuchamountfromWebDesigner.(f)Notice:AllnoticesandothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonally,orfive(5)daysafterbeingdepositedintheUnitedStatesmail,postageprepaidandaddressedasfollows,ortosuchotheraddressaseachpartymaydesignateinwriting:WebDesigner:_______________________________________________________________Attn:________________Customer:_______________________________________________________________Attn:________________(g)ReasonableCosts:IntheeventofanycontroversyconcerningorrelatedtothisAgreementortheperformanceofthisagreement,theprevailingpartyshallbeentitledtorecoveritsreasonableexpenses(includingreasonableattorneys'fees)incurredinresolvingsuchcontroversy,inadditiontoanyotherreliefthatmaybeavailable.(h)ApplicableLaw:ThisAgreementwillbegovernedbythelawsoftheStateofTexas.AnylitigationorarbitrationregardingthisAgreementshallbebroughtexclusivelyinAustin,Texas.(i)Severability:IfanyprovisionofthisAgreementisheldinvalid,voidorunenforceableunderanyapplicablestatuteorruleoflaw,itshalltothatextentbedeemedomitted,andthebalanceofthisAgreementshallbeenforceableinaccordancewithitsterms.(j)TimeoftheEssence.Timeisoftheessenceintheperformanceofthecovenantsofthepartieshereunder,includingwithoutlimitationdeliverycovenantstobeperformedbytheWebDesigner.(k)Bankruptcy.Ifeitherpartyhereto(a)shallbeadjudicatedabankruptoranorderappointingareceiverofitorofthemajorpartofitspropertyshallbemade,oranordershallbemadeapprovingapetitionoranswerseekingitsreorganizationunderanyapplicablebankruptcylaw,andinanysuchcaseshallnotbestayedwithin10days,or(b)shallinstituteproceedingsforavoluntarybankruptcyorapplyfororconsenttotheappointmentofareceiverofitselforitsproperty,orshallmakeanassignmentforthebenefitofitscreditors,orshalladmitinwritingitsinabilitytopayitsdebtsgenerallyastheybecomedue,forthepurposeofseekingareorganizationunderthefederalbankruptcylawsorotherwise,theninanyoneormoreofsucheventslistedin(a)or(b)above,theotherpartymayterminatethisagreementbygivingatleast10dayspriornotice.Eachpartyrepresentsandwarrantsthatonthisdatetheyaredulyauthorizedtobindtheirrespectiveprincipalsbytheirsignaturesbelow.WEBDESIGNER:CUSTOMER:__________________________________________________________________________By:__________________________________By:__________________________________Its:__________________________________Its:__________________________________EXHIBIT"A"DESCRIPTIONOFWORKPLANWORKPLANTobedetermineduponpresentationofprojectbyCustomer.PAYMENTPLANOncetheWorkPlanhasbeenestablishedandareasonablequoteforservicesrenderedhasbeenpresentedtotheCustomer,onehalfofthequotedamountshallbeduetotheWebDesignerwhentheprojectdescribedintheWorkPlanistobegin.ThesecondhalfoftheamountdueshallbeduewhentheCustomerhasacceptedtheWebSiteasdefinedinSection5.AnychangestothisWorkPlanorPaymentPlanshallconformtothetermssetforthinSection3.
