(2) in the rain at the time of construction, check all the rain 1.3. 商户收款业务受理付款的银行卡仅限于符合中国银联股份有限公司(以下简称“中国银联”或“银联”)规范的境内银行卡，使用个人结算账户作为收款入账账户时不支持信用卡。 1.4. 商户收款业务支持T+0入账模式选择，T+0指收款当日刷卡消费款项即可划入乙方终端结算账户;乙方应按申请表第二条与甲方约定的费率缴纳商户收款手续费，乙方同意，商户收款手续费从甲方应清算给乙方的收款金额中直接扣收。 1.5. 商户收款业务不支持联机退货、消费撤销以及预授权功能。 1.6. 商户坚持终端不出签购单不发货给刷卡客户的原则。 1.7. 商户若对入账明细有异议发现短款，请提供签购单向我行申请调账。 1.8 银行发现对商户入账款项大于实际款项，可立即从商户账户扣划该笔款项，如果商户账户余额不足，可冻 结商户后续入账资金，直至银行追款成功。 2. 商户付款功能 2.1. 定义:是指乙方作为付款人，通过电话终端自主发起的对外汇款业务。 2.2. 汇出账户仅限于与电话终端绑定的人民币活期结算账户，即申请表第4条约定的“终端结算账户”。 2.3. 付款入账账户可以为我国境内的个人结算账户、单位结算账户以及信用卡账户。 2.4. 乙方须提前对汇入账户进行指定及信息设置，填写申请表相关内容。乙方仅能向申请表第5条所列的指定付款入账账户进行汇款。 2.5. 乙方在进行商户付款时，应根据付款入账账户选择不同汇路: 2.5.1. 汇入账户为深发银行账户:乙方应选择“行内汇款”。行内汇款通过甲方系统进行汇划的，遵循甲方系统的汇款处理时间、处理规则等。 2.5.2. 汇入账户为其他银行账户:乙方应根据需要选择“普通跨行汇款”或“快速跨行汇款”。 (1). “普通跨行汇款”通过中国人民银行小额支付系统付款进行电子汇划。 2). “快速跨行汇款”通过中国人民银行大额支付系统进行电子汇划。 ( (3). 跨行汇款需遵循中国人民银行大小额支付系统的汇款处理时间和处理规则。 3. 余额查询功能，是指通过电话终端发起的境内银联借记卡的余额查询功能，余额查询功能暂不收取费用。 二、 收银宝业务协议条款 1. 定义 1.1. “银联卡”是指由中国银联各成员机构按照中国银联的业务、技术标准发行，卡面带有“银联”标识，发卡方标识代码(BIN号)经中国银联分配或确认的银行卡。收银宝业务仅限于受理境内银联卡刷卡消费。 1.2. “收银宝电话终端”是指甲方根据乙方申请安装在乙方处的，能够接受银联卡信息，具有通讯功能，并接受乙方的指令而完成相应金融交易信息和有关信息交换的?型固定电话支付终端，简称“电话终端”或“固定电话终端”。 1.3. “持卡人”是指银联卡的合法持有人，即与银联卡对应的银行账户相联系的客户。 1.4. “收单机构”是指与商户签有收银宝业务协议，并向该特约商户承诺付款的金融机构以及有资质的专业化收单机构。在本协议中，收单机构即甲方。 1.5. “发卡机构”是指加入银联网络，发行银联卡的中国银联成员机构。发卡机构负责接收交易信息并进行验证和授权处理。 1.6. “签购单”是指商户用以向持卡人完成一次销售活动而使用的收单机构规定格式的单据。 1.7. “调单”是指因持卡人或发卡机构对已被清算的交易有疑问，在本协议规定的时限内通过甲方向乙方提出调阅交易单据的过程。甲方也可根据商户管理工作的需要，向乙方调取交易签购单据和相关消费凭证。 1.8. “退单”是指发卡机构对交易有疑问而提出的拒绝付款。 1.9. “退货”是指乙方因商品退回或服务取消，将已扣款项退还持卡人原扣款账户的过程，按退货金额划分，包括全额和部分金额退货;按退货方式划分，包括联机退货和手工退货。 1.10. “联机退货”是指在进行退货交易时使用原始交易的银联卡，并使用原交易刷卡终端上的退货功能进行的退货交易处理。收银宝业务不支持联机退货。 1.11. “手工退货”是指未开通联机退货功能，或未能通过刷卡终端完成联机退货的商户发生退货交易时，甲方ith. 3, fill embankment before base and completed the inspection and acceptance of works. 4, before the requirement level elevation sign layout according to the drawing, every nail on the level of a certain distance, elevation of forklift parts according to the design requirements set. 5, according to the site conditions determine the routes of earth-moving machinery, vehicles, and prior checks, reinforce and widen if necessary and other preparatory work. (2) in the rain at the time of construction, check all the rain 根据乙方提交的退货申请，通过手工方式将退货资金划至持卡人原交易银联卡账户的过程。 贷记调整”是指收单机构对确认的长款主动向发卡机构提出退款的请求。 1.12. “ 1.13. “分单”是指同一张银行卡在同一家商户同一终端，购买同一商品(或服务)为逃避发卡行授权管理等限制性条件而发生连续两次(含)以上交易的支付行为。 1.14. “虚假申请”是指乙方以虚假资料或冒用其它商户的资料向甲方申请为特约商户。 1.15. “侧录”是指乙方默许、纵容或与不法分子共谋在电话终端上装载侧录仪器，盗录持卡人磁条信息，出卖给伪卡制作集团或自行制作伪卡。 1.16. “泄露账户及交易信息”是指乙方违反保密条款和银联卡账户信息与交易数据的规定，违规使用、存储、传输银联卡账户信息与交易数据，导致银联卡账户信息与交易数据泄露或发生银联卡账户信息与交易数据被篡改、破坏等情形。 1.17. “套现”是指乙方与持卡人或其它第三方勾结，或乙方自身使用银联卡以虚拟交易套取现金。 1.18. “洗单”是指乙方将其它未签约商户的交易在安装在乙方的电话终端上刷卡或压卡，假冒乙方交易与甲方结算。 1.19. “恶意倒闭”是指乙方接受银联卡支付的预付款后故意破产，使甲方承担退单损失。 1.20. “虚假交易”是指乙方在持卡人不知情的情况下，利用持卡人账户信息编造虚假交易或在持卡人消费时重复刷卡，并冒用持卡人签名进行虚假交易。 1.21. “违规移机”是指乙方未经甲方许可，擅自将固定电话终端从甲方登记的原始装机地址转移至另一地址，包括但不限于以下情形:移机后地址与原始装机地址的省市、区县、乡镇等行政区域，或与原始装机地址的道路名称、门牌号码、楼层、房间号、摊位号等不一致;同一商户在多家分店之间自行调换终端机具;使用固定终端机具进行上门或流动收款等业务。 1.22. 本条未作明确规定的，商户收款业务中的相关定义以中国银联及甲方商户收单相关业务规则内容为准。 2. 权利及义务 2.1. 甲方的权利及义务 2.1.1. 甲方有权审核乙方的资质及申请资料的真实性，根据中国银联及甲方的业务规则审批乙方开通收银宝业务的申请。 2.1.2. 乙方的工商注册名称、主营业务、经营范围、法定代表人或主要负责人、银联卡交易资金结算账户信息等重要信息发生变更时，甲方有权重新审核乙方银联卡受理资质。 2.1.3. 在商户收款功能中，甲方为乙方进行资金结算，甲方按照中国银联向甲方提交的清算文件，将每日刷卡消费交易资金在扣除本协议中规定的交易手续费及其它应扣款项后，按申请表第2条的约定时间划入乙方指定结算账户。 2.1.4. 在商户收款功能中，甲方对发生的交易差错或需调整的账务，自乙方提出并经查实后，负责按照中国银联差错处理的有关规定及时为乙方办理账务调整。对发卡行退单，应及时通知乙方，并在乙方提供有效单据后，向发卡行再请款。对有疑义的交易，有权向乙方调单。 2.1.5. 甲方负责为乙方提供受理银联卡的电话终端设备、安装及维护，甲方对安放在乙方处的电话终端进行定期维护、保养以及终端故障维修，但乙方使用不当或故意破坏电话终端的不属于甲方维护范围。 2.1.6. 甲方负责为乙方提供相关业务咨询等服务，并负责对乙方受理银联卡业务的收银员及其他经办人员进行业务培训，培训内容包括:受理银联卡业务流程，交易凭证保管、查阅及使用方法，相关账务处理流程、差错处理方法和要求，银行卡风险防范等，并向乙方提供业务受理联系电话。 2.1.7. 甲方有权对乙方进行定期回访和现场检查，对乙方进行非现场交易监控，监督乙方一柜一机、一户一行政策的执行。 2.1.8. 在正常业务范围内，甲方有权使用乙方的风险信息。 2.1.9. 对于乙方出现的不符合本协议、中国银联POS受理规范及其他有关规定的违规操作，甲方有权要求乙方予以整改。 2.1.10. 出现下列情况时，甲方有权采取暂缓乙方全部或部分交易资金结算、中止乙方银联卡业务受理等措施，直至甲方认为乙方的相关交易对除乙方外的任何单位或个人无造成损失的可能。 (1). 甲方提出调单时，乙方拒绝配合或不能在规定或甲方要求的时限内提交有效原始交易单据; (2). 乙方采用交单结算时，不能提供签购单据或提供的单据为无效单据; ith. 3, fill embankment before base and completed the inspection and acceptance of works. 4, before the requirement level elevation sign layout according to the drawing, every nail on the level of a certain distance, elevation of forklift parts according to the design requirements set. 5, according to the site conditions determine the routes of earth-moving machinery, vehicles, and prior checks, reinforce and widen if necessary and other preparatory work. (2) in the rain at the time of construction, check all the rain (3). 甲方发现已经支付给乙方的清算资金大于交易资金，但乙方账户资金余额不足甲方扣划; (4). 甲方有合理理由认定原始交易存在疑似受理伪卡、盗录信息、套现、欺诈行为等可疑之处; (5). 甲方有合理根据怀疑乙方违反本协议。 2.1.11. 在乙方接受欺诈调查时，甲方可冻结或暂时持有乙方交易款项。业务日常运营中，甲方发现对乙方入账款项大于实际款项，可立即从乙方账户扣划该笔款项，如果乙方账户余额不足，甲方可冻结商户后续入账资金，直至甲方追款成功。甲方发起调单后乙方应于三个工作日内回复，否则甲方视为乙方无法提供证明，有权主动扣回相应款项。乙方因调账产生的差错费用，甲方有权主动从乙方账上冲回。 2.1.12. 发生以下情况时，甲方有权从乙方应收的银联卡交易结算资金中抵扣乙方在本协议下应支付的款项而无需另行通知乙方或获得乙方同意。如乙方交易结算资金不足抵扣时，乙方应及时补足差额资金。对因乙方原因造成的甲方垫款或资金损失的，甲方有权向乙方追索: (1). 发卡机构退单; (2). 发生手工退货或贷记调整; (3). 由于乙方计算错误或其它原因导致甲方向乙方多支付的款项; (4). 乙方违反本协议，导致甲方按照中国银联规则或生效判决对第三方承担赔偿责任的; (5). 由于乙方受理伪卡或其他违规操作导致甲方资金损失和/或受到监管机构、行业组织(包括但不限于中国银联)处罚而须缴纳罚金的; (6). 其他按照银联规则导致甲方垫款不能及时收回的情形; (7). 其它应由乙方支付的款项。 2.1.13. 本协议终止后24个月内，甲方对本协议终止前的交易有查询及追索权，法律另有规定的除外。 2.1.14. 在乙方终止本协议所涉商户收款功能时，甲方有权处理乙方由此产生的银联卡未偿债务。 2.1.15. 乙方与持卡人在出售商品的质量、数量，或提供的服务上有任何争议、投诉或其它纠纷，甲方可从中协调，但不承担任何义务或责任。 2.1.16. 对于因操作不当等乙方原因造成的短款，甲方可协助乙方进行追款，但甲方并无义务向乙方保证可追回相关款项。 2.1.17. 在商户付款功能中，如因电话终端的电话通讯运营商等第三方网络故障等原因造成汇款未能到账或发生损 失等问题，甲方不承担相关责任。 2.1.18. 甲方有权根据监管部门要求或市场变化等情况对本业务进行功能拓展和升级(如拓展受理境外卡等)或者业务退出，有权对本业务各项功能的交易规则(如交易时间、交易限额等)、收费标准等进行调整;甲方以公告方式告知业务调整相关事宜，恕不另行通知乙方;乙方签署本协议即代表认可甲方的通知方式，乙方应随时关注甲方公告以确保及时获知相关信息。如甲方进行业务退出公告，本协依照公告所述时间终止。 2.1.19. 在商户付款功能中，甲方按照本协议的约定，在接收到乙方付款请求时，若为“行内汇款”，甲方将乙方所付款项付至收款人账户即为完成付款义务;若为“跨行汇款”，甲方将乙方所付款项提交至中国人民银行大小额支付系统，即为完成了付款义务。 2.1.20. 甲方有权拒绝申请表第5条外的乙方付款申请。 2.2. 乙方的权利及义务 2.2.1. 乙方应遵守国家机关制定的银联卡相关法律、法规、规章。 2.2.2. 乙方承诺向甲方提供的乙方基本信息、营业执照、税务登记证和法定代表人或负责人身份证等申请资料均真实、合法、有效，如因乙方填写差错或虚假信息造成的双方损失，由乙方承担。 2.2.3. 乙方接受甲方的银联卡业务受理、电话终端操作等培训，接受甲方日常监督、检查和指导，乙方业务受理人员须经甲方培训合格后才能开展受理银联卡业务。 2.2.4. 乙方选择甲方作为自己唯一的收单机构，并严格遵守一柜一机、一户一行原则。本协议生效后，在本协议终止且电话终端撤机前，乙方不得重复安装其它刷卡终端;甲方提供的电话终端投入使用的，乙方必须拆除其他机构的刷卡终端，由于特殊用途而经甲方允许保留的除外。 2.2.5. 乙方同意按约定费率缴纳商户收款手续费，不得将此手续费转嫁给持卡人。 2.2.6. 乙方在本协议有效期内接受消费者使用银联卡作为支付合法商品或服务的有效付款工具，在接受银联卡付款后，向消费者提供相关的商品和服务。 2.2.7. 乙方应平等接受顾客出示的各入网银行的所有银联借记卡，不得无故或借故拒绝持卡消费，不得因支付方ith. 3, fill embankment before base and completed the inspection and acceptance of works. 4, before the requirement level elevation sign layout according to the drawing, every nail on the level of a certain distance, elevation of forklift parts according to the design requirements set. 5, according to the site conditions determine the routes of earth-moving machinery, vehicles, and prior checks, reinforce and widen if necessary and other preparatory work. (2) in the rain at the time of construction, check all the rain 式不同而向持卡支付的顾客收取额外费用。 2.2.8. 乙方需坚持固话终端打印不出签购单不发货给刷卡客户的原则，否则由此产生的相关资金损失由乙方承担，甲方不承担相关责任。 2.2.9. 乙方若对入账明细有异议发现短款，向甲方申请调账必须提供签购单凭证。甲方可通过银联差错处理向持卡人发卡行追款。 2.2.10. 乙方受理银联卡业务时，至少应对卡片以下内容进行审核，对于不符合条件的卡片，乙方应拒绝受理。 (1). 出示的卡片贴有“银联”标识且卡片在有效期内; (2). 卡片上无“样卡”、“专用卡”或“VOID”等字样，无毁坏或涂改痕迹; (3). 照片卡上的照片为持卡人本人; (4). 银联卡背面签名条应有签名，签名条上无涂改或损毁痕迹; (5). 其它审核内容。 2.2.11. 乙方完成刷卡交易，至少应对交易签购单据以下内容进行审核: (1). 签购单上打印的商户编号、商户名称、卡号、交易金额、交易类型、交易日期、交易时间、终端编号、检索参考号、授权号码等内容完整，字迹清晰可辨认且无涂改; (2). 签购单打印的卡号应与其银联卡卡面的卡号一致; (3). 持卡人签名应与其银联卡背面预留签名相符; (4). 其它审核内容。 2.2.12. 乙方向甲方提交调账申请、手工退货申请时，应遵守以下事项: (1). 单据所列事实，均属真实交易; (2). 单据签章齐全，要素无涂改; (3). 退货资金已同时划拨甲方或当日交易款足以抵扣退货款; (4). 长款资金已同时划拨甲方或当日交易款足以抵扣调账款。 5). 如乙方发生当日交易款不足以抵扣退货款的联机退货交易时，乙方应自收到甲方通知后2个工作日内将差( 额款项划转甲方。 2.2.13. 乙方出现以下行为时，属于违约操作，承担相应违约责任。 (1). 未按规范受理银联卡或拒绝受理银联卡; (2). 要求持卡人支付额外手续费; (3). 涂改签购单、分单操作; (4). 使用个人结算账户作为收款入账账户时接受信用卡刷卡消费; (5). 消费撤销和联机退货; (6). 以现金方式退货; (7). 违规移机; (8). 超过规定期限请款; (9). 其它违规操作的行为。 2.2.14. 乙方在受理银联卡时，只能将银联卡在甲方指定的电话终端上使用，不得在其他设备上读取银联卡信息。 2.2.15. 乙方应严格遵守《银联卡账户及交易数据安全管理规则》承担保密责任，并严格遵守以下规定: (1). 账户信息和交易数据仅用于辅助完成银联卡交易，乙方不得将账户信息和交易数据用于除此之外的任何其它用途; (2). 不得以任何方式存储基本的交易信息以外的其它银行卡数据，包括银联卡磁道信息、卡片验证码、个人密码及卡片有效期等信息; (3). 除了交易需要或法律要求，乙方不得将银联卡账户、交易数据、有关业务资料或其它私人资料披露给第三方; (4). 必须将包含账户及交易数据信息的所有载体保存在安全领域，并确保只有被授权人员才能接触，严禁泄露给其他方; (5). 业务处理程序必须确保安全，包含账户及交易数据信息的所有载体在失效后应立即销毁，不得留存。 乙方违反上述规定，导致账户信息及交易数据被篡改、泄漏和破坏而造成的相关经济损失以及其它损失均由乙方承担。 2.2.16. 乙方提供的入网登记资料如单位名称、开户账号、营业地址、经营范围等申请信息发生变更时，至少应自ith. 3, fill embankment before base and completed the inspection and acceptance of works. 4, before the requirement level elevation sign layout according to the drawing, every nail on the level of a certain distance, elevation of forklift parts according to the design requirements set. 5, according to the site conditions determine the routes of earth-moving machinery, vehicles, and prior checks, reinforce and widen if necessary and other preparatory work. (2) in the rain at the time of construction, check all the rain 变更之日起5个工作日内书面通知甲方，并提供相关资料。如因乙方未及时履行通知责任而造成的损失，由乙方承担。 2.2.17. 乙方负责电话终端的日常保管和维护，承担由于保管不善、使用不当等乙方原因造成的电话终端损坏、丢失及由此产生的相关风险，并应在24小时内通知甲方;乙方同时承担由此导致的甲方和第三方的资金损失等赔偿责任。 2.2.18. 乙方应提供符合固定电话终端安装条件的通讯线路、电源、安装场地等，并在经营场所显要位置摆放或张贴银联卡受理标识。银联标识语和银联卡受理标识只能用于表明乙方可受理银联卡，并不表明甲方或中国银联认同乙方的商品或服务。在任何情况下，银联标识语和银联标识不得直接或间接的用以暗示甲方或中国银联认同乙方的商品或服务。 2.2.19. 乙方应妥善使用和保管电话终端和签购单，并保证该设备除由甲方或甲方授权的相关人员进行维护和更换外，不被其它人员进行任何检测、拆修、改装、更换、移动或加装其它设备。 2.2.20. 乙方不得将签购单、银联卡受理标识、电话终端用于本协议许可范围以外的其它用途，也不得出租、出借给本协议许可范围以外的第三方使用。 2.2.21. 未经甲方书面同意，乙方不得将本协议约定的受理银联卡业务转让或委托给第三方。 2.2.22. 乙方不得将其他商户的交易假冒自身交易与甲方清算。 2.2.23. 乙方应将银联卡交易签购单据及与交易相关的原始凭证妥善保存，保存期限自交易日起不少于24个月(法律另有规定的除外)，如因乙方交易单据保管不善造成的损失由乙方承担。在保管期内，对于甲方提出的调单要求，乙方应在3个工作日内予以无条件提供，且不得对上述存根联进行不正当的使用。乙方在保管期内如终止营业应将刷卡签购单存根联转交甲方保管。 2.2.24. 乙方应协助甲方对进行异常交易和交易纠纷的调查取证及投诉等处理工作，乙方应配合甲方、中国银联及司法机关对投诉、差错、纠纷、银行卡案件进行调查、取证等工作。 2.2.25. 当乙方宣布破产时，必须确保甲方合法的债权人地位。 2.2.26. 乙方应准确填写付款入账账户信息，因信息不正确导致的付款错误或无法到账等问题，由乙方自行承担。 2.2.27. 乙方办理商户付款业务时，乙方应该妥善保管好签约银行卡、终端结算账号、交易密码、交易指定固话终端等相关资料、物品和信息，泄露或丢失以上资料、物品和信息，将可能导致乙方资金损失，该风险及损失由乙方自行承担。 2.2.28. 乙方保证，保持终端序列号码、终端电话号码、终端结算账户、终端使用地点的唯一对应性，在本协议终止前，不申请固定电话终端电话号码的变更或移机，不在终端使用地点外使用电话终端。 3. 违约、协议的终止 3.1. 一方违反本协议约定的，构成违约，违约方应赔偿受该违约行为影响的被违约方的损失。构成严重违约的，被违约方除有权要求违约方承担违约责任外，还有权按照本协议相应约定单方面终止协议。 3.2. 乙方有下列情形之一的，构成严重违约，甲方有权单方面终止本协议，并立即终止乙方的银联卡交易，收回全部向甲方租用的机具设备，同时在交易终止日起五个工作日内将乙方相关信息报送至中国银联不良信息共享系统和报送人民银行征信系统，并将有关情况报告人民银行。 3.2.1. 出现受理伪卡、虚假申请、侧录、泄露账户及交易信息、套现、洗单、恶意倒闭、虚假交易、欺诈行为的; 3.2.2. 乙方资质及申请资料发生变化，不再具备开通收银宝业务的资质; 3.2.3. 多次出现违规操作，或出现违规操作经指出拒不整改的; 3.2.4. 多次无故拒绝受理入网银联卡的; 3.2.5. 连续3个月未受理银联卡业务; 3.2.6. 名义经营范围与实际情况不符; 3.2.7. 因银联卡欺诈交易已被司法机关立案或介入调查; 3.2.8. 中国银联已书面通知收单机构强制解约; 3.2.9. 已被其它卡组织认定为“高风险商户”; 3.2.10. 经营不善，停业整顿、申请解散或申请破产以及停业或破产; 3.2.11. 被工商部门注销登记、吊销营业执照，或由于违反国家法令、法规或相关行业，被有关机构查处; ith. 3, fill embankment before base and completed the inspection and acceptance of works. 4, before the requirement level elevation sign layout according to the drawing, every nail on the level of a certain distance, elevation of forklift parts according to the design requirements set. 5, according to the site conditions determine the routes of earth-moving machinery, vehicles, and prior checks, reinforce and widen if necessary and other preparatory work. (2) in the rain at the time of construction, check all the rain 3.2.12. 拒绝配合调单或不能提供有效交易单据，造成发卡机构退单且逃避承担退单责任的; 或乙方法人代表或其主要负责人涉及重大民事纠纷或涉嫌重大经济、刑事犯罪; 3.2.13. 乙方和/ 3.2.14. 擅自转移电话终端设备到境外受理银联卡交易的; 3.2.15. 利用电话终端从事损害第三方利益或其它公共利益活动的; 3.2.16. 其它违反中国银联商户风险管理规定的行为。 3.3. 甲方出现以下所述情况时，构成违约，乙方有权单方面终止本协议: 3.3.1. 因经营不善，已破产或停止营业; 3.3.2. 因甲方原因而造成本协议无法继续执行; 不能按协议要求提供服务给乙方造成严重损失的。 3.3.3. 3.4. 本协议终止后24小时内，应退还向甲方租用的全部机具设备、空白签购单及业务受理标识。 3.5. 终止后事项:本协议在终止通知到达被通知方后终止。在终止通知到达被通知方前，双方须继续履行本协议。 4. 其他事项 4.1. 本协议只适用人民币业务。 4.2. 双方声明，接受本协议中的各项条款并了解各项条款规定的权利和义务;本协议个别条款无效不影响其它条款的有效性。 4.3. 本协议生效后，发生暴雨、地震、泥石流、台风、战争、内乱等不可抗力事件影响本协议的履行，受事件影响的一方无须承担违约责任。但受事件影响方应在48小时内将所发生的不可抗力事件情况以电报或传真形式通知对方。且该等事件持续时间达三十日或以上时，双方可根据该事件对本合同履行的影响程度协商对本合同的修改或终止。 4.4. 双方一致同意，除有关法律、法规规定或有管辖权的政府有关机关要求外，未经本协议各方的事先书面同意，任何一方应对其已获得但尚未公开的、与本协议相关的所有资料和文件承担保密义务，不得向任何其它第三方和公众透露上述保密信息。该保密条款的有效期限不受本协议有效期影响，永久有效。 4.5. 本协议未尽事宜，由双方本着友好协商的原则妥善解决。协商不成的，可向甲方所在地的人民法院提起诉讼。 ith. 3, fill embankment before base and completed the inspection and acceptance of works. 4, before the requirement level elevation sign layout according to the drawing, every nail on the level of a certain distance, elevation of forklift parts according to the design requirements set. 5, according to the site conditions determine the routes of earth-moving machinery, vehicles, and prior checks, reinforce and widen if necessary and other preparatory work.
