编号：_______________本为word版本，可以直接编辑和打印，感谢您的下载版权转让英文版甲方：___________________乙方：___________________日期：___________________说明：本资料适用于约定双方经过谈判、协商而共同承认、共同遵守的责任与义务，同时阐述确定的时间内达成约定的结果。文档可直接下载或修改，使用时请详细阅读内容。版权转让协议Publisher：Proprietor：签订日期：年月日(years)between(nameandaddressofChinesepublisher)(hereinaftertermedthePublisher”)oftheonepart,and(nameand"theProprietor”)oftheaddressofforeignpublisher)(hereinaftertermedotherpart.Proprietor:Publisher:Date:WhereastheProprietoristheproprietorofaworkby (nameofauthor)(hereinaftertermedtheAuthor)entitled: (titleofbook), (number)Edition(hereinaftertermedtheWork).1.ItemsofTransferringSubjecttothetermsdetailedinthisAgreement,theProprietorherebytransfertherighttoproduceandpublishtheWorkinhardback/paperbackvolumeformintheChineseIanguage(simplifiedcharacters) underthePublisher'simprint(hereaftertermedtheTranslation)forsaleinthemainlandterritoryofthePeople'sRepublicofChina,includingHongKongandMacao.ThePublishershallreproducetheProprietor'jacketdesignoftheWork,makeanyuseoftheProprietor'logo,brandsofcolophon,ontheconditionofgettingthepriorwritten consentoftheProprietor.ThisAgreementalsograntstherightsinrespectofsubsequenteditionsoftheWork.2.PaymentThePublishershallmakethefollowingpaymentstotheProprietor,inaccordaneewiththiscontracthereof,namely:ThesumofUSdollars payableonsignatureof thisAgreementinadvaneeandonaccountofanysumswhichmaybecomeduetotheProprietor underthetermsofthisAgreement.ThesaidpaymentinadvaneeisnotrecoverableintheeventofanydefaultbythePublisherincarryingoutthetermsofthisAgreement.3.TaxesOntheChineseretailpriceofallcopiessoldbythePublisher,whereversold:ARoyaltyof percentonthefirst copiessold;ARoyaltyof percentonallcopiessoldbetween andcopies;ARoyaltyof percentonallcopiessoldbeyondthefirst copies.OnremaindercopiesofthetranslationsoldbythePublisherorbelowcostroyaltyshallbepayablebutnosuchremaindercopiesshallbesoldwithinaperiodoftwoyearsfromthedateofthefirstpublicationofthetranslation.4.EffectiveoftheAgreementTheAgreementshallnotcomeintoeffectuntiltheProprietorhavereceivedthepaymentdetailedinClause2hereof.5.ReservationofRightTheProprietorreservetherighttorequestthePublishertosubmitthemanuscriptofthetranslationtotheProprietorfortheirapprovalbeforecommencingtheproductionofthetranslation.6.StylebookfreecopiesoftheTranslation shallbesenttotheProprietoronpublicationtogetherwithanoteoftheactualdateofpublicationandtheretailpriceoftheTranslation.7.AccountsAccountsforthetranslationshallbemadeupannually/twiceannuallybytheProprietorto (accountingdate(s))andtheaccountsrenderedtogetherwithanysumspayableunderthisAgreementwithinsixmonthsoftheaccountingdate(s).ShouldanyofthepaymentsdetailedinthisAgreementbethreemonthsoverduetherighthereintransferredshallforthwithlapseandallrightsconveyedbyitshall,withoutfurthernotice,reverttotheProprietor.8.PromiseTheProprietorherebywarranttothePublisherthattheyhavetherightandpowertomakethisAgreementandthataccordingtolawtheWorkwillinnowaywhatevergiverisetoaviolationofanyexistingcopyright,orabreachofanyexistingagreementandthatnothingintheWorkislikelytogiverisetoacriminalprosecutionortocivilactionfordamagesoranyotherremedyandtheProprietorwillindemnifythePublisheragainstanyloss ,injuryorexpensearisingoutofanybreachorallegedbreachofthiswarranty.TherightherebytransferredtothePublishershallnotbetransferredtoorextendedtoincludeanyotherparty ,norshallthetranslationappearunderanyimprintotherthanthatofthePublisher ,exceptwiththepriorwrittenconsentoftheProprietor.AllrightsintheWorkotherthanthosespecificallygrantedtothePublisherunderthisAgreementarereservedbytheProprietor.9.TerminationDuringthevalidityofthisAgreement ,ifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein ,theotherpartyhastherighttoterminatethisAgreement.10.JurisdictionandLawsuitThisAgreementismadesubjecttothelaws ofthePeople'sRepublicofChinaandanydisputesordifferencesarisingbetweenthepartiesinrespectoftheconstruction orotherwiseofthisAgreementshallbereferredtothe andthedecisionoftheCommitteeshallbefinallimittherightsoftheProprietoroutsidetheterritoryspecifiedinClause1hereof ,includinglitigation.ThisAgreementcontainsthefullandcompleteunderstanding betweenthepartiesandsupersedesallpriorarrangementsandundertakings whetheroralorwritten,concerningthesubjectmatterofthisAgreement,andmaynotbevariedexceptbyagreementinwritingbetweentheparties.Publisher:Proprietor:Date:Place:
