....................................(Supplier),acompanyorganisedandexistingunderthelawsof...............,havingitsregisteredofficeat....................,("Seller");alsoreferredbelowindividuallyas“Party”andtogetheras“Parties”WhereasSiPMwishestoacquirethesupplyoftheproductsdefinedbelowandwhereasSellerwishestosupplyanddeliversuchproductstoSiPM.SiPMandSellerrespectivelyagreetothefollowing:1.SUPPLYOFPRODUCTS1.1 DuringthetermofthisAgreementandanyextensionhereof,theSellershallsellandsupplytheproductsassetoutinSchedule1hereto(“Products”)toSiPMandSiPMshallbuyfromtheSellersuchProductsonanon-exclusivebasis.1.2 ThespecificationsoftheProductsaresetoutinSchedule2hereto.1.3 SellershallprovidetoSiPMthetechnicalinformationandmaterialinregardtotheProductsassetoutinSchedule3hereto.2.ORDERS2.1 EachpurchaseandsalebetweenSiPMandSellershallbeevidencedbyanorderplacedbySiPM(“Order”orinplural“Orders”)toSellerinaccordancewiththetermsandconditionsofthisAgreementandtheSellerCompanyshallacceptsuchOrdersinwritingwithin2workingdaysafterreceiptoftheOrder.IftheSellerCompanydoesnotsendawrittenorderconfirmationwithin2workingdaysafterreceiptoftheOrder,theOrdershallbedeemedtobeacceptedbytheSellerCompany.AslongasthisAgreementisinforceandeffectthetermsandconditionsofthisAgreementshallapplytoallOrdersandallorderconfirmationsofSeller.2.2 OrdersshallbeplacedbySiPMtoSellerinwriting(including,withoutlimitation,bye-mail,fax,letter).EachOrdershallcontain(a) theProductsandthequantityofeachProductorderedbySiPM,(b) thepriceand(c) thedestination(address)ofdelivery(“DestinationofDelivery”).2.3 NeithertheSeller´sCompanytermsandconditionsofsaleanddeliverynortheSiPMCompanytermsandconditionsofpurchaseshallapplytoanypurchaseandsalemadeunderthisAgreement.3.PRICE3.1 Theprice("Price")fortheProductsonthebasisofDDP,DestinationofDeliveryasdeterminedintheOrder,INCOTERMS2000,isspecifiedinSchedule4hereof.ThePriceincludesstatutoryVATandothertaxes,ifany.3.2 Thepriceremainsfixfortheperiodofthecontract.4.INVOICINGANDPAYMENT4.1 SiPMshallpaytoSellerthePricefortheProductsorderedwithin30daysofreceiptofinvoice.5.DELIVERYANDSTOCK5.1 Thedatefordeliveryshallbeasspecifiedintheorder.Theminimumdeliverytimeis3weeks.5.2 SellershallforthwithgivenoticetoSiPMofanylikelydelayindeliveryofwhichitbecomesawareandshallprovideSiPMwithpromptandreasonablenoticeofthere-scheduleddeliverydate.5.3 IfSellerislatewithanydeliveryofProducts,SiPMshallhavetherighttocanceltheOrderforsuchProductsatanytimebeforedeliveryofrelevantProductsiseffected.5.4 Inordertoensurepunctualdeliveries,SellershallholdduringthetermofthisAgreementaminimumstockof..............6.TITLEANDRISK6.1 TitleandallriskoflossordamagetotheProductsshallpassfromtheSellertoSiPMwhentheProductsshallbereceivedandunloadedonthebasisofDDP,DestinationofDeliveryasdeterminedintheOrder,INCOTERMS2000.7.WARRANTYANDPRODUCTLIABILITY7.1 TheSellerwarrantthattheProductsshall(a) conformtothetechnicalandqualitystandardandspecificationsassetoutinSchedule3hereto,(b) besafe,ofgoodqualityandfreefromanydefectinmanufacturingormaterial,(c) correspondstrictlywithanyandallrepresentations,descriptions,advertisements,brochures,drawings,specificationsandsamplesmadeorgivenbySeller,and(d) fitforthepurposeof..................(Productpurposetobefilledin).SiPMshallinspectthereceivedProductswithin14daysafterreceiptofthedeliveryandshallinformtheSellerwithinafurtherperiodof3workingdaysofanyapparentdefect.Non-apparentdefectsshallbeinformedtotheSellerwithin14daysaftertheyhavebecomeapparent.7.2 IftheProductsaredefectiveand/ordonotconformwiththewarrantygiveninArt.7.1above("DefectiveProducts"),theSellershall,attheoptionofSiPM(a) replacetheDefectiveProductswithProductsinaccordancewiththewarrantysetoutinArt.7.1aboveassoonaspossiblewithoutanyadditionalcosttoSiPM,or(b) repairtheProductswithoutanyadditionalcosttoSiPM,or(c) reimburseSiPMthePricepaidfortheDefectiveProducts.7.3 SellershallindemnifyandholdSiPMharmlessfromandagainstallclaims,actions,damages,losses,liabilities(including,withoutlimitation,productliabilityclaims)andotherexpenses(includinglawyer´sandotherlegalfees)whichSiPMmaysufferorincurasaresultofthedeliveryofDefectiveProductsorabreachoftheobligationssetoutinthisAgreementbySeller.7.4 AnyclaimmadeunderthebreachofthewarrantyobligationasdefinedinArticle7.1and7.2aboveshallendureforaperiodof24monthsafterthedateofdeliveryoftheProductsandanyclaimmadeunderArt.7.3aboveshallendureuntiltheexpirationoftherelevantstatutesoflimitations.8.MANAGEMENTREPORTING8.1 SellershallreporttoSiPMonaquarterlybasisthefollowingmanagementinformation:...........................................................................................................................................................................................................................................................................................................................................................................9.TERMANDTERMINATION 9.1 ThisAgreementshallcomeintoforceandeffecton..................(“EffectiveDate”)andshallremaineffectiveforaperiodofone(1)year.Itshallbeautomaticallyrenewedforsubsequentperiodsofthree(3)monthseach,unless(a) anypartygivestotheotherpartyawrittennoticenottorenewthisAgreementatleastone(1)monthpriortotheexpirationoftheinitialtermoranysuchsubsequenttermofthisAgreement,or(b) thisAgreementterminatesinaccordancewith9.2below.9.2 NotwithstandingArt.9.1abovethisAgreementmaybeterminatedatanytimebyeachpartyonwrittennoticewithimmediateeffectintheeventthat:(a) proceedingsinbankruptcyorinsolvencyareinstitutedbyoragainsttheotherpartyorareceiver,trustee,administratororliquidatorisappointedinrespectofanypartoftheotherparty´sassetsoranysimilarreliefisgrantedunderanyapplicablebankruptcyorequivalentlaw;(b) oneparty(thedefaultingparty)shallbeinbreach,non-observanceornon-performanceofanyofitsobligationsinthisAgreementanddoesnotremedythesamewithin14daysofnoticeofsuchfailureorbreachbeingserveduponitbytheotherparty(thenon-defaultingparty).10.FORCEMAJEURE10.1 InthisSection“ForceMajeure”shallmeananyeventbeyondthereasonablecontrolofSIPMorSeller,andwhichisunavoidablenotwithstandingthereasonablecareofthepartyaffected,andshallincludebutnotbelimitedtowar,insurrection,riot,civilunrest,sabotage,boycott,embargo,explosion,fire,earthquake,flood,unavoidableaccident,epidemic,actofGod,actionorinactionofanygovernmentalofficialoragency(civilormilitary)andrefusalofanylicencesorpermits,ifproperlyappliedfor.10.2 IfeitherPartyispreventedfromordelayedinperforminganyofitsobligationsunderthisAgreementbyaneventofForceMajeure,thenitshallnotifytheotherinwritingoftheoccurrenceofsucheventandthecircumstancesthereofwithinfourteen(14)daysaftertheoccurrenceofsuchevent.10.3 ThePartywhohasgivensuchnoticeshallbeexcusedfromtheperformanceorpunctualperformanceofitsobligationsunderthisAgreementforsolongastherelevanteventofForceMajeurecontinuesandtotheextentthatsuchParty’sperformanceispreventedordelayed.TheoccurrenceofanyeventofForceMajeureaffectingeitherpartyshallnotgiverisetoanyclaimfordamagesoradditionalcostsandexpensessufferedorincurredbyreasonofForceMajeure.10.4 IftheperformanceoftheworkbySIPMissubstantiallypreventedorisdelayedforanaggregateperiodofmorethansixty(60)daysonaccountofoneormoreeventsofForceMajeureduringthecurrencyofthisAgreement,SIPMandorSellermayterminatethisAgreementbygivingwrittennoticetoSellerand/orSIPMasthecasemaybe.11.NOTICESAllnotices,requests,demandsandothercommunicationsshallbeinwriting(includingfax)intheEnglishlanguageandshallbeaddressedasfollows(ortosuchotheraddressasnotifiedinwritingbyonepartytotheotherparty):IftoSiPMto:
