kesthatitwilllegallyexecutetheactonbehalfofthePartyAinaccordancewiththerelevantprovisionsofthisAgreementandPartyA'swishesorinstructions,soastoprotectandrealizethelegitimaterightsandinterestsofPartyAtotheholdingshares.PartyBhastherighttoexerciseshareholders'rightsexternallywithinthecompanylawandtheframeworkofthecompany'sarticlesofassociation,inaccordancewiththewishesofPartyA.WithoutthepriorwrittenconsentofPartyA,PartyBshallnotdelegateortransferthewholeorpartofthesharesunderthisagreement.Priortoexercisetherightsofshareholders,PartyBshouldmaintainfullcommunicationwithPartyAandunderstandtherealintentionofPartyA'sactualinvestor.PartyBshallexercisetherightsofshareholdersorperformshareholderobligationsaccordingtoPartyA'swishesandinstructions,whoseeconomicprofitandlossandlegalliabilityshallbebornebyPartyA.VII.ConfidentialityThepartiesandwitnessesoftheagreementshallkeepthewholecontentsofthisagreement,includingtheholdingofshares,tobeconfidential.VIII.JurisdictionandDisputeSettlementTheagreementandtherelevantlegalrelationsareexplainedbytherelevantlawsofthePeople'sRepublicofChinaandaregovernedbythem.AnydisputearisingfromtheentrustmentofthisAgreementshallbesettledbyfriendlynegotiation.Ifitfailstonegotiate,itshallbebroughttoalawsuitbythePeople'sCourtofaaaa.IX.OtherTheagreementiscomposedoffourcopies,andeachmemberofthePartyAandBshallholdonecopyandhavethesamelegaleffect.Anychangeandsupplementtothisagreementshallcomeintoforcebythewrittenconsentofbothparties.Mattersnotcoveredintheagreementshallbeappointedbythetwopartiesthroughthesupplementaryagreement.ThisagreementisasupplementaryagreementofContractsignedbyPartyAandPartyB,andthetwopartieswillfurtherchangethisagreementafterthestipulatedconditionsarereachedinthebusinessagreement,soastoachievethepurposeofincreasingthesharesactuallyownedbyPartyB.ThisAgreementshallcomeintoforceafterthesigningofthetwoparties.TheTargetCorpwillapprovethecontentofthisagreementwiththeresolutionoftheshareholders'meetingofthecompany.PartyA(signature):PartyB(signature)-member1:PartyB(signature)-member2:Date:
